USSE announced pending deal with ONYI to merge with that company. If approved, USSE holders will get 1.3 ONYI shares for each of their USSE shares. The combined company will be under ONYI, traded on the OTC BB, and USSE stock goes away. There will be close to 1 billion ONYI shares outstanding as a result of the merger.
The spin-off dividend of the USSE power company is unaffected by this deal, and USSE shareholders of record as of Dec 1 will get 1 share of the power company for every USSE share held as of Dec 1. Further details once the ONYI deal closes.

no, USSE power company will be separate and not part of the ONYI deal from my understanding.
we are reverse merging with ONYI so that we are on the OTC BB and acquire the Diversified Ethanol division.
IMO this will be trading well over $1 by Feb 1.
energy is not being created. the energy is in the soybeans. it came from the sun and stored in the chemical bonds. the reaction converts the soybeans to a form that can be burned controllably and yes it results in more energy available from the soybeans than what has been achievable to date. it is a revolutionary process, and as already explained to you many times here is a secret to USSE. if it were public knowledge it would be nothing new and already in use and none of us would be here.
of course you are free to choose not to believe that it is for real and you shouldn't buy this stock.
I choose to believe it, or at least believe in a high enough probability that it is true to warrant purchase of the stock.

you are actually trying to compare energy output from lighting a pile of soybeans on fire vs converting them to a fuel and burning the fuel using a controlled process?
he is probably weighing the cost (about 100k per year) for auditors and filings vs the benefit, and with the limited funds available has chosen thus far to save the money for development. I disagree with that choice since I think the filings would boost share price and the company would raise more funds from selling shares than they are able to today.
