"Subsequent closings" /Jan 18th closing Phase 1
And more interesting points in 10.1 of the Alothon deal.
http://yahoo.brand.edgar-online.com/displayfilinginfo.aspx?FilingID=7642934-15693-155683&type=sect&dcn=0001140361-11-001282
2.3 Intentionally deleted ---Why?
2.4 (a) gives exact Initial closing date, time and place. " Initial Closing . Subject to the satisfaction or waiver of the conditions set forth in Sections 3.1 , 3.2 and 3.3 , the initial closing (“ Initial Closing ”) shall take place at the offices of Kirkland & Ellis, LLP, 601 Lexington Avenue, New York, New York 10022-4611, at 10:00 a.m. California Time, on the later of (i) January 18, 2011"
2.4 (b) SUBSEQUENT CLOSINGS
"Subsequent Closings . During the Commitment Period, the Company may from time to time schedule one or more additional Closings in order to effectuate the purchase and sale of Units pursuant to Section 2.2(a)"
So, why is 2.3 "Intentionally deleted"
Do subsequent closings have to do with Nutra SA, LLC only? Maybe. I am not a good legal mind, but does this open the door for a GCFB style deal over all JV deal? I suspect it is for more Phases of Nutra SA LLC only, but does it have to? 2.3 Intentionally Deleted" makes me wonder.
Inquiring minds want to know.

World Food Prices Reach Record Highs
World food prices reach record high
Global food prices rose to a record in December, the UN's Food and Agriculture Organization reported Wednesday, surpassing highs in 2008 when rising prices sparked riots in 61 countries.
The FAO food price index — which measures monthly price changes in a basket of foods including cereals, oilseeds, dairy, meat and sugar — averaged 215 in December, up for the sixth straight month, and its highest in nominal terms since 1990.
That was up from 206.0 points in November and passed the high of 213.5 in June 2008 during the food crisis at that time.
Its sugar price index soared to a record high of 398.4 points from 373.4 points in November.
The FAO's cereals price index, which includes prices of main food staples such as wheat, rice and corn, rose to an average of 237.6 points in December, the highest level since August 2008 and up from 223.3 points in November.
The oils price index rose to 263.0 points in December from 243.3 points in November.
Recent flooding in Australia has disrupted shipments of wheat and sugar, but grain production has also been harmed by drought last year in Russia and heavy rain that affected planting in Canada.
From June to December 2010, wheat, rice, maize and soybeans prices gained by double-digit percentages, with wheat up 69 per cent and maize higher by 53 per cent.
At the same time, demand from emerging economies has been growing.
One difference today compared with the time of food rioting three years ago is the price of oil.
That peaked at $145 US in July 2008, and contributed to increased costs of transporting food.
Crude oil traded Wednesday above $90 but has been rising in price, and forecasters are suggesting it could hit $100.

Many think we got too many shares, so I don't want to have it stickied, lol. And when the stock was $5.00 I think Z only had 142,000,000 shares and less warrants. But $5 X 5,000,000 shares is $25,000,000 in stock traded in one day that Z did at the top in 07. At .25 $25 million wold be 100,000,000 shares traded in one day. I don't think we do that, but that is why I say we could need all those shares. NTRZ will be huge, I hope anyway.

Save the government pension funds and more?
I picked this up from an ordinary poster from another board.
Just maybe the market is being manipulated up on low volume by "The Boyz", the Fed and the rest of our government, to save government pension plans. It may be the only way out of this to create artificial wealth. I have been searching for a plan to make money on the troubled times and it seems that "Following the money" is the answer and that has been the answer forever. What has changed is that the volume on breakouts is not there anymore. Maybe I have to adjust to that.

Especially the bottom
There is substantially more depth to this Company than most here realize. Once they exit BK the potential exists for them to unleash scores of applications using their proprietary technologies. They have been furiously recording patents for these applications during BK and prior.
They have patented applications for using stabilized rice bran fiber ingestion for treating or preventing various maladies including: colon health and cancer prevention, cholesterol reduction, diabetes stabilization/control of hyperlipidemia, prevention of gall bladder/kidney stones, promoting bowel regularity, reducing risk of coronary heart disease, achieving healthy weight loss, preventing joint inflammation/pain, the treatment of IBS, IBD, Crohn's disease, antibiotic induced diarrhea and other bowel disorders
Nutracea's products can easily be incorporated into a multitude of food applications to not only reduce manufacturer costs but to increase nutritional profiles. Examples include but are not limited to:
A variety of food formulations and oven-baked items, such as in crackers, cookies, breads and other such food comestibles. Bread products according to the invention include, but are not limited to, white bread, wheat bread, tortillas, rolls and buns, specialty/artisan breads, rye bread, whole grain varietals, bagels, pasta, grain-based snack foods, cereals, crackers, cookies, cakes, muffins, pastries, pancakes, pizza crusts, doughnuts, grain- based nutritional supplements, and salty snacks such as pretzels, tortilla chips, and corn chips, healthy beverages, low fat nutritionally boosted meat products.
My guess is we wait for Herbal Science to get paid
Then they have 5 days to turn over the patents. Then the next PR comes out. As Shot in his 4th PR in a row leaves out the words "Nutraceuticals" and "Pharma" as being part of the company, I believe that those patents will go to the control of someone else either in a total sale, or maybe a licensing arrangement with a lot of up front money. I prefer the later, but this kind of stuff is not in my league.
Maybe Short will surprise us with some unexpected PR's first, I in for that.
Oh and the Brazil PR was not unexpected, it was in the restructure button on Nov 22nd. But the public did not know about it. I don't expect too much out of the stock today, but nice start.
And I believe we will get Brazil to 200,000 tons. Yesterdays 8k was for phase 1, I think anyway after looking at the restructure entries on the 22nd on Z's website.

We could have a new concept rice bran oil plant.
I have newer heard a rice bran oil plant called "a state-of-the-art rice bran oil bio-refinery.". We did hear from condolezza about biofuels, but a poster at Yahoo posted this and note the word "Nutraceuticals">>>
Biorefinery
From Wikipedia, the free encyclopedia
A biorefinery is a facility that integrates biomass conversion processes and equipment to produce fuels, power, heat, and value-added chemicals from biomass. The biorefinery concept is analogous to today's petroleum refinery, which produce multiple fuels and products from petroleum.[1]
The IEA Bioenergy Task 42 on Biorefineries has defined Biorefining as the sustainable processing of biomass into a spectrum of bio-based products (food, feed, chemicals, materials) and bioenergy (biofuels, power and/or heat) .
By producing multiple products, a biorefinery takes advantage of the various components in biomass and their intermediates therefore maximizing the value derived from the biomass feedstock. A biorefinery could, for example, produce one or several low-volume, but high-value, chemical or nutraceutical products and a low-value, but high-volume liquid transportation fuel such as biodiesel or bioethanol (see also alcohol fuel). At the same time generating electricity and process heat, through combined heat and power (CHP) technology, for its own use and perhaps enough for sale of electricity to the local utility. The high-value products increase profitability, the high-volume fuel helps meet energy needs, and the power production helps to lower energy costs and reduce greenhouse gas emissions from traditional power plant facilities. Although some facilities exist that can be called bio-refineries, the bio-refinery has yet to be fully realized. Future biorefineries may play a major role in producing chemicals and materials that are traditionally produced from petroleum.
Several potential biorefinery examples have been proposed, starting from feedstocks such as tobacco, flax straw and the residues from the production of bioethanol[2].

From the PR

Did condolezza tip us off>>>
The use of rice bran in the fermentation processes in the creation of biofuels are other unique opportunity areas for Nutracea. The use of rice bran in place of more costly nitrogen and micronutrients as the feed start material for microbial growth used in the production of bioethanol has significant efficiency and economic advantages.
Bran material can also be used as a source of nitrogen and micronutrients in microbial bioreactors used in the production of enzymes, therapeutic proteins, organic acids, antibiotics and other pharmaceutical compounds.
Both raw rice bran and defatted rice bran are excellent sources of nitrogen for these processes
and can effectively replace typical nutrient sources, such as yeast extract, in the fermentation medium.
Both RB and DRB yielded significantly higher ethanol concentration compared to YE. This suggests that in those bioprocesses using synthetic glucose to produce high purity products, such as in biopharmaceuticals and specialty industry chemicals, RB or DRB can serve as effective nutrient sources to alleviate downstream processing cost.

Partners Group seems to specialize in partnerships and not total buyouts. A line from Wikipedia "primary partnership investments across all sectors, industries and regions."
Partners has offices in Shanghai and that gives me the thought that they are helping with a partnership in China, thus the secrecy of the "Brazil Investor". I hope that a China deal will pop up soon.

Why Bright Foods wants to buy GNC
And NTRZ fits this answer>>>
Why is China’s Bright Food Group interested in GNC Holdings, the U.S. vitamin chain?
That’s what Louise Lucas of the Financial Times wanted to know. Several months ago, Shanghai-based Bright Foods was in discussions to buy United Biscuits of the U.K., but its interest now seems to have shifted to the potential $2.5 billion acquisition of GNC. Why the switch in targets?
In reply to Louise’s question, I told a story that provides at least part of the answer. Several years ago, I took a group of my Chinese managers to the United States for a week-long series of meetings. In order to mix some pleasure with business, we left an afternoon free for a bit of sightseeing. Since this was the first trip to the States for many of them, we asked what they wanted to do with their free time. To a person, they all said that they wanted to go to a mall.
Although I thought it was an odd request at the time, if that’s what they wanted to do, it was fine with me. We arranged a bus, and off we went. When we arrived, they all made a beeline for the drug store and loaded up on vitamins that they could take back to their parents.
Their actions told me two things. First, it clearly demonstrated that as people become more affluent, their interest in health and living longer increases. That’s when I knew that health care would become a big opportunity in China. Secondly, it told me that the Chinese trusted the products that they could buy in the United States, and that’s why they were so interested in the products sold by U.S. retailers.
China’s retail sector is consolidating, and that clearly is one of the reasons why Bright Foods is interested in GNC. With over 6,000 stores in 50 countries across the globe, GNC is the world’s largest chain of specialty vitamin, mineral, herbal and sports nutritional supplements and knows how to manage a large scale retail distribution system.
A second important reason lies in the product line. The health care sector is a hot topic in China these days, with everything from medical supplies to hospitals to vitamin supplements becoming a big business. And finally, Bright Foods is undoubtedly interested in gaining access to GNC’s supply chain of trusted health care products. The consolidation of retailing, the development of China’s health care industry and access to a unique supply base are three important reasons for Bright Foods’ interest in GNC.
Meanwhile, the cross-border mergers and acquisition business is heating up. Just in the last month or so, we’ve had the announcement of Pacific Century’s $450 million acquisition of Nexsteer from General Motors, Tianjin-based Xinmao Group’s $1.4 billion bid for Dutch cable maker Draka, and now the potential acquisition of GNC by Bright Foods.
The appetite of Chinese companies for overseas acquisitions is quickly moving well beyond natural resources. The decade that begins on Jan. 1 will be plenty interesting as this story unfolds.
http://blogs.forbes.com/jackperkowski/2010/12/09/why-bright-foods-likes-gnc/
And by the way, who is "The Brazil Investor" Short mentions in the Brazil expansion article? Well, I can't find Bright specifically, but China has invested in Brazil. It probably won't happen, but a fun thought if Bright was announced as that investor.
The land has oil(not food oil) on it.
http://www.independent.co.uk/news/world/asia/fears-of-chinese-land-grab-as-beijings-billions-buy-up-resources-2095451.html
I'm just dreaming, but I still hope the Bright/GNC/Blackstone deal is tied somehow to Brazil/Bright and Z.
