Wish we changed the ticker symbol but I will settle with a name change and hopefully at least put it in something that shows anything as not being a telecommunications company. Biotech ... interesting ... MF does have a patent on a psoriasis cream ... that would be a good start. I hope medicinal marinuana is still in the plans though. Hope they provide some more updates soon.
C'mon CB ... you were on here almost immediately following any news or updates on CATV. The CE gets lifted and not a peep. The pinned post needs to be removed immediately. It is a personal attack opinion that now with the CE lifted is categorically false and misleading. This is ridiculous this was not at least taken down right after CE lifted.
This is good stuff ... should hire you lol ... what about partnerships, joint ventures or mergers?
Medical Marijuana ... IMO
I would like to see MMTC medical marijuana as the focus. There is a ballot for November 2024 in Florida to legalize recreational marijuana AND it could allow licenses that would be able to go to other businesses and not only MMTC's to cultivate marijuana. Long ways to go and nothing is guaranteed. And the psoriasis cream which has never been mentioned ... in any pr ... but MF has a patent and it supposedly has gone through 3 trials and there is a 4th one going on. But wouod love to hear about it.
I agree ... CB or mods needs to take that down. The CE has been removed and to date ... MF nir anyone with the Company have even been accused of any wrongdoing ... that is just a fact.
Now that the CE has been removed ... we would appreciate the sticky being removed.
You called it brotha! I can't believe this day is finally here
Happy CE is off day!
Unfortunately ... I found the case and it looks like the judge squashed it and said there is no agreement to arbitrate and they are no considered customers according to finra rule 12200
Song vs OTC Link LLC Finra Arbitration Court Case was in October.
https://ca.finance.yahoo.com/news/music-licensing-inc-otc-song-130000584.html
OTC Link LLC must be held accountable for its actions. OTC Markets Group has attempted to shield itself by categorizing their role as that of a "publisher" rather than acknowledging that OTC Link is a broker-dealer. OTC issuers are, in fact, their clients, and they are not exempt from potential FINRA arbitration initiated by these issuers. We are committed to pursuing accountability and justice in this matter.
It is worth noting that OTC Link, as a broker-dealer, is subject to FINRA arbitration, and we encourage other OTC issuers and investors to consider similar actions when their companies or investments are adversely affected. This is a call for transparency and fairness in the financial markets.
We also raise questions about the practice of OTC Markets Group placing compliance flags on OTC issuers' market profiles, including "Caveat Emptor, Shell Risk, Delinquency, Promotion." While OTC claims these "flags" are intended to protect investors, we see them as a business offering to other broker-dealers through their "canari" product. The right of a broker-dealer to make public statements about publicly traded issuers without factual basis and disseminate potentially false information without accountability is a matter of concern.
You notice how every time the pre trial hearing gets a new date which is 10/03 the sentencing gets moved to right after it. Has to be the reason.
And the bad news ... the Government filed a motion whihlch was granted UNDER SEAL to move Svorai and Biton sentencing to 10/10/23 since it has non public information.
Will this ever end?
They also moved Taieb for the 5th time to 10/11/23 for sentencing
The only thing I can say is every time the pre-trial hearing gets pushed back ... they push back the sentencing to just behind it. The next pre trial hearing moved to 10/03 and they pushed back sentencing to 10/10. I am guessing that until the big case and Vaccaro with no plea deal ... I dont think Ruggeri has one either ... until that case is going to trial and they quit extending it ... my guess is that is when sentencing will happen ... they most likely do not want Vaccaro or Ruggeri to see the non public information in the plea deal until either Ruggeri reaches a plea deal or they both are going to trial and we get out of this pre trial mess.
Yawn ... boring lol ... except at least we know they are aware there os a USA vs Svorai case with Judge Grimes. The USA vs Vaccaro is Judge Oliver.
I guess this case is going to just sit there until Svorai gets sentenced around August 3rd?
Exactly
CIGN performed all of their obligations of performance per the contract. It did pass all testing. Fluent says it didnt ... but also brought their own seed onto the site shipped from other locations, they provide no evidence to support any of their claims and from what I read in tje other emails ... there is some pretty damning evidence in those emails.
It looks like the bigger outfit trying to save face and save money taking advantage of the smaller guy maybe thinking MF would not be able to afford to take this all the way.
I dont see how Fluent/FTH comes out of this unscathed.
MF is not in the wrong in my opinion. The hemp flower passed all lab tests for heavy metals etc.
Fluent's argument is that although the flower passes the tests when the plant mares and then is made into oil which is highly concentrated ... it would fail. But they dont provide any evidence except their word.
They never turned it into oil to show it would not pass the tests when converted to oil. They never explain after being asked repeatedly then what is the Fluent standard when it comes to what would constutute passing vs failing according to them.
They did not provide anything ... no lab tests or a cohesive explanation other than ... according to us ... that hemp flower passes all test but if the plant matured and we turned it into oil it would not pass.
Wouldnt you think they would want to have some evidence to support this before destroying all of the evidence and submitting to DOH a vomplete harvest loss? Not to mention the reason they gave to DOH which they stated definitively ... when under oath ... they admit the reason they gave DOH they know now was not actually the problem or the source of contamination and they still have no idea what caused it ... they claim they just know it had to be at the farm ... and could be a neighboring farm or something else ... but they just dont know.
Sorry man ... cant agree with you there ... you cant control someone not laying you ... he had a contract and he had a Guaranty that sokidified their obligation ... they did give him some money at the start then just paid nothing.
As for Vaccarro case ... pre trial hearing on June 5th
Berlly and Ruggeri still have a chance to reach plea agreement or go to trial.
And back to the new lawyer thing for Vaccaro they are giving him 120 days to get up to speed.
Next hearing 10/03/23
Shouldnt matter ... we just need to see Svorai get sentenced 1st week of August, not get pushed back ... and put an end to this.
Well ... that would be the last thing I can think of that could potentially get OTCM to budge on the CE.
My take ... the level of work and detail that went in to this whole operation is outstanding. There was a TON of work that went into this sadly enough laid out in great detail in the depositions
Last thing is just in MF's depo he states that Chris Viera is the one that had the main contact with Fluent that approached Chris. MF was not involved at the very start and then after Chris V contact came to the farm and they were seriously interested ... MF was involved from there on out.
So from MF's end ... he didnt go out seeking this deal or anything ... it basically landed in his lap through Chris V and he thought I bought this place originally thinking I woild be able to get into Medical Marijuana ... at the time ... that he could keep growing hemp ... and Fluent would get started and then they would talk about possibly expanding the Fluent operation
Sad ... cause it looks like a great partnership at first glance. Also, the reason MF was not allowed on property is Fluent told him as they had to level 2 bg check everyone and all his employees passed but Fluent told him DOH said he could not be part of it because he is the "landlord" is what he was told.
At that point Chris Viera was the liasion between CIGN and Fluent and MF was basically on the sidelines ... managing the deal but he couldnt be involved with the Medical Marijuana Fluent side of things.
I just want to know why MF had such a hard time selling that hemp wholesale?
He had a ton of it when the Fluent deal was getting started ... and Fluent was going to pay him 300k up front just to get started.
But then they changed it to 100k for 3 months and changed it from being for services or whatever and agreed to buy his existing hemp that was stored, ready and just sitting there.
I think that is a good chunk of the A/R right there because I think Fluent also agreed to buy all the hemp he had ... took it ... and then never paid for it either.
I was really hoping they would ask MF who he bought the ticker from abd how he decided to buy that ticker but that didnt come up.
MF Deposition - Medical Marijuana, Fluent etc
They go on to explain how in Florida all Medical Marijuana has to be grown in pots or trays. Hemp does not ans can be grown in the ground.
Then they talk about contract farming we know about.
Ok so MF says the Fluent was leased part of the farm but MF was continuing to do hemp
Until Fluemt told him he had to stop because the DOH had a problem with it so that is when he stopped growing hemp.
MF stated on contract farming he had done for 156 people since 2020.
MF does not have the machinery ans has not manufactured flower to oil to sell products.
MF said he has not grown since Fluent left due to lack of funds from their failure to pay.
MF Deposition - 4cable Cont'd
So now asking about 4cable ...
MF explains it was a pubco he took over to bring in all of his assets so that he could raise capital.
And that he never got a chance to change the name ... smh
The purpose was to bring everything under 1 umbrella and raise capital so they could expand. He says it was dormant 6 years ... then says it wasnt a shell but it basically was a shell.
When asked why do that instead of a new entity from scratch?
He says he saw the Company's volume and trades ... figured he would not have to do a serious amount of marketing to get it to trade volume. So there was a benefit to acquiring that as opposed to starting from scratch and then spend 100's k + trying to get people to trade her ... ?
He said it was OTC and already trading volume with no activity and I was like ok ... that looks pretty interesting. I dont have to spend a couple hundred thousands dollars of volume. He thought maybe this is a faster and easier way to raise capital.
MF states the reason he leased the property with option to buy was the intention to eventually apply for a Medical Marijuana License.
He says he registered during the period of time the appeal was going on ... but he has his application sitting somewhere on the floor for over 6 years. He has not applied because there has not been an oppirtunity. There hasnt been since 2015 to file a new application.
So he pivoted to hemp. MF mentions he went through a lot of changes due to issues with growers. A lot of people who claim they know but are just hype.
By the time Fluent rilled around he thought he had a good team Omar Briceno who worked for Fluent from years before Peter Sola and Chris Copollo who came from Curaleaf.
MF said he went all out in terms of hemp growing. 43k ft cravo, 9k ft hoop house, 143k sq ft shade house in back. MF stated he mainly did wholesale to clients ... that he doesnt really do retail ... just ship for online but no retail space. Only online retail.
When asked what % he sold retail. Online ... hip4all only CBD. Get Medicated is for flower and Delta 8. He said the flower he buys from CIGN ... internal transaction. Other products sold there are 3rd party.
When asked about all the cbd products he sells ... and water ... that is all from a 3rd party ... not CIGN. All of it. The only thing sold by CIGN from CIGN woukd be the flower sold by Get Medicated.
He said Get Medicated was supposed to be just for Delta 8 but later turned into Flower web site due to merchant processing issues. They couldnt get merchant processing in hip4all site if they sold flower on it or Delta 8.
MF Deposition - 4Cable, CIGN Etc
CIGN is owned by 4cable and there are 70+ shareholders. They corrected to 4 or something so dont quote me on that.
4cable is basically a holding company of the subsidiaries. It owns CIGN. They list everything under the umbrella
When asked about Health Care and Wellness Clinics of America HCWOA ... MF says that started out to be something similar to Miracle Leaf. He says they closed activity in preCovid.
He says they wanted to do it around the Nation but they only opened 4 locations in Florida and then Covid was the reason he closed them down.
MF stated Get Medicated ... online store ... he bought the Delta 8 oil from someone. He said he grew hemp ar farm and sold it.
When asked about Corporation Clinic MF said it was dormant. It was meant to be a distribution channel ... company. But once everything went into 4cable some of these companies stoooed doing any business ... ?
He said some of the companies were doing business before 4cable absorbed them. It was distributing by someone else. MF acquired it. He was distributing some products ... it was meant to be a CBD distributor of his cbd products which is why he took it over.
All 4 entities were acquired by 4cable and they were originally owned by MF and his partners. Corporation Clinic was with Shaheed Khan. The rest owned by MF and Shaheed 50/50.
CIGN by all the people listed in the filings. Some russian guy too. Sono Holdings is Nicolas Plaz an attorney from Aventura. Then Greenbros with the 5 licenses and could do Hemp or MJ with that one. It is not operating and MF is sitting on the license.
He said he does intend to go into operation knock on wood. Export ruoes got screwed this year and the regs. George Quiroz owned Green Bros before MF under a Company named Riverland.
CIGN was formed Feb 10, 2020. MF executed his option to buy the farm around Feb 2021 ... that he leased since 2018.
So MF got the licenses under CIGN April 2020. CIGN was formed Feb 10 2020 CIGN Rel Estate came later Feb 2021 when he did his option to buy. He leased from TNT the property for 3 years 2018 to 2021.
He had a 2nd mortgage to build Conagra?
MF said he does not know what that person does ... he never built anything ... dude just lent money through the Company Conagra.
When MF took over the farm nothing was being grown there and had been storming for years.
He thinks they were growing berries there. MF said he heard they were growing with a partner on that facility for a few years before berries. Then it shut down and they leased to MF. TNT is two people ... married couple. Dentist and a wife. Teresita and Dr Antonio Otero.
MF Depostion - How it got started
MF lived in Puerto Rico since he was born to 18. Went to an american private school. Speaks fluent Spanish.
MF said 40 years ago he saw a Medical Clinic in Wynwood and he and a couple of partners bought 50% interest into that clinic and deployed a franchise model opening franchises across the State becoming the largest medical marijuana clinic in the State.
He opened with a team 22 locations. They sold about 50 franchises all within 1 year. And then he got out. He sold. That was Miracle Leaf.
The group was MF, Greg Rosen, Lon Rosen and Dr Richard Drucker. They bought a one location operation in Wynwood right next to Fluent HQ ... interesting. MF was with Miracle Leaf for 1 year and been out of it for 2.5 years.
All 4 of them sold their interest to the original owner of the store. David Quintana who owned the other 50%. Miracle Leaf is still in operation.
Then MF bought the farm in Homestead. MF got the 2nd license once available to grow hemp. By minutes ... he said he should have been the 1st.
Hemp licensing has something to do with the University of Florida program. MF was part of the University of Florida pilot program.
You dont have to be part of the program to get a commercial license anymore. By being part of the University of Florida program ... a research program ... MF can grow and research different cultivars ...
While a regular commercial license you can only grow and sell certain identified cultivars and that is it.
MF bought the farm in 2018 ... leased with an option to buy. He executed on the option to buy in February 2021. He started growing in April of 2020 when his license was issued. The lease with Fluent was June 2021.
Julien Craan has a 1% interest in CIGN Real Estate. CIGN Real Estate sole purpose is just to own the farm. CIGN is the operating company.
MF Deposition - Other Notes
MF got a cultivation license in Puerto Rico. Medical Only. MF said he has a farm in Santa Isabel under the business name Can It Holdings de Puerto Rico.
That is a Puerto Rican Company owned by MF, Ruben Vasquez and Hector Garcia (or Rivera). MF 74%, Hector 1% and Ruben 25%.
MF runs and operates. President and CEO. One farm ... license is for 50k sq ft of canopy. It is 13k sq ft of indoor space, small outdoor space and 27 acre farm.
They are not currently growing but fully licensed to grow. MF says a hurricane came down through the island right through his farm. He got the license in 2016. He did not get final insoection approval until June of 2022.
Has not planted anything to date. MF states he is getting ready to grow again there. All can only be sold in Puerto Rico.
He had planned to eventually do retail there but retail licenses have been capped so cant get one. But if that changed he may.
In Puerto Rico you have to get a license for each thing seperately, cuktivation, manufacturing, transpirt and retail. Not vertical like Florida.
MF only has license for cutivation. Can only sell wholesale to retail
MF Deposition - In terms of delpoyment ...
MF started learning about the cannabis industry in the US and got involved with a group out of Kentucky that was doing hemp.
Later he went to Colorado and got involved with a dispensary and a grow in Colorado.
Then with Native American Indians in Menominee in Wisconsin. All hemp based except Colorado was marijuana.
Slowly but surely ... Puerto Rico opened licenses so MF could put a license and grow MJ in Puerto Rico And in Florida he opened up a MJ clinic called Miracle Leaf.
He did not deploy any IP but it was his entry into the cannabis space.
The group in Kentucky was called Ananda Hemp. Investment only.
He still has investment. They are not generating anything though. He was just investor ... not operations
In Colorado the group was called River Rock. MF just helped them raise capital and become profitable. He was not an investor.
MF was an outside consultant but he was never paid and said "Welcome to cannabis". It is an ongoing entity. He is not sure how they are doing but said he raised some capital and doubled their retail sales in 30 days. He worked with them for 6 to 7 months. He said he worked with Norton Alvarius.
Then the Native American groups authorized by Obama/Biden to get into Cannabis. MF pitched to the tribes if he could grow with them.
Did a deal with Menominees Tribe in Wisconsin. They had a group of partners form a company and do a deal with the tribe. The Company was called Sanctuary Health. The Company was in Florida.
It is not an ongoing entity. MF ran that entity. Investor and one of the owners. It was a group of 6 or 7 people. Just a bunch of partners. He aaid they pitched hemp and MJ but only did Hemp.
He said the Feds came in and tore it all down thinking it was MJ.
He says this was 2015/2016 in Wisconsin ... hemp was just legalized and it was a tribe ... not hiw hemp is viewed now. He said the AG was aware and it was all notified at State level ... he guesses someone at State level didnt like it and called the Feds. Could have been a major lawsuit.
That was their 1st crop ... not even harvested. MF couldnt really the name the other 6 people when asked which is kind of odd. A lot of forget the name.
Bruce Bannaman
Sally S.R. Tommie from Seminole tribe
Company called Full Spectrum
Company owner out of Colorado that then went to Canada
Bob ? Attorney
Then MF said that the Company in Colorado that then went to Canada was something Spectrum and that he thinks they are the Company that owns the patent for Delta 8 conversion technology. MF didnt hikd this patent and said there was part they threw into the Company. That part seems strange.
MF Deposition - When asked about other IP's MF was acquiring
MF said there is a machine that does high input screening of cannabis oils and using biopsy material.
You take a biopsy throw 200 to 5k different oils at it on a petri dish format and it will tell you which oil is best to cure or destroy your bad cancer cells on your particular tumor.
It is innivative technology and that is when of the things MF has IP
Also the formulas for psoriasis cream that have passed through 3rd stage clinical trials, currently in 4th stage along with several other formulas he got from several different companies in Israel.
Although the only one he is actively working on is the psoriasis cream. It is being stabilized at this point.
He said the Company that is working on it is Can It Industries (not CIGN).
All his IP's are through Can It Industries.
MF Deposition - Background Info
Stopped being a lawyer 10 years ago. Born in Miami Raised in Puerto Rico
After High School went to Israel for a year program. Then Boston University. Then studied abroad back in Israel. Finished college and went to law school in Syracuse, NY. Went straight into law after law school.. Lawyer in Miami ... Immigration
Spent a year in Israel after HS and a year 1st year of college. Went to School and Mashav and Kibbutz farming.
Spent 6 months in Jerusalem studying and then 6 months working in the farms from planting melons to artichokes but he likes dealing with the cows so he was a milkman for many months. He went to school and learned agriculture there.
MF got back into farming, horticulture, agriculture again in 2015. He saw cannabis as future medicine and made the decision in late 2014/2015.
He got on a plane and went to Israel to learn. Took his family. And spent a couple of months with a family over there. Started to acquire intellectual property and come back to the States to deploy.
They have been doing research using Cannabis in Israel for over 40 years. MF says his family are big philanthropists in Israel and he was able to meet the right people.
Starting with Raphael Mechoulam who is the Grandfather of THC and then bigger companies in Israel that had done clinical research on the plant.
Raphael is the one that discovered the THC compound 30 years ago in cannabis and that this compound had the psychoactive effects.
Raphael is a reaearcher at the University of Jerusalem and MF met a lot of people through him and after. He was the co author of what is today the conversion technology from CBD to THC.
MF said he negotiated and was part of group but MF did not do it with him and Raphael is written on the patent but MF is not on it.
MF says the products you see now Delta 8 and derivatives that chemical conversion that Raphael wrote the patent over 20 years ago.
MF then states he desisted from the relationship with Raphael. He says he called Raphael about the technology and Raphael told MF that MF was written as a coauthor on the patent.
But MF reiterates he had nothing to do with the actual patent himself. At any rate Raphael didnt think it was a viable alternative. The lipids are too extensive. So MF listened and that was it on that
MF said all he did was negotiate the rights for distribution in the US. Well ... the results from the technology which would be Delta 8 thc etc. MF believes all the products you see now are violators of Raphael's patent personally.
But MF has no interest in the technology so it is what it is. He gave up his rights.
Question - It is my understanding you are a practicing attorney in the State of Florida?
MF - I stopped practicing it. I perfected it. Then I got out
??
Musical Shares ... were you able to read anything on the 2nd half after they break for lunch?
The pages were all blank for me and that is the part they were really about to get in on the Fluent/FTH deal.
The depositions are very long but worth a read. It is really eye opening and there are a bunch of them.
Trying not to be bias but it looks like a slam dunk for CIGN and MF. Fluent/FTH are trying to drag it out but literally dont have a leg to stand on.
They uncovered emails from the compliance officer complaining about their own protocols not being followed after they took over.
It looks like the strain they claimed was contaminated was "Rigel". Rigel has never been grown by MF there. There is proof that they also shipped their own seeds in to be grown there.
Fluent/FTH has never even provided the lab report on this "Rigel" strain showing that it failed testing ... just words.
They have claimed over 10 harvest loss previously for various reasons ... and allegedly never for this reason.
There is an email where they say the contamination may have come from another site they run in Florida, Homestead or lab proving they were not sure.
They filed a document with the DOH in Florida when claiming crop loss specifically attributing the loss to contamination from water dripping off the metal structure.
However, Beasley admitted right away in the deposition that they thought that and they know it not to be true now. And he still has no clue where the contamination came from.
Ummm ... covering your tracks much. Yet they definitvely state the reason when claiming a total loss.
There are so many damning things against them and they have yet to produce anything from their end to support any of their claims.
They admit in their depo to making multiple site inspections prior and everything was fine.
And to make matters worse for them ... none of that even actually matters ... Florida case law it is entirely Fluent/FTH responsibility to do proper DD so even if any of their claims are true ... which they dont appear to be ... and even if MF somehow knew xyz ... which it appears he didnt and they are full of it ... it still doesnt matter and get them out of the contract and the guaranty they signed.
To be honest ... the Judge should be ruking summary judgment in their favor but may let a jury decide.
According to Feldenkrais deposition ... he is broke due to Fluent/FTH not paying. I am going to post a lot of information from the Feldenkrais deposition. Unfortunately, only got halfway through it and rest of doc was blank that was 2nd half of depo.
In his deposition as part of the Fluent/FTH agreement he was to receive 300k up front to do a bunch of stuff. Fluent ended up saying they would do 100k over 3 months. Then Fluent changed from paying him that money for doing xyz to attributing that money to purchase the hemp from his last harvest that was at the property.
Then never paid for anything. That would be some of the AR.
Good point. It is probably shares to pay debt which keeps piling up.
Update on Fluent/FTC lawsuit ... After no filings since 03/30 in which mediation was not successful.
They have no filed for a Motion for Sanctions against Fluent/FTC for their counterclaim against MF personally. In Florida, if you file a counterclaim and can't back it up which they claim Fluent has not backed it up with any factual basis or evidence, they can seek attorney costs etc. They sent Fluent 21 days ago a request to voluntarily remove MF from their counter claim that was not responded to so they took the next step.
We will see what the judge says.
All that matters is whether the CE comes off or not. People already talking about revenue but it is apparent there is not going to be any operations or revenue and we are not going to get any information on what any plans are until the CE comes off.
All I know is if the CE comes off it will certainly be higher than .001 and then people will be free to do what they want.
Appears nothing is going to happen until maybe Svorai sentencing in August? Wish we had some type of clarity if CE will come off or if there are any other issues that need to be addressed. All we can do is take MF's word because OTCM won't tell us anything and there is zero documentation you can get anywhere regarding this process which is the worst part.
Hopefully we get closure in the near future.
I remember seeing this too and asking about it. I can't remember what the explanation was but there was some explanation when I asked about it.
I wondered about this too just can't remember if there was something else that reflected the change or that amendment did not go into effect because of XYZ
Good to revisit because I couldn't understand why the A/S wasn't 10B and it was 5B instead.
Musical Shares ... those names are not stuff he is paying off debt ... I think that is how he is getting cash/financing and issuing shares/dilution for cash/financing. They have no money, no revenue and no operations until CE comes off or I guess if they win the Fluent lawsuit.
Interesting ... I did not see that. I did think I saw in one of the old filings where it did say MF was the CEO and that was before the date of the sale and purchase of the control block. Not sure what to make of this.
GTC - As far as I know in my research and nothing to back it up. C L Morris is Cortney Morris who is related to Zoyes. I went back to the original CATV and have spoken with the CEO that sold to the Zoyes crew back in the day and all I can say is the way it was explained to me was that ... I believe in the filings somewhere it says he sold the control block to C L Morris ... I don't see anything that says anything after that ... but I believe C L Morris either sold or transferred the control block 5 Series A shares to Zoyes.
At the end of the day it doesn't really matter ... there would be paperwork to tie it all together and either Zoyes could show that he owned the shares and sold to MF or he can't. I do know MF has stated he absolutely bought and owns those shares and has the paperwork to prove it.
I mean I don't know the whole process of going Pink Current but lord I would hope when MF went Pink Current that they would have to provide the official paperwork showing the change of control to OTCM etc.
As for the CEO stuff ... they appointed MF as the CEO on December 8th from what I recall. Maybe December 22nd MF was on board of directors. Official change of control and selling of the 5 series A shares control block from Zoyes to MF on December 27th.
What I noticed is in the new filings after all of that on the regular quarterlies it doesn't say any of that anymore but not sure if that is an annual thing or just when you are trying to go Pink Current or what. But you have to go to the old filings to find that passage.
Natacha St Louis ... she was actually listed as CIGN Ops Manager or some such when the stock was trading before the CE. We found her on instagram so she was part of the CIGN Management team.
All those new creditors and issuances you have seen ... I looked them all up too ... couldn't make sense of it except that it is apparent the Company is broke and appears that MF has been issuing shares to raise cash (about 250k per quarter from what I can tell) I am guessing to keep the Company afloat and pay for expenses to keep the Company Pink Current? Just my guess. That has been going on every quarter since being broke.
It appears somehow MF is keeping enough interest to issue shares for cash in return so all these people are essentially taking on the risk those shares will be worth something, they get their money back and a return on their investment.
It is quite the random assortment of Companies and LLC's either people I do not recognize and a couple I do ... such as her. I mean I suppose any person can just form an LLC so I looked all those up to see who the main person is at each one.
MF did say this but for full context everyone knew it was a joke. MF would respond to e-mails and at the time the board was more lively ... I recall at the start people would run across issues like from an order or shipping or payment system used on the website people were ordering products from. There was some response at 3 or 4am and someone asked if he ever sleeps and he said I will sleep at $6 and then joked $7 later.
NO ONE took that seriously and people immediately laughed it off and talked about only a hefty reverse split would make that possible.
Don't get me wrong ... looking back the PR's do look pumper-ish. And it did quiet down post Svorai arrest. But c'mon ... couldn't you say this about almost EVERY penny stock.
They literally did not hit any of their stated goals or deliverables which absolutely drives price. The believers will say mostly because of the CE. The non believers will say Svorai got arrested and MF clammed up or it was a scam.
Now that is the other side of TXTrader we know. You call out other people for attacking others that question or post negatively about the Company or the CEO. But you are essentially doing the same thing when people who are just trying to better understand your argument or are skeptical of your allegations for questioning you. You could just provide a response to further support your claims or contradict Musical Shares post.
That is just normal debate and discussion.
Cash - What he posted is not what was communicated in the Telegram chat in terms of the details with the OTCM and chats with MF and offering services etc. He did communicate to me privately just that he had a way and was talking with the OTCM but no details. The liasion part and just in general he thought OTCM did not have everything and he was questioning if MF had provided them everything etc.
I was just very uncomfortable with the whole liasion thing as that seemed like something OTCM would frown on as he was not an officer of the Company which I was not on board with and the information was just vague and in generalities.
This is a lot more detail which I appreciate as it sheds a lot more light on what TXTrader is saying happened or he actually did.
