They just sold an additional 200 million, So IMO there are 250 million shares still needing to be diluted. (That were purchased the last two weeks from the open 1-A) The 1-a offering is at .00025 with 2.5 billion total shares being offered. Out of those shares 1.4 billion already have been sold and 1.1 billion are available for purchase. Depending on how much cash Tri Cascade needs prior to larger POs and revenue being able to support their operations will determine IMO how many more are sold. Or, if Tri Cascade wants to sell more shares but there are no buyers for them due to low SP.
Below is what Max said from a shareholder letter on 12/30/2022 concerning upcoming dilution. They had to move the offering to .00025 in February due to low SP and not being able to sell the offering at .0004.
How do we finance our revenue rollout plan for 2023? On December 21, 2022 we received
qualification from the SEC to our new Regulation A public offering to raise up to $1 million in
new capital through the issuance of our common stock at $ 0.0004 per share. The duration of
the approved offering is 12 months. These funds will cover both future product sample and

IMO there is no reason to spin it, Tri Cascade has a first to market 5g product. Employees will come and go, but Tri cascades main focus should be on more bulk sells of the VOS 5g dongle, which IMO will be coming soon. Jerome had no part in that, possibly why he is gone. He had a big salary with very little to show for it IMO. Personally, I want to see them put all of their available capital and resources into selling the dongle and once they can support operations through sales and data plan revenue, they can focus on bringing the i.VA and other products to market.
Yes, this news is not that big of a deal now that we actually have a first to market 5g product on the market, with a bulk sale to Newegg for 470k and more to follow.

Q3 and Q4 I believe is what Max referenced in the newegg PR, The Q2 will probably reflect around 30 to 50k of revenue and any more will be a pleasant surprise to me. What I am looking for is to see if we can get any insight on data plan revenue and now who received the 100 mil restricted shares.
I just go off of average trades. It is not an exact science but seems to be pretty accurate when I've tracked it this way in the past. But honestly, I'm not to worried about the dilution yea it sucks now, but after it is done, the next PO will shoot us right back up and if it is a large PO like a 25,000 unit sale (5 to 6 million in Revenue) we could be looking at multiple pennies. Also, with a sell like that, Tri Cascade will have plenty of cash to cover operations and will not have to dilute again IMO.

I am trying to track the dilution to know when all of the shares are sold. Out of the 400 million shares purchased last week off the 1a I believe around 300 million have sold and there are still around 100 million left to dilute (could be less depending on average trades, which none have been reported today yet). This to me shows .0005 is our bottom as there are 160 million shares on the bid at .0005 which would easily soak up the remaining shares if the diluters wanted to close their position IMO. Also, IMO consider yourself lucky if you are able to pick up any .0005 as once dilution is done IMO we will be heading north. How high will the stock go? IMO, depends on the size of the upcoming PO's.
PS I am not a pumper, I am a long shareholder and more bullish than ever on SRMX. A pumper would be trying to divert your eyes from the dilution and make you think those average trades are big investors buying in bulk or some other bull crap. I do of course sometimes give my opinion, and IMO I am happy the dilution is happening in trips and hope they sell all the shares prior to additional POs being announced. IMO if you believe more POs are on the way (like I do) this is a golden opportunity, because if SRMX did not have to dilute we would already be halfway to a penny IMO.
The reason I think there are more PO's on the way is because Newegg, one of leading ecommerce tech platforms, just purchased 1,930 dongles for $472,000 and are being shipped this week. You better believe Newegg did their DD on Tri Cascades VOS 5g dongle. Also, they did not have to bulk buy from Tri Cascade, they could have just let Tri Cascade sale independently on their platform. With all this being said, I'll let you come to your own conclusion why Newegg bought the dongle over just letting tri cascade sale independently on their platform.
Thank goodness, they need to dump them all so we can trade freely and does not interrupt our next run IMO when the larger PO's are announced.
I am unsure, Max and Alan have not taken restricted shares since 2021. I hope it went to Jerome or Bob for hitting sales incentives. That would be best case scenario IMO, but most likely going to another Special Advisor to the Board of Directors or for services. But do not know, when the shares were given on 8/1 the stock closed at .0007 equating to $70,000 in value. So, whoever it is I'm hoping they will be a big part moving forward. It should be disclosed in our Q2 so we will not have to wait long to find out.

I would not say that quite yet, the average trades throughout the day are usually a good indicator of how many have been sold. It's not an exact science but it is pretty close. To my count there is a little over 200 mil left to go, unless they are not going to sell the additional 200 mil. If not, then you might be correct.

That is correct CIT group is only for inventory (Filing PO's). After invoice is paid by customer to CIT group (most likely NET 90) CIT group will then pay Tri Cascade the remainder minus interest.
Terms could be different; it just depends on the deal worked out, but above is a standard receivable factoring deal. Also, this deal is not just hey, CIT Group, I think we will be selling product and need inventory. CIT group will only pay for inventory if there is a PO in hand.

Some people might be asking why Tri Cascade has a 1a open since they are now selling product. It's because they are currently cash strapped. Tri Cascade is on the verge of becoming cash flow positive and supporting operations through sales but are not there yet. Currently Tri Cascades investor Wen-Shone Shiau has been footing the bill for operations, but these are bridge loans incurring interest. Wen-Shone has invested into Tri Cascade purchasing 2 million preferred shares for $750k (2020/2021) and now these bridge loans to ensure Tri Cascade has the funds to launch and sell the VOS 5g Dongle. Now since the dongle is released the 1a is extremely undervalued and outdated IMO but is the only option Tri Cascade currently has prior to being able to support operations from sales.

One thing important here is that Max Li Tri Cascades CEO has not been taking a full salary over the last 3 years to keep operations cost down. (And is one of the many reasons I invested into SRMX)

As you can tell SRMX still needs cash to continue operations and it sucks that is coming from this outdated 1a but IMO it is a necessary evil to providing SRMX with much needed cash prior to becoming a profitable company. Now what do they need to sell to not have to lean on loans or 1a's?
Here's IMO how This is just through bulk sell of the dongle (hardware) and does not include data plan revenue MRR or Amazon/Tri Cascades site
This is also assuming the Dongle landed cost to Tri cascade is $80 per dongle and CIT groups interest is .5%
The Newegg sale was ecommerce and profit margins are much higher ($160), when they start bulk selling to brick and mortar, IMO a modest assumption for profit per dongle sold will be right around $100 and brick and mortar will pay between around $160 to $220 dollars per dongle representing revenue for Tri cascade. For this I am going to go with $200, for simplicity's sake. I will also include the stock price with a 9x sales (source: finviz.com) at OS of 15 billion shares again just to keep the number simplistic. This IMO this number should be achievable in 2024.
Now with this being said IMO anything over 25,000 dongles bulk sold will allow Tri cascade to be able and support operations as well as pay off Wen-Shone and other pressing Current Liabilities. Assuming the numbers above are within reason.
So, IMO consider yourself lucky if you are looking to invest in Tri Cascade and have this opportunity to buy in trips before IMO larger POs start to role in. Just My Opinion. This is not Finacial advice!
