One reason this one is rare, is that there is a chance for no dilution. His $550k investment is already worth $100m, 200 times his investment. If he announces Crypto, then share price jumps to $10, then $20, then $30, at each of those stops his investment goes to $700m, $1.4b, $2.1b.
Lets say he announces and it runs to $20, he bring in Phoenix Miners because he has been compensated $1.4b for the assets, he sells 120m shares for $2b (fees and discount takes up the other $400m) and pays for the next batch of miners, we are now at 190m shares fully diluted, for something worth maybe $6b MC, $31 pps.
TCRI has paid for the new miners, Ali's shares are worth $2.1b.
All this is why this is a once in a lifetime stock. All others get diluted.

Most larger bitcoin miners are in the range you said. Even seen it in their filings.
I don't believe it includes the machines.
My thoughts are that most businesses you need money to expand, like crypto, you need miners, like building a Metaverse, you need years of programing, some businesses you need to build a large building, when you bid on contracts, you expand after winning the contract. Why would I "expand" and then not win contracts? If I was a guard business with years of experience, what would I have to go out and buy to expand? Uniforms and cars? Lease a building or two. Their main expense is payroll.
Going on a reply to your question already, it matches what OTC says for O/S, if it was different and higher, then they raised it for a reason, but since it matches, I would not be worried about it.
I don't see a guard business really needing money, unless for vehicles. They are doing van service to the VA.

Actually it is a yearly filing and they have 90 days, so that makes it the end of March.

The RS is a problem, when I first started doing DD and found a lot of the info, I did not know about the RS, until someone told me it was in the Nev SOS filing, so I bought it and it was there.
The only sort of saving grace is that other share holders did vote for the RS including John.
They must have been given the plan and felt they were better off with the new reverse merger plan then riding it out with John.
I have 2.2m shares @ $0.00234, so I am ok, soon to be 3,000.
To be honest, the best chance at a good profit is likely when it is announced, when a flood of new buyers and FURU's jump in.

Now they can change it back to Viyya Technologies with a new filing.

Any idea why the OTC site says the Incorporation is NV, when filings say it is Del? There is no active Techcom in NV, but there is a recently filed AlphaBit, LLC with a Dubai address where Phoenix has their Bitmain retail space.
