If I was in your position (not fully invested in Roth IRA), and therefore forced to keep the stock shares of the buying company for a while, I would prefer to be bought by a company with a 80% growth or more over a company which stock gives dividend but depreciated by 30% plus in the last year or so.

Dividends that are paid come from somewhere and the stock price generally goes down after the dividends are paid.

So kayak I would use a spreadsheet and compare the two companies on growth and dividends.
