CVSI Annual Meeting 6/1/2023. I received my proxy from broker yesterday.
I'm of the opinion CVSI is 'quietly' executing their plan. The experiences of Mona's, Left, short attacks, lawsuits, and misinformation has taught management the value of discretion. CVSI has been slowly assembling the foundational pieces of the business much like a jigsaw puzzle. It takes time, but time will eventually reveal the extent of the vision when the picture is complete.

Almost 2 million shares traded with a small dip in price is encouraging. Some or someone are/is willing to buy at these price levels. The thinly trading day volumes are mostly noise and not very significant (IMO). I think most are waiting to see how CVSI plan develops. There is a plan and management is implementing it, albeit slowly. The settling of lawsuits, issuance of super voting shares, last shareholder vote, new leased facility and financing all point to a plan. News from CVSI has also been slim to none. It is customary or sometimes forced by regulations for a company to have 'quiet periods' or 'black-out periods' when restructuring, mergers, acquisitions, or other significant events are planned. Time will eventually reveal the truth. I am willing to wait.
I've been using Interactive Brokers (IB) for years and it is a good platform to use. It is through them that I hold and purchase CVSI stock.
I am keeping an open mind and am not ready to disparage management. The reverse split option has a three year window to be implemented. Stock price could organically grow do to other catalysts (merger, partnership, FDA, etc), but forcing RS vote can be used as last option to increase share price for Nasdaq listing. The investor may have required this from management to meet his timeline.
Went back to Kroger, 6 company products now displayed. CW, CVSI, Medterra, Prana, Shikai, and Veritas Farms. All products are topical: Balms, creams, and lotions. No ingestibles.

BlueDuke, I empathize with your disgust toward current CVSI price. My position is also underwater. You state a hold date until November 2022. That is good, many people initiate positions without thinking about an exit strategy. Revisit your original analysis; if it is still valid, then this will give you confidence to continue to hold without negative emotion. Emotion, both good and bad, has always led me to poor decisions. Mark Twain once stated, “It is easy to fool a man, but much harder to convince him he has been fooled.” If you feel you have been duped by CVSI management, or by the historic or current price movement, or even duped by your own analysis; this is an answer in itself. Don’t hold or make decisions that you believe will result in one more sickening year. This is not criticism just friendly input. Re-evaluate and make a decision you feel comfortable executing. Wishing the best of luck to you. I hope you stay, but make it a balanced decision. I am long and staying long CVSI.

CVSI could split assets many ways. To name a few it could done by a spin-off company (shareholders gain shares in new company keeping shares in old), a split-off company (shareholders relinquish some shares to gain new shares) a merger with another company, or acquisition by another company. Each have pros and cons and really things are limited by creativity of the parties involved.
My first thought is also Merger/Acquisition. Along with the prior change in executive compensation package that now expressly includes Golden Parachute clause for Change in Control, CVSI is terminating building lease.
Agree about BK. A sale of consumer division could provide monies to fund future drug development.
Interesting, that's an Executive Change in Control compensation agreement. It is considered a "Golden Parachute" because it provides employment protection for a CIC. It allows executive to focus on shareholder value despite future employment uncertainty if a merger, acquisition, or other CIC event occurs. This one specifically cites the following as a CIC:
" For the avoidance of doubt, the sale of the Company’s consumer products business shall be deemed a sale of substantially all of the assets for purposes of determining whether a “Change of Control” under this Agreement has occurred."
This could imply a future sale of CVSI CBD products division, leaving CVSI with only pharmaceutical division.

If pharmaceutical company buys CVSI, do CVSI shares convert to drug company stock or would it typically be cash sale? What happens to CBD business?
What share percent is reasonable for CVSI drug candidate to capture of the total smokeless tobacco addiction treatment market when/if it becomes available? Total market projected at $2B, so is 20-30% reasonable?
