Has anyone heard anything on NTAC? Last message was mid-April. Radio silent since then. No financial filings or announcements. Are they still in business?
NTAC just released annual earnings through Sept 2023. Revenues of $59M, net income of $26M, and earnings per share of $ .31. Pretty impressive. We should be trading for at least 10X earnings or over $3.00 per share. They have to get the caveat emptor label removed on OTC Markets. And do some marketing. This looks like a very underrated stock.
NTAC has been radio silent for quite a while. Still having issues with their OTC designation of caveat emptor. Have not reported 3Q earnings. Been silent on X. Any idea what is happening? Are we still in business?

"Like wow dude". Pepe, please pay attention !! What is it about the statement "the SEC approval process for the dividend stock will probably take till October" that you don't understand? Stop with the foolish comments and questions until then.
We have a lot to look forward to in the coming weeks. HNRC should be reporting 2nd quarter earnings relatively soon. There should be an update on the Cunningham acquisition. Getting SEC approval for WDHI will take a little more time. It was filed in late June. The SEC usually reviews the filing and then comes back with some questions after about 30 - 45 days. The company will answer those questions, the SEC will put us in their queue and then should approve the stock for trading. Based on my experience with other investments like this, the estimated timeframe for receiving approval would be late September to mid-October. My understanding is the dividend shares are registered shares, so they should begin trading immediately. Maybe you guys could put all this negative yapping about the dividend on hold until October. We all know the SEC approval process takes time. Once all the audited financials are announced, I think we will find that we own two well-run companies (WDHI and HNRC) with lots of upside potential. There are better days ahead.

Has there been any news posted on these guys since the bankruptcy filing? Seems like there was so much fighting between the principal shareholders in the company that they just flushed the company down the drain.
Strong cash position. Good revenues and $ .06 earnings per share for the quarter. If that is sustainable, we have about $ .25 per share annualized. The stock should be trading for at least 10X earnings or $2.50 per share. Need to get the CE taken off so people will start buying.
Are we still waiting on the market maker? It has been months. Hopefully good 1st quarter results to be posted soon.
There are only a couple of us on this message board. Can't believe they still can't get the OTC Markets to remove the caveat emptor. It can't be that hard if you have the documentation. The annual report lists Myra Frappier as the CEO/CFO, Carmen Camejo as the President, and Michael Vichmidt as the Director. Try Googling them. I have found absolutely no information at all on any of them. There is a Carmen Camejo in Florida, but she is a real estate agent. No mention at all of Myra or Michael, although there is a Myra Frappier who died a few years ago.
Do you guys know anything at all about this management team? In today's world, it is pretty hard to not show up on Google for something you did in your life. At least the press release was somewhat understandable compared to previous releases. But then again, there has not been any news in quite a while. Hopefully, it is all on the up and up, but the red flags are waving. They don't seem to care that the stock is not trading.
I think you have the timing about right. FINRA approval can take 60 - 120 days depending on how many questions they have for HNRC. After getting FINRA approval, it will probably take Equiniti and the other brokerages 2-3 weeks to get the WDHI dividend shares in our accounts. Getting SEC approval for the S-1 usually takes 45 - 75 days. The two filings can somewhat run in parallel, so late March to mid-April for the dividend stock to start trading is probably reasonable. Assuming the Pogo acquisition is closed by the SPAC, there will be another dividend sent out to HNRC stockholders in late 2023 or 1st quarter of 2024. The key to the long-term success of the company is closing the Cunningham deal and developing all those wells. If HNRC can get 120+ wells producing, it will have great cash flow and we will have a very nice investment. it is going to take some patience and time for this to play out.
My best guess is that the sequence and timeline will look something like this:
1. HNRC gets FINRA approval for WDHI stock - could take another 2-6 weeks.
2. Equiniti distributes WDHI dividend shares - 1 to 2 weeks after FINRA approval.
3. HNRC files SEC registration so WDHI stock is tradeable - Will probably need 2-6 weeks for SEC approval after they get FINRA approval. It is a sequential process, not a parallel effort.
4. WDHI stock is tradeable sometime in March or April.
I hope it happens sooner, but has any step of this process happened sooner than we thought?
Patience is required. FINRA is not an expedited process. They take their time. Likely will be late January or early February before approvals are official. Will take time to get the stock dividends allocated to Equiniti and the bigger brokerage houses. There is probably an SEC filing to make as well. So will probably be March before the dividend stock is tradeable. That gives HNRC time to make some informational announcements about the company and generate positive PR to help drive the stock price. We all need to relax and let the process take its course. This is a marathon, not a sprint.
I need a little help understanding the valuation of WDHI. As of Sept 30th, there were 50 million HNRC shares outstanding. Probably more now. They split the company in half to create WDHI. Frank has stated we will receive a stock dividend of $1.75 per share. If we are going to get one share of WDHI for every share of HNRC owned, that means there will be at least 50 million shares of WDHI. Or if WDHI stock is trading at $5.00 per share, we would receive 1 share of WDHI for every share of HNRC owned. At $1.75 per share and 50M shares, or $5.00 per share and 17M shares outstanding, that would yield a market cap of $83M. The current market cap for HNRC is $6.5M today. How does the math work that HNRC stock was selling at around $ .60 per share at the time of the split and 50% of the company is now worth $1.75 per share? Based on previous press releases, the combined HNRC will likely have 2022 revenues of $20M with a net income of around $10M. WDHI will probably have $10M in revenues and $4M in net income, which equates to annual earnings of $ .08 per share. Using a 10X earnings multiplier gets you a $ .80 per share price. WDHI is not a high-flying tech company. HNRC will likely have revenues of $10M and a net income of $6M or $ .12 per share. The energy sector is known for extravagantly high valuations. HNRC has plenty of potential with 83 wells to be tapped and the Cunningham acquisition still pending. But with all those positives we are still trading in the $ .20 - $ .25 cent range. How do the numbers support a $1.75 per share dividend?

For every 1,000 shares of HNRC owned on Dec 16th, we are going to be receiving how many shares of WDHI? And when will we know how much a share of WDHI is worth? Frank has said in his press releases that the dividend will be worth $1.75 per share. How long does it take FINRA to approve the share registration? How could HNRC be sending shares to our accounts at Equiniti on Dec 30th when there is no official value of a share of WDHI as yet? Seems like they would need to get FINRA approval first, and set the price per share before any shares could be allocated. Would be nice if Frank sent out another press release explaining how this is going to work.

My understanding is that the dividend stock will be listed on NASDAQ under the stock symbol WDHI. That should make it easily tradeable and in high demand. Hold on and enjoy the ride.
I don't want anyone to lose money. But I also don't want anyone to miss a good opportunity because they are reading your BS. So yes, you can sit on the sidelines for a while. If there is no stock dividend in the first quarter you can come back and remind us that you warned us.
The annual report has been released. It shows earnings per share of $ .07 on 85M shares, the stock should be trading at $ .70 - $1.50 per share at 10X - 20X earnings. Will be nice to get the darn CE off the stock so the regular brokerage houses will let us buy more.
PepeOil - Surely you have something better to do with your time than make derogatory comments on HNRC. If you own the stock, then by all rights comment. But if you don't, just go away. You are not helping anyone. We are all trying to help each other here.

No that was not what I was asking. I was asking if anyone had found any background information on the business background of these people. Are they real? When you Google Myro Frappier you get a 90-year-old woman who died several years ago. The other two people cannot be found in a Google search. It is almost impossible for anyone who has had a successful business career not to have some information about them in a Google search. Especially people who are company executives.
And if Ballout is not working for the company, who is supposed to be filing the audited financial statements, which are now 5-6 months late for the second quarter? Not to mention the 3rd quarter filings. Somebody keeps making posts on Twitter saying they are delayed because of OTC issues. That is complete BS. The OTC filing portal works just fine. Every other company posts their results without any delays or problems. But not us.
Can anyone provide some background information on the new management team. They don't show up in Google or LinkedIn, which is hard to believe. You can find just about anyone in Google search. Myra Frappier, Michael Vichmidt and Carmen Alvarez. Would love to know more about their business backgrounds.
1. Couple of questions regarding Cunningham: How are they going to pay for it? With the stock at $ .37 it would be a huge dilution if they used stock. How much cash do they have? Seems the only source of cash for an acquisition is the SPAC with $86M in the bank. But that does not really help the HNRC stockholders?
2. The market currently values 100% of the company at $ .37 per share with annual revenues of $20M, net income of $5 - $7M, and 50 million shares outstanding. Then we are going to have a stock dividend in mid-December where we divest 50% of the company into a new entity and suddenly those shares are going to be worth $5 per share? Where is the math that supports that assumption? And where does HNRC trade at after the dividend?
3. The market obviously is skeptical about the press releases or we would be trading for $2 - $3 per share. It would be very helpful if Frank would release the audited financials and explain how this is all going to work. I think most investors are confused or highly skeptical. A little clarity would help attract new investors.
This appears to be another typical Ballout smoke screen delay tactic. If you go to OTCIQ.COM you will find that the links and portal are all working just fine. No reason at all that the company has not filed their financials in a timely basis. Just another delay for not good reason. If Ballout would just do his job, we would all be better served. For those of you who are Ballout supporters, please give me some hope. I have a lot of shares. Give me two examples where any of his recent promises have come to fruition. I can't think of any. What the regulators expect is that companies file their quarterly financials on time. Second-quarter financials are over 2 months late. Regulators expect companies to have real people leading them. Where in the world are Carmen Camajo, Michael Vichmidt, and Myra Frappier? No biographical information is available in Google searches, LinkedIn, or any business publication. Who are these people and why are they qualified to lead this company? The regulators cannot make an informed decision when the company does not provide complete information. I will gladly admit I am wrong if someone will please post credible information. So far nothing but false statements and empty promises for over a year.

We can all breathe a big sigh of relief. As of this morning when I checked, the Nevada Secretary of State website is fully operational. NTAC should have no problem quickly making their filings with the state. New Technology Acquisition Holdings is listed as a registered business. The officers are Carmen Camajo, Michael Vichmidt, and Myra Frappier. When I Googled these people, I found no information related to them having any business experience related to a company like NTAC. Carmen Camajo is a real estate agent in Miami. Michael Vichmidt is not to found in Google search. Myra Frappier died several years ago at the age of 90.
If anyone has more current information on these people and their business backgrounds, please make a post. We would all like to believe that things are moving in the right direction. However, it is hard not to be more than a little skeptical based on the evidence thus far. Please prove me wrong. Threewheeler, what have you found out? Anyone else?
I want to be wrong. I own a boatload of stock. So somebody please explain what happened to Carmen. Who is Myra? What is her business background, qualifications, and reason for being on the Board? And why is Benjamin Ballout the CEO and President of this new company? I thought we had a new leadership team. Still no 2cd quarter financials have been filed even though they were promised weeks ago. Looks and feels like the same BS we have been given for the past 2 years. Please offer some proof that I am wrong. I will be so glad if someone can.
As a shareowner, I pray that I am wrong. The picture of the 90-year-old DEAD Myra Frappier in Google matches the same picture used in the NTAC press release. Seriously. How stupid is that? Very willing to have the company or someone else prove me wrong. But do so quickly. How is it that the person named Chairman of the Board of this company is impossible to find? assuming she is an accomplished businessperson, there should be plenty of available information about her. The company should be extolling her background. And what happened to the previously named President, Carmen Camajo? Google her background. No business experience either as she is a real estate person in Miami. So show me evidence that this is not a scam. Mr. Ballout was stepping away from the company. Now he is suddenly the President. and those financial filings that have been promised for the last 4 weeks, every week. Have they been filed yet? Surely we all should be getting a little nervous.

So what has really changed here? Ben Ballout is now the president and CEO of NTAC, the "new" company that supposedly bought ENKS? So what is different? What happened to Carmen Camajo, the previously named president of NTAC? Seems like smoke and mirrors.
Thought we were finally going to start getting press releases that had factual reporting and had been written by someone who knows how to write a complete sentence. Can't wait to see the financial reports. Always an interesting study of fact, fiction, and fantasy.
Let's not get caught up on news hitting the wires this week. HNRC said they were expecting to close on the Cunningham acquisition by the end of September. That was an estimate, not a firm promise or commitment. Deals can sometimes take longer to close than first expected. Don't be disappointed or panicky if there is not an announcement this week. It could be mid-October. It could be later. Whenever they make the announcement, it should be very positive news, just maybe a little later than we would like.
Thanks for posting the update ThreeWheeler. Would be a nice surprise if ENKS actually did what they say they are going to do on one of their posts. They have not been very accurate over the last 2 years. Hopefully, this will all be behind us in a few more weeks. New ownership will be a welcome change as would some clarity on exactly what the plan is moving forward.
I hope this is real. I tried to Google the new owners and did not find any information at all for Carmen Camajo the new President except for a real estate agent in Miami. I am assuming that is not our new President. Nothing for Michael Vichmidt or Robert Herbert either. If anyone else can find out some background information on these people, please post it.
