Interesting to see the former founder of BIGtoken and COO of SRAX, Kristoffer Nelson, posting his thoughts on the stocktwits FPVD board.
Here for anyone who may not have seen it:

Nice thank you! Frank Paul Victor David baybeee
My thoughts exactly! Well said!
I agree. I don't really see the connection between NFT's and BIGtoken. It could happen, but I just don't see it at this time. We will have to wait and see what is announced.
Fungible means it can be exchanged for equal value. For example, a 5 dollar bill and a 5 dollar bill are fungible because they can be exchanged for equal value. Non-fungible tokens are assets that can't be exchanged for equal value. NFT's are like digital beanie babies. I just don't see how BIGtoken could incorporate this but I'd never claim to be an expert on the subject or have a crystal ball. It just seems like it would complicate their business model. It doesn't fit for me.
Malcolm Casselle was involved with them during his tenure at WAX so I see there is that connection, but NFT's as a whole are made possible by the blockchain. That is Lou's value, his expertise and why I believe he was brought on to pick up where Malcolm left off.
Paying users in some sort of cryptocurrency seems far more likely.
Hello everyone! I'm new here. Could someone please direct me to some good DD on this ticker? I am starting to do some research but this board has a lot of chatter and there isn't that much to go on with the pinned posts.
Looks good but a lot of conflicting commentary and I don't want to get scammed. Just wondering if anyone could point me to the trustworthy posters or research.
Thanks in advance!
I was wondering where I recognized the name Brittany Kaiser from.
Now that I am watching the webinar and I see her face I remember. She was a whistleblower at the center of that whole Cambridge Analytica privacy scandal and is featured in the documentary The Great Hack:
Cheers!!
Definition of a Ponzi scheme:
"A Ponzi scheme is a form of fraud that lures investors and pays profits to earlier investors with funds from more recent investors. The scheme leads victims to believe that profits are coming from legitimate business activity, and they remain unaware that other investors are the source of funds."
This is not AT ALL what Bigtoken is doing.
My background is in UX design. As user experience designers we are taught there are a few common ways a company like Bigtoken can grow:
Viral
Products that have viral growth depend on person-to-person transmission as a necessary consequence of normal product use - this is what Bigtoken has literally built into their product. Chris Miglino has talked about the viral growth they experienced early on in their journey with Bigtoken.
Sticky
This refers to growth achieved through customer retention. If you’ve got a very low churn rate then every additional customer has a compounding impact, amplifying customer growth. We don't really know what their churn rate is so we can't really comment on that. I imagine this has been their biggest struggle and bottleneck as a result of some of their pay-out issues in the past. We need to give the company time to get on their feet and I think the crypto angle others have been hinting at could be the saving grace here.
Paid
Paid refers to the growth achieved through the combination of low customer acquisition costs and high customer lifetime values, and is the customer acquisition method most people will be familiar with. It means they get customers through paid channels: advertising or pay per click campaigns, for example. Bigtoken is also lucky in that they have received a lot of organic growth from YouTubers from "beer money" type communities that have popped up in times where it's possible for people to make money from home and online. This also compounds with their viral growth model.
Yeah lol like clearly Lou is just trying to bring more attention to Bigtoken. Seeing as how articles are being written about it with Bigtoken in the headline, looks like it's working.
Munger wouldn't even give a wager like that the time of day. He's a very old, very rich man he doesn't need to give a shit about crypto if he doesn't want to. In all seriousness he probably won't even live long enough to see crypto really take off. He's 97.
I've never seen a more obvious PR stunt and I really question the motives of the guy that is trying to fear monger like this is irresponsible money management on the part of Lou. It's laughable.
Exactly! It would be a real dick move for him to give false hope in these replies and then screw people over down the road. I just don't get that vibe from him.
I really don't need constant reassurance with this company, although it is nice following your updates and thoughts as things develop, along with others on this board. I've done my research, I see the talented management team they've put together and I've decided there is enough potential here that I am happy to wait it out for the mid to long term and see what happens.
Always a pleasure, IBB.
Hahaha IT'S SOMETHING
If you can keep your head when all about you
Are losing theirs and blaming it on you,
If you can trust yourself when all men doubt you,
But make allowance for their doubting too;
If you can wait and not be tired by waiting,
Or being lied about, don’t deal in lies,
Or being hated, don’t give way to hating,
And yet don’t look too good, nor talk too wise:
If you can dream—and not make dreams your master;
If you can think—and not make thoughts your aim;
If you can meet with Triumph and Disaster
And treat those two impostors just the same;
If you can bear to hear the truth you’ve spoken
Twisted by knaves to make a trap for fools,
Or watch the things you gave your life to, broken,
And stoop and build ’em up with worn-out tools:
If you can make one heap of all your winnings
And risk it on one turn of pitch-and-toss,
And lose, and start again at your beginnings
And never breathe a word about your loss;
If you can force your heart and nerve and sinew
To serve your turn long after they are gone,
And so hold on when there is nothing in you
Except the Will which says to them: ‘Hold on!’
If you can talk with crowds and keep your virtue,
Or walk with Kings—nor lose the common touch,
If neither foes nor loving friends can hurt you,
If all men count with you, but none too much;
If you can fill the unforgiving minute
With sixty seconds’ worth of distance run,
Yours is the Earth and everything that’s in it,
And—which is more—you’ll be a Man, my son!
Whoever on this board pointed out that Cathie Wood follows Lou Kerner on twitter... HOLY CANNOLI! I'm sure I've missed a lot of awesome discussions since I've been gone from this board so hate to belabour this topic but....
I know it has nothing to do with the company fundamentally, regardless, that has got to be some of the most bullish shit I've ever seen for our baby bigtoken considering she only follows 336 people. Does that mean she's going to add FPVD to ARK? Not necessarily haha. Although one can dream. But that absolutely speaks to the expertise and credibility of Lou in the crypto space and I know based on that alone we will have more eyes on this company than we ever have before.
For anyone that doesn't know Cathie - Sweet mama Cathie - she is the darling of the financial world right now for her work in the investment management firm she founded called ARK. The funds focus on thematic investing and the use of Wright's law to measure and predict the development and mass adoption of innovative technologies (and by extension the companies she chooses to invest in) over time. She was shit on for years for her position in Tesla, correctly predicting Tesla would go to 4000+ (presplit).
For the people that know, sorry this will be redundant. But for those that maybe just stick to the OTC world or might not have heard of her, I encourage you to do some research because to me this is a really comforting sign of what's to come from our CEO. GTLA!
Hahaha no I'm not!! But maybe I will start, I have plenty more to say about PLTR lol
I don't have premium so can't PM but are you on Twitter or anything? I will check out the pick you mentioned as well thank you!!
Yeah I can't lie it took the wind out of my sails a bit when the news about the CEO came out, but I am glad things are still pushing forward!
Such a great feeling getting to share this with everyone here who has been following since early on. Looks like we were right in our convictions and patience pays!!
I am wary of a correction as well because SPY is looking a bit overextended but I am mostly scalping so watching price action and taking quick scalps on momentum. In and out in minutes or less. I can play it either way so if we get a correction I'm buying puts! :)
Other than that I have a couple of long calls (expiring Jan 2022) on Palantir (PLTR), a company I am very bullish on! I encourage you and anyone else to do some research if you are unfamiliar. It is a newly public company but has been in operation for over 17 years. Tons of sticky government contracts and lead by the previous cofounder of Paypal, Peter Thiel and a gentleman by the name of Alex Karp whom I have become a big fan of. I am in Canada and our Canadian Pension Plan is the second largest institutional investor in the company. Cathie Wood from Ark has been steadily adding to her position as well.
Anyway all the best to you! Next stop 10 cents!!
Oh nowhere lol I just moved away from OTC, been working on some different options trading strategies but I have been hanging onto my position with FPVD! My only OTC position now.
So happy for everyone who has been following this hopefully only up from here!! <3
CONGRATULATIONS LONGS!
Seems like a lotttttt more questions are being asked in this CC than in previous ones, multiple questions for FPVD and Bigtoken.
Raised close to 2 million out of the 3 million
BIGToken to be trading under FPVD beginning of December as per Chris Miglino in the SRAX CC right now
Anyone else had a chance to go through the DEF 14C? Nothing too revealing IMO but this is what jumped out at me regarding the increase in authorized common stock, otherwise referred to as "the Amendment"
Effective Date
"the Amendment will become effective no sooner than December 28, 2020"
SRAX year-end is Dec 31 so makes sense they would want this all tidied up by then.
Interest of Certain Parties in the Matters to be Acted Upon
"None of our executive officers or directors has any substantial interest resulting from the Amendment that is not shared by all other stockholders pro-rata, and in accordance with their respective interests" Meaning we're all affected equally. No insider benefits over individual shareholders.
Effects on Individual Stockholders
"If we implement the Amendment, we do not anticipate any effect on individual shareholders."
Go FPVD!
Agree 100% well said
omgomgomgogmgoogmogmmog
Number 15 now?? What's going on lol
Yeah for sure, I posted that here earlier. At first, I was disappointed to see that drop-off but I'm glad the company is taking the necessary steps to position themselves for success in the future. It's still a risky play obvs, but with a little time, I think it could work out well for us.
I actually hope BIGToken's user base has stayed relatively the same so they have time to better prepare themselves. It's clear to me that one of BIGtoken's biggest bottlenecks is being able to pay its users on time, and they are going to need the funding and clients to support its growth which it looks like they are working toward.
Seems they are looking for more creative ways to pay their users:
https://twitter.com/chrismiglino/status/1257818332645830656
https://medium.com/bigtoken/bigtoken-partners-with-superbloom-16c565cd96d7
To me, that hints at where Malcolm Casselle comes in with all his knowledge on Crypto.
So after their first viral growth after launching to an international market - it looks like they had to make some changes to their payment structure, which pissed a lot of international users off. It blew up with a lot of users located in regions where USD is worth more (via Google Trends data: Philipines, Vietnam, Nigeria, Morocco) and I don't think BIGtoken anticipated it.
From the co-founder Kristoffer Nelson:
"We made an adjustment to the value of BIGtoken points for most of our international users. The monetary value of BIGtoken points is based on our estimation of the current value in the data marketplace" (Basically saying, we made some of our international data worth way less now, oops, sorry)
For anyone else interested I like to look at google trends data for the companies I'm looking at.
You can see the first BIGToken boom there. The time period looks to coincide with when the CEO said they had been doing some modest marketing spending and had been experiencing viral growth and huge referrals going out through the app. Would have liked to see that upward movement continue, but
I also saw some recent youtube videos that were titled "BIGToken is back!" with reference to Big Seasons, their seasonal payout schedule within BIGToken. Well where did BIGToken go? Big Seasons is fairly newly launched, just this past June so maybe they were taking this time to set themselves up for success with their payment schedule. Big Seasons gives them a clear sense of what is owed when and knowing that allows them to use their capital more effectively. Getting paid on time is a big pain point and concern for users when it comes to these types of cash apps, so I think that's a solid improvement.
"BigToken Is Back! BigToken Big Seasons | Get Paid! | Make $200 Every Season!!!"
Shoot, I tried to see if I could stream it after the fact but the link is expired now. Hope they upload the presentation soon.
Yes thank you I started to dig into the NFT stuff last night but need to spend more time on it and Malcolm this weekend! Thanks for sharing, I think you are right about the potential here.
Thank you!!
Amazing! Thanks for tuning in! That is also EXACTLY within the timeline of that article SRAX tweeted about the other similar reverse merger here.
https://markets.businessinsider.com/news/stocks/spacs-show-investors-faster-simpler-way-to-go-public-1029688279#
"in connection with the merger, consummated a bridge financing on June 29, 2020, and submitted its latest S4 filing with the SEC on Aug. 28, 2020. Close of the business combination is expected in the fourth quarter of 2020."
June 29 - August 28 is two months.
If SRAX says we're 20-30 days out that means December 1st would be roughly 2 months as well from when this all started Oct 1.
I'm convinced this company is sub tweeting hints about their progress and plans.
SRAX sold the rest of the MD business for another 8M
https://www.businesswire.com/news/home/20201030005468/en/SRAX-Sells-Remaining-MD-Ownership-Stake-for-8M
"This transaction combined with moving Bigtoken to its own public company brings clarity to our mission going forward,” said Christopher Miglino, Founder and CEO of SRAX."
Good news people!!
If there was any doubt about the "poison pill" being legit this proves it for me:
"The Securities and Exchange Commission requires disclosure and discussion of the effects of any stockholder proposal that may be used as an anti-takeover device. Although the Company has no intent or plan to employ the additional unissued authorized shares as an anti-takeover device, it is possible that management could use the additional shares to resist or frustrate a third-party transaction"
So that tells us
The SEC requires they disclose the effects of a plan that could have an anti takeover device
They don't have plans to issue the unissued authorized shares.
Why would they mention an anti-takeover device if that's not what they're doing with regard to the 3 trillion shares? They kept it ambiguous, but of course, they would. They're letting others know not to try anything.
Looooong! Super long! Never been longer!
In that filing, I see there is a reference to the anti-takeover. I checked the other filings and I don't see it mentioned previously.
"Anti-Takeover Effects of the Proposed Increase
The Securities and Exchange Commission requires disclosure and discussion of the effects of any stockholder proposal that may be used as an anti-takeover device. Although the Company has no intent or plan to employ the additional unissued authorized shares as an anti-takeover device, it is possible that management could use the additional shares to resist or frustrate a third-party transaction providing an above-market premium that is favored by a majority of the independent stockholders. For example, shares of authorized and unissued common stock could (within the limits imposed by applicable law) be issued in one or more transactions that would discourage persons from attempting to gain control of the Company, by diluting the voting power of shares then outstanding. Similarly, the issuance of additional shares to certain persons allied with the Company’s management could have the effect of making it more difficult to remove the Company’s current management by diluting the stock ownership or voting rights of persons seeking to cause such removal. Each of these, together with other anti-takeover provisions in our charter documents and provided by Florida law, could potentially limit the opportunity for the Company’s stockholders to dispose of their stock at a premium.
The Company’s articles of incorporation and by-laws do not presently contain any provisions having anti-takeover effects and this proposal is not a plan by management to adopt a series of amendments to the Company’s articles of incorporation or by-laws to institute an anti-takeover provision. The Company does not have any plans or proposals to adopt other provisions or enter into other arrangements that may have material anti-takeover consequences.
The Board of Directors is not aware of any attempt, or contemplated attempt, to acquire control of the Company, and this proposal is not being presented with the intent that it be utilized as a type of anti-takeover device or to secure management’s positions within the Company."
