Good post RayA22. I can respect the EWLL believers and their passion. However, it's good to reflect and inject some reality into the conversation and balance expectations. It doesn't necessarily mean you stop believing.
I am not an EWLL believer (obviously) but I am not going to be a dream killer for those who are.
Well done RayA22.
No... It's BISTROMATICS!!!!!! Get it right!!!
"biomastrics"... Clearly quality DD there!!!! HILARIOUS!!!!
Strong wording in all caps. "Sounds" like false hype to me.
The debate is not what you dictate the debate to be. My points were made.
BUT it really does not matter because EWLL and ATI do NOT have a relationship. So in the context of EWLL it's a moot point.
It's a way to keep from going bankrupt in a lock down. Virtual, Telehealth/Telemedicine will only ever be a supplemental "option" to in-person treatment. It has a place but it will never be a primary way of providing care and, in my opinion, physical therapy is even less adaptable than other use cases.
Virtual Physical Therapy...let that sink in. Can something be virtual AND physical at the same time? No... No... It cannot. If anyone has ever had actual, meaningful physical therapy you know doing it virtually is ridiculous. Not to mention, people who need actual, meaningful physical therapy cannot manipulate the camera needed for "appointments" while performing PT on themselves.
Now that sounds like a winning strategy. Good luck with that.
If the BI people on the EWLL board approve it. If it happens and your scenario plays out AND it means the die hards here make a little pocket change. Great! Super! I personally, and in my opinion don't see it happening.
Who knows? Not you. Not me. Not anyone. I do know that BI controls a voting majority of the EWLL "board" (laughter barely suppressed) so cashing in on that "Phantom 15%" is highly unlikely. Assuming in some parallel universe 15% of nothing actually equals something.
Buyout news? Hilarious. Ewellness has no money to buy anything and has nothing of value to sell. Buyout??!! Thanks for that laugh... I needed that!!!
Don't be deterred or bullied... You are reading this ticker correctly. The argument changes day to day for some of these guys to suit their narrative. The same guy telling you to invest in a trading tool to analyze L2 was telling me he trades by gut feeling. It's pathetic.
There is no substance to this ticker. If the price moves it is ONLY due to shenanigans, not merit.
Agreed... Nice
You may be right. That's fair. For everyone else's benefit I am not a moderator.
Thank you RayA22. It's good to have a balanced discussion.
Not quite... A recent poster who happens to be a moderator was very clear that their statements are not "predictions" they are "FACT"...
AND they very clearly stated that "after the merger with ATI", etc., etc., etc.
It's bad enough to misrepresent opinions as facts but it is very disappointing coming from a moderator. But it happens again and again.
In this case I was not picking on you and RayA22.
Yes but unfortunately the "ATI merger" misleading statements represented as "fact" live on. SMH
"I think that’s pretty misleading that’s not helping people...Unless u post link or source...Helpful DD needs links not random thoughts..."
Sound familiar? Take your own advice and live by your own rules.
Lots to unpack here but, trust me, no.
The usual suspects have been absent so far this week. I wonder what the story is with that.
EWLL does NOT own PHZIO/MSK360/PREHABPT. It is not debatable...it is fact.
EWLL has no distinguishable assets besides an incalculable 15% stake in BI.
If they had ANYTHING or even the PROSPECTS of SOMETHING they would have reported it...on time. Instead, they DID tell everyone on 12/21 that EWLL is circling the drain.
BTW - Has anyone removed the #1 fact from the iHub intro page that states EWLL is "PINK CURRENT? They are NOT current. Please update or remove that "fact".
Wanna try again? Your comment does not make sense.
https://www.sec.gov/Archives/edgar/data/1550020/000149315220018269/form8-k.htm
"These agreements call for BI to immediately take over all operations and control of the PHZIO.COM, MSK360.COM and PREHABPT.COM platforms and websites from EWLL. As part of these agreements EWLL shall be granted a 15% ownership of BI. BI as part of this Agreement agrees to eliminate all past due professional fees of approximately US$782,832 owed to BI by EWLL. EWLL shall also be granted by BI a non-exclusive MPA for marketing of the PHZIO platform of products."
Strong language..."immediately take over"..."from EWLL".
EWLL officially transferred the intellectual property ownership to BI in return for debt forgiveness and a slice of ownership in BI.
It is very clear who owns NOT ONLY PHZIO BUT MSK360 and PREHABPT and it is NOT EWLL.
Come on folks...move past this one.
@werd - thumbs up on your last two posts. I share your views on those two points. It's just reality whether pro-ewll or not.
No way to tell if a RS is ULTIMATELY positive or negative for Average Joe investors. Day One it is a non-event.
Further, in EWLL's case, they cannot orchestrate a RS without being current and without cash.
On point!
In my opinion, there are still options and possibilities here in the OTC Wild West. But expectations should be lowered and personal exit plans should be developed.
In my opinion, "long" is still defined as trusting there is an event in the future that will drive the price higher and that will allow folks to get out without much pain.
However, in my opinion, this has been brain dead for quite some time and someone has there hand on the plug.
The strongest option and maybe the only one remaining is a corporate hermit crab on the way up crawling in to EWLL's abandoned shell.
It is just reality.
EWLL is in the OTC "Pink Limited" tier. Pink Limited "is used for companies with financial reporting issues, companies in bankruptcy or economic distress, as well as companies unwilling to meet the OTC Pink Basic Disclosure Guidelines."
INTRO PAGE UPDATE NEEDED: THIS IS NO LONGER TRUE
"Fact #1...EWLL is an OTC PINK fully reporting company."
OTC shenanigans. Cool with me. Best of luck. Just don't try to manufacture value based on the merit of EWLL.
There is no way to calculate the value of that 15% since BI is under no obligation to report financials. Sadly, it's the only thing of POTENTIAL VALUE that EWLL could refer to in their short and sweet 12/21/2020 8K.
There is clearly nothing of substance here. If the ticker stays active for more OTC shenanigans then so be it. Arguing a positive outcome where Average Joe shareholders exit with a profit or minimized losses on the merit of EWLL is indefensible.
ATI does not need EWLL for "marketing rights". Every PHZIO subscriber has the ability to customize and market their BI HOSTED PHZIO portal. Customers/Subscribers can place their brands thoughout their portal, etc...it's in the T's and C's with every subscriber. FACT
I have done more than think about it.
In your opinion ... Much better ... Thank you
And BI has a controlling number of seats on the EWLL "board"...my information is verifiable, is yours?
Link please
It is very obvious I have done my own very extensive due diligence.
Again ... Show me proof that EWLL is involved in CURRENT deals with ATI. I can easily show you where EWLL themselves states that BI is serving the ATI account.
Not the company...the OP stating ATI and EWLL were merging was intentionally misleading. When I requested a credible link he bailed and claimed "logic".
I have stated many times that eWellness Healthcare is pretty straightforward and clear in their filings. How their language is translated somehow lends itself to debate for some here when I find it to be very clear.
Again ... From the August 10Q...the word "transferring" makes it pretty clear. No amiguity and does not leave much open for optimistic translation.
BTW ... eWellness has nothing to do with the ATI "deal" ... They outsourced that to BI. So...there's that.
We are in the process of completing a new Services Agreement with Bistromatics, that, when completed, will likely re-position EWLL as a Value Added Reseller (“VAR”) of the PHZIO & MSK360 platforms and allow EWLL to earn marketing fees and would also be granted a significant percentage ownership of Bistromatics in return for transferring the marketing and IP rights for the PHZIO and MSK360 platforms from EWLL to Bistromatics.
It's intentionally misleading information.
An intellectual property assignment is the transfer of an owner's property rights in copyrights, trademarks, patents, trade secrets, or other intangible creations. ... Intellectual property assignment agreements both provide records of ownership and transfer and protect the rights of all parties.
So please post a link from a credible source that states ATI and EWLL are merging.
The key element is the transfer of intellectual property (IP) OWNERSHIP from eWellness Healthcare to BI.
Using your logic BI forgave almost $1,000,000 of accrued debt owed them by eWellness Healthcare and received nothing in return?
Using your logic eWellness Healthcare not only had a mountain of debt forgiven but also walked away from these restructured service agreements with ownership of IP intact and future considerations for a "considerable ownership stake in BI". If eWellness still owns the IP and the PHZIO (and others, MSK360, etc.) brand, why do they need permission from BI to market said brand and only get 15% commission on new sales eWellness generates? And who is generating new sales for eWellness when no one works there anymore?
Your logic is flawed by overly optimistic translation of "language" in official filings. eWellness is not trying to send its believers secret coded messages through their filings. Sure would be nice to see how things are really going...if only we had an updated filing to refer to.
It's in the August 10Q... https://www.sec.gov/Archives/edgar/data/1550020/000149315220015226/form10-q.htm
In case anyone needs clarity on what the transfer of intellectual property entails, read below:
An intellectual property assignment is the transfer of an owner's property rights in copyrights, trademarks, patents, trade secrets, or other intangible creations. ... Intellectual property assignment agreements both provide records of ownership and transfer and protect the rights of all parties.
