I believe I saw that ENZC is not registered with SEC. But SEC insider rules state that all public company insiders must complete Form 3 or 4 for their share buy/sell activity.
Can anyone guide me to the link to see what the insiders at ENZC have been filing? How do I get at the information? Insider and corporate activity
Much appreciated.
Should you wish to review share transactions by insiders or closely held stock, follow the information below. Edgar is where each insider must file transactions, by company they are ‘insiders’ to. You can see each persons holdings.
The SEC's Edgar database allows free public access to all filings related to insider buying and selling of stock shares. A number of financial information websites offer easier-to-use databases of insider buying.
The Unrestricted Shares you refer to were original published as required to advise the world of terms of the settlement of Long Term Debt. Not to detail the Share Register.
Once issued, those unrestricted shares are private.
To my knowledge, there is no requirement to disclose private transactions with those shares, unless you are a director or officer of the company, or in a control position as director or officer over shares owned by a closely related party.
What you are suggesting ... to understand the float position. They are part of the float as defined. Total shares outstanding less restricted shares = the float, regardless of who owns them.
Are you suggesting that your own share position should be published? How Is that different?
Attention to detail seems to be lacking.
Read and verify what is written. After all, it is your signature on the document!
Ensure continuing faith in what you are reporting to the world.
Maybe try the reds!
I alerted the company and it was corrected immediately.
If you go to the SEC site and read the posting with an A beside it, you get the most current filing documents. Those with an I mean they are inactive.
You may be looking at something posted by others that was never corrected on this site.
I sent an email to Harry about 5:25 tonight, commenting on their error on page 3 and glad to see it was corrected almost immediately
Wonder how that happened. Guess it was a rush to get it filed, although Charles signed it.
Now it is correct.
Generally, the company will make a Public offering, but they may also do a Private Placement, to raise capital. If they do and issue shares from Treasury, there will be dilution.
It is to the companies advantage to have the unit price as high as possible to minimize dilution.
Thanks Gypsy7
It is now working
Many thanks

I get the front page with brief description of the company
Then Team

But clicking on topics, nothing happens
Thanks

Am I correct in believing the links to your posting on 92875 do not work as yet? As I cannot open.
Otherwise, a great framework !

In past posts, I have given rise to misunderstanding the word ‘dilution’. And think at least one posting was retaken down as not being on topic, so I try again.
At the time shares were issued from Treasury to convert debt, dilution occurred.
Then the holder could hold or sell his or her unrestricted shares into the market. But selling them is not dilution. Dilution occurred when issued on the corporate books at conversion of debt to equity..
Generally, if ‘hold conditions’ are attached to the shares, such as the agreement to hold for two years, as has been published in the past, the rightful owner likely does not get the shares physically or in their account, until the hold period is over.
But corporate records are updated to accurately reflect shares issued or committed from treasury.
Make sense?
I think the possible sales of unrestricted shares in hand is being confused with ‘dilution’
What do you think, God Gather?
Has anyone heard when the next Board of Directors meeting is scheduled for Enzolytics?
The Board must approve the Audited Financial Statements before they are made public.
Also must approve all press releases before release
That is, if they have good corporate governance policies. And they follow them.
So, if we had that date we could figure out when the Audited Financials would be published.
Just a thought ....
Thanks for your help
Where does one look to find the number of shares traded daily since October 1, 2020?
I appreciate your help.
You use the term ‘SHARE DILUTION’ in this post.
Please explain what you mean.
Do you mean holders of unrestricted shares, are selling them in the market to raise funds for themselves?
If not this, what is the dilution that you refer to?
In the jurisdiction, wherein ENZC is registered, what are the rules for reporting transactions to regulators and shareholders, and the timing requirements of that notice?
Incoming cash loans or advances? And terms of the deal?
Issuance of shares to settle debts?
Issuance of shares or options to shareholders?
Issuance of shares for any other purpose?
Exercising of options and issuance of shares?
Other situations?
How do you arrive at the 2 Billion$$ valuation, Tkmoney1?
3 billion shares outstanding at 30 cents = 900 million $$
Where did the 1.1 billion in goodwill come from? To reach 2 billion $$?
The bulk of the new shares issued, were in recognition of long term debt that was converted.
So, the balance sheet did not change in total.
They just exchanged debt for equity.
Only way dilution could have taken place with this exchange is if the declared unit value of the shares was far below market values at the time the deal was done.
If you understand a balance sheet, long term debt has a priority over shareholders equity, so as existing individual shareholders, you are better off. That long term debt is now shared with all other shareholders, as they issued common shares to replace the debt.
Lastly, the debt holders are taking a chance on the shares increasing in value, far exceeding in aggregate, the value of the debt they held.

Do the Financial Statements, as filed for 2019 declare the total options outstanding and the strike price of each block of options, and the expiry date?
Can you comment?
Would be interesting to see.
If, by chance some option pricing made it conducive to exercise them, that would cause partial dilution but the company gets the exercise price in cash. And with 2.8 billion shares outstanding ....... if say a million shares, were exercised, it would hardly be noticeable, from outstanding shares net asset values.
Almost correct.
For every option exercised, the company gets cash, albeit at the ‘strike price’ of the option. What we may not know is the ‘strike price’ on the options. No one would exercise options unless the strike price was less than current market price. I suppose it someone wanted to get cash into the company, they could exercise, and await the market value to catch up. But that is not the objective of having options.
But as the company gets cash, value of assets go up so value of each outstanding share should hardly decrease at all.
Recently they stated they were filing the financials in the old fashion at March 31, to comply with filing deadlines . This suggests the new audited statements will not be received by March 31st. File in regular format then refile later when audited statements received and approved by the Boatd of Directors.
So it could be some time.
Just my thought ......
What would cause the company to issue more shares that dilute existing shares?
Maybe settle a debt from Accounts Payable. Settle a long term debt?
Generally companies cannot sell shares from Treasury without public notice.
So where is the dilution?
I keep seeing the word ‘dilution’
What does it mean in your terms?
Help me please.
What’s the cost of funding the trials?
Anyone know?
And who are these partners, by name? Wonder if CC or JC is in the investment group?
Has it ever been revealed what financial consideration, our new Bulgarian partners are investing? How much money?
And what have we given away from future revenues , to gain their support?
Makes it very clear that the Audited Financial Statements for 2019 and 2020, will not be published before March 31, 2021 as many have speculated, in so many posts.
I do not see the short position reports, so do not know how the following link will affect share prices in the next week but I found this proposed change in the timing of covering short positions by MM’s
https://www.dtcc.com/-/media/Files/pdf/2021/3/5/a8974.pdf
It may have a major effect on share price upward movement as shorts must be covered, perhaps buy up their positions to comply. I believe, by March 19 then ongoing. Covered in 2 days, not 21 days as at present
MM’s may need to pay the price, to comply
Just a thought ....
My niece is an audiologist, now living in New Zealand. She worked in North America for many years with one of the top three hearing aid providers.
I shared particulars of INND with her.
She was amazed and offered this comment .....
“ The over the counter solution at greatly reduced cost is definitely going to cause some issues. At the end of the day it’s about whatever helps the client. Once FDA approval is received, it should take off, as many people cannot afford the luxuries of good hearing. This should fix that!
Many people will be pleased ‘around the world!”
Just sayin’
Topics this weekend have been a pleasure to read. Very soft, varied.
Recently, I suggested we shut down the board for a day and let everyone reset their minds.
Boy was that suggestion ever well received!
Someone removed my posting.
But I enjoyed the freshness of this weekend’s posts!
Here’s to a great week ahead!
