I would guess he knew what was going to happen but that the way it was presented to him was a lot more grand and at a faster timeframe than what has happened.
Did someone get margin called? Bored? If the S-4 gets turned down for some reason I would think there would be a higher offer. No reason for the stock to go lower. If you waited this long, why sell now?

Why buy RXMD for 2.30 when NXPL is at 1.20 and you only get 1.48 shares for each RXMD? Unless you think the deal will change or fall through for something better?
I don’t think they would sell either, but how does the board accept a 2.20 offer and turn down a 3 offer?
Rxmd has about $1.30 in cash so they are actually only paying about .90. Wonder what would happen if someone came in and offered $3.00 instead of their 2.20?
The price of RXMD can fluctuate based on the price of NXPL. If. We knew the exact exchange rate one could do some arbitrage trading. Assuming a 1.5 shares for 1, RXMD is currently trading at a discount. All that assumes the deal actually goes through as announced.
is that about 1.5 shares of NXPL for every RXMD? If this doesn’t close till 3rd quarter does that keep rxmd price depressed at 2.20 until then?

I don’t follow NXPL as much as RXMD but don’t they already own 2 companies similar to that and were trying to divest them?
Why couldn’t the board vote to do a buy back? Why does it have to be shareholders?
If the board votes to accept the offer, can you stop it?
I don’t think Fernandez would buy float on the open market. I think once it reaches the $1 range he will make a tender offer for all outstanding shares at a premium, say $3 and he will own the whole company.

The problem is NXPL can make a buyout offer for just about any amount and then vote to agree to it and we are screwed. Even if they made an offer for the 52 week high most people lose. On top of that it could be an all stock offer for NXPL stock and we are even worse off. Why would they want the stock to go up if they plan on buying the other 47%? A low stock price helps them.
But at what price will they convert the remaining shares? The quarterly says RXMD is worth 4.45 a share. Is that going to be the offer that gets forced on us?
The worst thing is we probably get zero info till March 31st the way things have been going. Stock price will never hold till March.
The one thing I don’t understand, if that is the plan, is why not buy it while it was a 15-20 million market cap? Why raise the value of the company and then buy it?

It is totally different in my mind. Check out the board members of NXPL. They are all highly successful. Most of them decorated military. Here is one of them and a new investor to RXMD.

I bought the 29k. The 800 was left over from last week not getting filled. I have been adding about $1500 a week for a while. That put me to 3.1 million shares at an average of .031.

Seems like they said on the last call they were going to file a new S1A with audited year end and first quarter earnings update. Has the new S1A been filed yet? Why the delay?
When you look at what Uber health is, it looks like it is just transporting patients to the appointments and the doctor pays for it. Helps to keep appointments and such. I don’t see where they actually do any drug deliveries. Hard to tell from the Uber health website.
I think you have to have 5 market makers to uplist. We were going to do that in February and that is when the new ones showed up. I assume they were recruited so we would have 5?
You would think that if a company wanted to merge with RXMD in order to uplist themselves, they would be buying into the company through open market purchases and helping the share price? Why would they just sit here and wait?
Just an opinion but I don’t think they borrow money to pay off loan. I think they push date out to May 15(which was announced could happen). Very soon file an S1A which I believes takes about a week to be effective. After that they can uplist anytime. They just need to figure out a way to get price up to do that by May in time to pay off loan by May 15.

Most disagree but I still think this quiet period is connected to NETE closing. Hopefully it closes and we will know soon enough.
I still think it is connected to NETE closing and once that happens we will hear more. They said they hope to uplist by end of year if I remember correctly. Assuming NETE closes soon that could still happen.
Maybe there is an arrangement to get it from Argus? They are giving it to Argus for debt owed if I read it correctly. Argus would then sell it to get their money. If NETE sold it directly to RXMD they could be sued for selling to cheap? I suspect we may see a new CEO and some info after they vote on the 26th and the deal closes.
I still think this whole quiet period involves NETE. They vote on the 26th and close soon after. I think we start to hear the plan after that. Hopefully good financials next week will help as well.
I still think the speculated NeTE asset deal is still on, just easier to cancel and wait for it to finalize than extend things.
I personally think that we are in a holding pattern until the NeTE deal goes through and they divest. Then things will pick up. Unfortunately, from now till then share price will continue to fall.
In my opinion the run up to 19 cents was because of the uplist. In order to uplist we need the reverse split. Without the reverse split and uplist this stock goes back to 3 cents until a definitive plan is in place to uplist. Simply stating that “we are still pursuing “ it won’t help.
I would say they can’t sell directly to rxmd because there would be lawsuits about whether they got a good price. My guess is rxmd has an agreement to buy the assets from Argus after they are turned over to them?? I think what has been speculated is still on.
