runcaly, Thank you for post #47691. I sent a thank you to Dan, the management and the board for all their hard work. Now maybe their time and energy can be used to further advance the company in the treatment of cancer.
runcaly, you are 100% correct.
I apologize if I hurt your feelings. What I said was "They were, "WELL", aware of what is going on". It was the tone of the message. Now I know why I have avoided commenting on message boards the last 25 years. Thank you! It won't happen again.
Another point of interest. I've been told that CGP is trying to be the "Merck" of that part of the world. That to me is a big positive although some of you may not think so. Just a point of interest.
On my previous post I indicated that a (no name available) company has made an inquiry about being interested in OSM but because of the litigation by Alpha no talks could proceed. I'm about 95% sure that information is true.
On a different point of interest I contacted Merck a month ago and asked a question about Keynote 890 where Keytruda and Tavo is used with TNBC and is the subject of the good interim results in May and December. I asked them if they were aware that CGP was getting involved with OSM. I didn't really expect an answer but they did answer. They said they were well aware of what was going on but they couldn't comment any further. I thought that might be of interest to some of you. I told Dan about contacting Merck. All he said was yes and didn't comment further and I didn't proceed any further.
The CGP deal has passed. That's great!
Does anyone here think that OSM has been contacted by a company other than CGP or Alpha asking about our research? But because of the current litigation going on by Alpha no talks can take place.
Ss0722, Thank you that information. Yes vote white card.
trading.jeff, I agree with everything you say. As I stated 3 weeks ago, I feel pretty comfortable with the white card winning the proxy vote. I voted white card.
trading.jeff,I think it's a positive just because they are in a bidding war for the company. After the results for TNBC in May they added 600,000 shares. Just my guess but I think after CGP entered the picture Alpha realized they may have messed up. Instead of buying more shares they should have made some sort of a deal. And in a pavlovian type response they thought, "Gosh we better get in on this", so they have rushed in to make an offer. After the interim results in December they seem to be even more determined. Again just my guess.
Good point, James salmon. We don't want either of them controlling the board.
Yes ignatiusrielly35, that is true. I wasn't clear on that. Thanks.
These are my views on the current state of Onco Sec Medical (ONCS). I’m in no way degrading other opinions which might be opposite of my views. As you will see I am looking through a very large pair of rose colored glasses.
Positive happenings:
1. The interim results from May and December are extremely encouraging.
2. The CGP offer could be better but we get $30 million and also some revenue from their sales.
3. I see the Alpha offer as a positive. They see something positive, otherwise why would they be coming apart at the seam?
4. The VLA instrument research could be a big breakthrough in applying TAVO and maybe other medicines directly to the center of the cancer.
5. ONCS being on the cover of Clinical Cancer Research.
6. Dan O’Connor taking over as CEO and Director. The way I see it Punit Dhillon fired himself and hired Dan. The three stalwarts of this company are Dan, Punit and Avtar. Told you I have rose colored glasses on. Everybody I’ve ever worked with wants to be known as a winner not as a looser.
7. There has to be good results in research studies for a company to be successful. The way I see it those good results are now just beginning.
Negative happenings:
1. Alpha contesting the CGP deal is costing us money and occupying the time of management.
2. Giving CGP the opportunity to buy all outstanding shares. Was this was put in to sweeten the deal? Yes it was. We will need to vote this aspect down and put pressure on the Board to cancel the sale at the request of the common stock holders.
Rip this apart if you will, won’t bother me
Yes, Ignatiusreilly35 I agree, "Alpha’s offer is an illusion".
I would like to again suggest that if anyone has doubts about what is going on to call and talk to Dan. This message was included in a press release a week ago, "I would be glad to discuss with you further. You can reach me on this number anytime and I can also put you directly in touch with our CEO, Dan O’Connor. You can vote over the phone at 1-800-454-8683 or by going to www.proxyvote.com and entering your control number. Thank you! [NAME]"
Call Dan and talk to him directly.
MY THOUGHTS ALSO
Hey, NGIN, YTCHENG, and "Scam Fighter" you fellas or fella bought over 600,00 shares after the interim results came out in May. All you had to do is pull the trigger and buy the company then and you didn't. I think someone is going to loose their job soon. As always I could be wrong.
correction>>Will there be more things
From the indications I've seen this thing has been over for a few days. In case you are wondering I bought my first shares a couple weeks after TJ in 2011. The oldest shares I still own are from January 2012. As you can see I've been here a while. If I'm right my biggest concern is, will I be forced to sell my shares in the next year? I will make as much noise as I can in opposition to selling my shares. I want to see this thing through to the end. Are there be more things coming up for ONCS in the near future?
My thoughts
1. I really, really, encourage anyone sitting on the fence to call Dan O’Connor. Analyze what he says and make your own decision. I spent most of an hour on the phone with him and I’m glad I did.
2. I know Alpha is upset. I would be too. They knew about the deal for many months. They purchased over 600,000 shares after the interim results were given in May 2019.
3. I do recommend shareholders vote white card. You can vote for, against or abstain. We need a quorum to end this thing one way or the other.
4. Are there any other companies interested in our product and our application process because of the interim results in May and December for KEYNOTE-890? I do. Will there be more interest after more results of the study are released later this year? What about the VLA devices being designed to treat visceral lesions? I believe there is only one other outfit researching this approach?
5. Good luck to all.
Thank you "Scam Fighter" for your comments. Are you one of the Marvel characters? Anyone can contact Dan O'Oconnor and discuss what Scam Fighter has said. Go to OncoSec's site and look up management. All the phone numbers are listed. I encourage you to call if you have questions.
If you vote white card we can get a quorum and get this thing settled.
You can vote Yes, No or Abstain. Just vote, vote vote.
After a couple weeks of researching and talking with people about the CGP deal I’m ready to vote and will do so in just a few days. I could write a several page text on what I have found out but I think I will hit the highlights and tell you how I’m going to vote. I’m an amateur investor so do your own thinking and voting. Your shares give you power so use it and vote. Please vote, it is important!
I’ve talked with CEO Dan O’Connor for most of an hour and General Council Keir Loiacono. I enjoyed the conversation with both of these gentlemen who represent OncoSec Medical. They gave me straight forward answers to all my questions and they spoke highly of their people in management and the board members. I feel comfortable with the current management and board members.
I sent an email to Merck and asked questions about the CGP deal and KEYNOTE-890. They replied with a message that didn’t have any new information but had a positive tone. I was quite pleasantly surprised with their response.
As far as Alpha goes I can’t blame them for being upset. But, they supposedly were aware of this deal when they purchased over 600,000 more shares in May and July, 2019. Why are they now going off the deep end? I don’t know why? I wish they would totally back off the offensive they are on. We all saw the interim results of KEYNOTE-890 released in December. Couple that with results released in May and who knows what opportunities are out there? Let me give you a totally made-up situation. Let’s say company A is in a deal with company B but the deal is being legally challenged by company C. Company D wants to explore making a smaller and different deal with company A but because of the legal case with company C, company A cannot deal with company D. Again, because of the interim results being so good, do you think someone else might be interested in our company? I do.
I’m going to vote on the white card which is given out by OncoSec Medical. A quorum is needed to legitimize the vote for or against the CGP deal. If Alpha does indeed hide the blue card votes of shareholders who voted with them they can make this whole vote null and void because not enough shareholders will have cast their vote. I think it is very important to vote on the white card.
I’m going to vote yes on the CGP proposal. At first I was totally against this deal mostly because of one salient point. If after one year and I still own all my shares then that salient point will no longer be an issue.
Good luck to all.
P.S. If Alpha blows this whole thing up in the next few days I think a negative pall will cover the company and will cause long term problems for OncoSec Medical. This is just a guess on my part
Thanks and good luck to you. Again I wish there was a way to stop this. I'm signing off until after the New Year.
Yes thanks, I'm aware of that. I think the deal will probably go thru. I know there isn't anything I can do to stop it. I only wish there was a way. Someone has ran the pps back down under $2. I guess they are getting ready for the magnificent finale price of $4.50. What a Wonderful deal!!!!!
Yes, I understand what you are saying. If that were true I would think that someone would not need to miss quote Alpha and be able to explain the golden parachute situation a little better. I found a few more troublesome items than what I listed. To me, something just doesn't feel right with what is going on. I'm not saying Alpha is the savior or that someone is doing something illegal. I believe Alpha feels the pinch just like I do. I will come right out and say it, "I don't like what is going on, something seems wrong." If I’m wrong time will tell. Anybody have any contacts with M or BMS to let them know what is happening? One more thing, why haven’t we heard anything from CGP. Oh I forgot, there’s that muddy water situation again.
The following is a collection of my thoughts on the CGP vs Alpha concerning OncoSec. Please note that I’m an amateur investor and trader with no formal training. So read what I write with that in mind. I’m sure someone will tear apart what I say. Have at it.
1. Alpha wrote that management was covered by a golden parachute retirement plan. They, as far as I know did not say the CGP plan included a trigger for a golden parachute. December 20 Dan O’Connor wrote, “Alpha’s press release is again filled with misleading claims, including the implication that there is a “golden parachute” to be paid here to management. There are no such payments to be made under the CGP/Sirtex Transaction because it is NOT A CHANGE OF CONTROL under any management contract or plan—as Alpha itself has acknowledged.” Why was Alpha miss quoted? Why didn’t Dan say, we have a golden parachute but it is a part of our contracts with ONCS and not part of the CGP deal. If they do or don’t have a GP then why didn’t he say so?
2. CGP will be kind to us and give something less than $10.00 for all of our shares. There is a minimum of $4.50 for the purchase of my shares. This comes from the October 21 letter from Dan to shareholders. Does anybody think this will be more than $4.50? I absolutely don’t. The same letter states, “The OncoSec Board of Directors is not obligated to accept any such offer and would evaluate it based on the best interests of OncoSec shareholders.” I’m assuming that we shareholders will be part of that decision process so why didn’t he say that or do we even get input into the decision?
3. Why is CGP making this proposal? Is the answer $$$$$$$$$$$$$$$$$$$$$ and control? Probably and more power to them if they pull this off. Is Alpha any better than CGP, who knows? At least Alpha is saying the right things about protecting their and our shareholder values for the future.
4. December 20 Dan said Alpha has known about this May 2019 so why haven’t they proposed something before now? My question is why didn’t we, the stockholders, know sooner? Yes, I know, some muddy water answer will be given to that question.
5. My guess is that the current management will be gone sometime soon after the CGP deal is complete. I’ve heard that the beaches in the Caribbean are nice all year around.
6. I’m not going to vote either way until the last moment because something else will happen between here and there, count on it.
7. There isn’t any way I want to sell my shares for a few dollars.
Merry Christmas and Happy New Year to those of you that celebrate these Holidays.
Am I understanding this facet of the CGP proposal correctly? Dan stated this in a paragraph in his October 21 letter. “Should CGP seek to offer to acquire the OUTSTANDING SHARES of OncoSec within the 12 months following the closing of the transaction, yada, yada, yada.” The way I understand it, the common shares I personally own are the OUTSTANDING SHARES mentioned? The last of the paragraph says, ‘OncoSec board members would evaluate the buying of the outstanding shares by CGP based upon what would be in the best interest of the stockholders’. Do I want the board members to make the decision as to when and at what price I will sell my shares???. The next paragraph talks about voting for the basic proposal but there is never any mention of voting for selling the outstanding shares to CGP.
I still have a few of the original shares I bought in 2011, a few weeks after TJ bought his first shares. Plus I have added some other shares and been through all the dilutions and reverse splits. Having been through all the ups and downs I’m leaning toward eating the whole banana or nothing at all. Any thoughts? One last observation, Fintel was down to 20 institutional owners 2 weeks ago but now is showing 34! Any thoughts on that?
