As far as the company being insolvent,IMO they have been since the merger and will be until some deals are complete by Cirque and or NOC.
OR Option 2, where the shares are diluted up to the maximum (right now 900 Million), with a subsequent reverse split down to a nominal number for all investors -- then lastly, a merger with the gifting of 43 Million+ shares to each of the executives.
I thought the 43 + million shares were split among the execs..

That's what we were talking about last year. Everything they burn has a different flash point and puts off a different BTU gas.
IMO, a very big problem in holding a constant RPM and if just running one genset, it can vary a little but phasing two or more together, it has to be exact.

This Cirque Energy Blog update provides an update on current endeavors for our shareholders and other interested parties.
1. Corporate Filings and Audit – We have completed our filings, including the 2013 audit and re-audit of 2012. As of today, we are awaiting SEC approval to formally make these filings. This process has taken a considerable amount of time and effort on behalf of our internal financial team as well as our external audit team. We are pleased to report that management has taken steps to secure internal and external resources to insure continued compliance for all filing matters in the future.
2. Energy Projects – Cirque Energy is actively working on several CHP project opportunities as per our business goal of providing Energy Services. As we have announced, we plan to bring to operation a project in Midland, Texas in 2015 that will feature four of our proprietary deployable gasification units (DGUs) to generate approximately 2.5MW of renewable energy. In addition, we are actively working on several other similar projects that we hope to announce early in 2015. The Cirque team is also actively working on acquisition opportunities in the independent biomass power plant sector. We will provide more detailed information on these projects when possible.
3. Deployable Gasification Unit (DGU) Development – Our progress on the DGU prototyping process and testing has been somewhat delayed due to the financial audit issues. During 2014, our team has worked on the final detailed engineering and manufacturing of the DGU components in our Saginaw, Michigan research facility. We have constructed and successfully tested pre-prototype components and systems in the <50kW range. We are now building two final prototype units (175 kW military and a 500kW commercial units) and expect to have these assembled and complete for extended duration testing in early 2015. We continue to have significant interest in these systems from both military/government and commercial customers. The prototype units should be available for public demonstrations and sales purposes early in 2015, with DGUs available for delivery later in 2015.
We remain confident and committed to deliver successful energy projects for our customers and shareholders, and thank you for your continued interest in our operations.

That "Until" may come soon. That $800k OMO was talking about won't last long even though they are taking half their wages in shares.
If I were in their shoes, I'd take both.. A public company is where they make the big bucks. Otherwise, why merge in the first place?

Under the agreement, Cirque Energy will lead development, manufacturing, and testing of the initial demonstration DGU, with input from Northrop Grumman. Upon successful demonstration, Northrop Grumman will manufacture DGU’s for exclusive sale by Northrop Grumman and Cirque Energy.
Sounds like all we have to do is sell & install them..

A proposed, MPS is a nominal 675 MMBTU/hour facility with the capability of generating up to 35-megawatts (MW) of electrical energy. In addition, up to 250,000 pounds per hour of low-pressure steam will be provided to the Dow Corning Midland Plant for use in process and building heating. The steam provided by MPS will relegate the existing Dow Corning natural gas boilers to a back-up status. In addition, the green electricity provided to Dow Corning will offset virtually all of their existing fossil fuel grid electrical energy purchases. The MPS will be located on approximately 30 acres of property in southeast Midland that Cirque Energy will lease from Dow Corning.
Cirque Energy, LLC fully developed and sold the project in 2011 to VC Energy for the construction and operation of the MPS. The project received all necessary permits for construction in 2012. The project was jointly cancelled by VC Energy and Dow Corning in 2012 due to market uncertainties.
