I hadn't read that announcement thoroughly enough, merely quick skimmed it. It certainly does say "(ii) holders of record of Neurotrope Common Stock and certain warrants on September 29, 2020 will receive a pro rata distribution of one share of Neurotrope SpinCo’s common stock for each share of Neurotrope Common Stock held or underlying certain warrants held at the close of business on September 29, 2020, contingent upon the consummation of the Mergers."
This seems very unusual to me, considering it is a date well in advance of the shareholder voting. Presumably, I can sell all of my stock right now and still maintain my pro rata shares interest in the spun-off Neurotrope. Frankly, that is attractive to me but I can't do that unless I'm absolutely sure that it will play like this...
If AVXL were legit, they would have continued in the USA, as it was, they needed to search the world to find the right country and conditions to continue propagating their fraud for an extended period of time...
In COMPARISON, NTRP doesn't have to do this, their proposition is legitimate, regardless of ultimate outcome, and many of us are bullish about the prospects...
How big of a scam must the NIH believe that AVXL is to not give them any grant money?? In COMPARISON, they've given money to NTRP!
Laurie, I completely agree, even with the warrant and option dilution added back in to the current arrangement, the fully diluted share count is still relatively low considering the massive potential upside...
NTRP is still an absolutely superior risk/reward proposition!
My understanding has been that the merger is supposed to be completed in the 3rd quarter?? Is anyone aware of the current status??
Laurie, Agreed, this is the anti-pump company and I wish they pumped a lot more!!! Or, at least communicated the positive developments in the works...
I don't know if that is knowable at this point. We are currently trading below the available cash, so there's that. There is going to be the split between the new company and the old company and those details should be coming out very soon, maybe even this week...
If you want more, it seems to me that now is a good time to buy. The other play would be to wait until after the split and buy the spun-off version at the lower price. My guess is that the values of the two will be greater than the current value of the one, but of course that is just a guess...
I'm with you Laurie! The risk/reward on NTRP is spectacular! We just have to grind out the process...
I don't think NTRP investors care in the least bit about AVXL. I only know about it because people come here to trash NTRP and promote AVXL. My reaction is apathy with some pity as AVXL is clearly a scam...

Agreed, I was just talking to a friend about this. This stock looks like it's being "managed" to a price range. Those recent warrants hit at something like $1.62 and if this thing would have followed the natural course following this morning's news, those would be in the money and likely exercised, as it is, with the stock staying in this range up to the merger, the outstanding shares of the spin-off NBI should stay around 25 million...
I prefer this for the short term... Let's just get that merger done already!

Responding to my previous post, this SEC document, notwithstanding having to painstakingly sift through legalese, does suggest that the options and warrants will transfer "solely" to the parent company.
"Accordingly, from and after the Neurotrope Effective Time: (i) each Neurotrope Warrant assumed by Parent may be exercised solely for shares of Parent Common Stock;"

The warrant situation has been unclear to me, are you sure that the warrants only follow Petros and won't exist once NBI is spun off? For some reason I was thinking they would exist both ways?? I may have misread a previous communication...
I would view NBI with approx. 25 million fully diluted versus 50 million fully diluted as a very favorable development...
I presume that they've already got the votes and had it locked up before they announced it. If so, it is baked in currently...
Personally, I don't know how to evaluate the new company so I'm not sure what the right price is but I'm still very bullish on the NBI component...

I listened to the call earlier today and was prepared to ask questions if the opportunity arose, but unfortunately, there was no open question opportunity.
I think the press release this morning is excellent, the design makes sense, I love the support from the NIH, and I especially like the comments coming from Dr. Alkon, Dr. Sabbagh, and Dr. Perry. If the most recent trial had an 80% probability of success (we got beat by a 4-1 shot!), this design sets up for an even higher probability of success as there is so much data that supports reasonably projecting success in this structure!
The call was disappointing, every statement was read and really didn't provide the extra insight I was hoping for. Dr. Ryan is not a great speaker and I "get" him reading his prepared comments, I think Dr. Alkon is so strong and credible when he speaks his thoughts contemporaneously, that I much prefer this to the prepared statements that he read.
For me, I want to make sense of and reconcile why there was an equity raise and dilution in late January 2020, that wasn't necessary and threw water on the very positive market reaction to the news released earlier that day; and then, a couple months later, that same cash and a little more was routed into an investment in an entirely different new company??? Somehow, this wasn't included in the "common questions they received from shareholders" that they read prepared answers to...
Yes, they really owe us a lot of information, I hope they are prepared to deliver...

Yeah, basically NTRP is a venture capital deal, and then they took our money and put much of it into an unrelated separate venture capital deal. They absolutely owe us an explanation and rationalization for the move!
Huge news, yet so few comments...
Clearly the board and management of NTRP have a fiduciary responsibility to maximize shareholder value, and with a stock that has been trading below tangible (cash) book value. I presume that they've done it here and that this is a good deal for shareholders, but that is not clear, and thus fed up shareholders have been dumping their shares and getting out...
I've always loved the science, the potential, and the risk/reward investment aspect of NTRP, but I've hated the piss poor external communication, and the negative share price reaction today is yet another example...
Among the many possible scenarios that the board should have been reviewing, I've suspected a reasonable possibility of some form of reverse merger to flip the Nasdaq listed entity and some cash to a private company that wanted in... In theory, the value to NTRP shareholders should be more than the cash as the shell has some level of value.
Secondarily, the Bryostatin patents and licenses could be sold to a big pharma company, among other possibilities. This release suggests the company to continue as an ongoing publicly traded concern, but with much less cash. That doesn't make a lot of sense to me... My guess is that these assets will be sold as I can't see the point in trying to run another Alzheimer's trial or other indications with a chosen strategy of much less cash...
NTRP management and board owe the shareholders a clear rationalization for why this is a good deal!

I'm with you, I'm still holding a lot of this, waiting as well...
That buyer is still there, they are lurking and methodically working this, but they definitely wanted my shares and on the last few thousand I held firm at $1.31 and they got taken... I moved 25,000 shares in the last half hour of trading at an average of $1.319 and I had bought them on 3/20 at an average of $.819 so I booked a nice profit on shares that I probably shouldn't have bought (I have plenty) but couldn't help myself...
It looks like they came back to nibble in the late afternoon... The "later" selling was me, I decided to take some profit on some shares I bought recently for $.82...

There are SO MANY RED FLAGS with AVXL, aside from the uncontrolled trials overseas that seem to go on in perpetuity with no meaningful approval in sight, and the every financial quarter issuance of new stock to further fund the scam, I have it on good authority that they hire "social media influencers" that both promote their stock (PUMP) and trash competitors whose investment dollars they hope to drive to their scam company...
I strongly recommend staying away from this scam of a company!

I'm on 10mg daily of Lisinopril. Interestingly, I believe that I might have had Covid-19 in late January and among a few of the known symptoms, my blood pressure spiked to the sky (190/122), for at the time, no apparent reason, and this lead to me going on the Lisinopril. I had been tracking daily as I probably needed to go on it anyway...
Overall, my symptoms (no fever, just a sore throat, minor dry cough, minor breathing impact, diarrhea) weren't too bad and I recovered nicely... I believe that Covid-19 has been wide spread in NYC for months, much more than they've realized...

I was in late, strong bids from about 3:25 through the close... I'm guessing on the virus situation but I'm guessing that the numbers will continue to come in more favorable than prepared for, and along with the rapid escalation of treatment options, the market could have a good day on Monday... Lot's of guessing though..
I keep buying more, I can't help myself, I'm a gambler who likes a good bet!
