I am sure there is merit in the patents BUT if you can't afford to prove the science yourself; you can't get anybody to partner with you; you are not effectively able to market your products; the company can only perpetuate itself through 'Death Spiral Financing' and 150:1 stock splits, then what is the true value of your company?

On or about Feb 03, 2020 after a 150:1 reverse split the Outstanding Shares were approximately 17,554,009 and the share value was $0.03 per share.
On OTC Markets show that as of June 01, 2020 Outstanding Shares = 186,017,307.
So, in 5 months the OS went up 168,463,298 new shares printed.
On OTC Markets show that as of Oct 01, 2020 Outstanding Shares = 430,430,465.
In the last 4 months the OS added 244,413,158 additional new shares printed.
The share value is now $0.0023.
Warbington rewarded himself, starting Jan 2020, by doubling his own salary.

There is another person in the director's group, Dr. Amit Patel.
Sometimes people get compensated in shares for their work and whatever the value was at the time it was affected by the 150:1 split as were we all. We just can't vote ourselves a big raise to compensate for the lose.

Dr. Gershman, not so much.
I was one of the practice guinea pigs for Dr. Gershman when they changed to the new procedure.
Any procedure that is not covered by insurance is a tough sell.
In my opinion Dr. Said and Dr. Gershman did not 'pump' the stock that's a viewpoint from people 'trading' stock and I use the term loosely. Very loosely. Getting on iHub has been a very shocking eye opener for me. I wasn't prepared for all of the lies and deceit.
Dr Said and Dr. Gershman were ,'pumping' their businesses, perfectly legal and above board, in other words called advertising.
Both of these doctors have been following the science of stem cells for years and the simplicity of the science and procedure. Tom has known Dr. Gershman for years and Dr. Gershman did not lose any money.
Dr. Said and his partner built a practice including a brand new facility because of their belief in the procedure.
I believe that CELZ was supposed to provide some marketing help and provide leads and some of that may have happened but my doctor never received any leads or any communication.
I don't know who the Trio are.

I'd say that giving yourself a large raise and only revealing the fact 4 months later is questionable at best.
I wonder if 'discovery' has started in the lawsuit they lost?
Illegal Activities
Of course, if an officer does something illegal or grossly negligent, he can be held personally liable, even if his actions are done under the umbrella of the corporation. Officers who are complicit in misleading the public, lie to the government, bilk investors out of their money, steal corporate resources, embezzle, sexually harass others or do anything else that is illegal may personally face criminal or civil penalties and jail time.
Fiduciary Duties
Officers of the board of directors have a legal duty to act in the best interest of shareholders and maximize profits. While an officer of the board enjoys limited liability for actions taken on behalf of the corporation, if he breaches his fiduciary duties and engages in self-dealing or otherwise puts his own interest or the interests of a related party over his duty to the corporation, the officer may be held personally liable.
Piercing the Corporate Veil
A court can disregard a corporation's limited liability protections --called "piercing the corporate veil" -- if the court finds that the company is just a shell that allows the people involved to take advantage of creditors. If officers, directors, shareholders or employees treat the corporation as a piggy bank, mingling personal and business funds, and do not comply with the formalities required of a corporation, the court can hold the people involved personally liable.
Good Standing
A corporation is incorporated in the state where it files its articles of incorporation. Some states require corporations to file an annual report or pay an annual fee to keep the corporation's registration in good standing. If these obligations are not met in a timely fashion, the state may suspend the corporation's authority to do business in the state. If the corporation allows its state registration to lapse, the people involved risk personal liability exposure if the corporation is sued.

You people need to do your home work, it's all in black and white in the SEC filings.
The debt reduction came from toxic lenders dumping their newly printed stock. Then the toxic lenders took some of their profits and did another loan to CELZ. Wash. Rinse. Repeat.

I know Warbington personally. At one time I considered him a friend. I was very wrong. I tend to learn things the hard, painful, and costly way as I am an honest and often naive person. I do learn!
I'm a little disappointed.
Nobody brought up that Warbington gave Dickerson a 50% raise and himself a 100% raise.

Dr Gershman started in December of 2017 using the centrifuge method at 60ml draws, the trials were done at 30ml using the centrifuge method. Dr Gershman started using the Ranfac procedure at the end of September of 2018. All of the new doc's are being trained using the the Ranfac method.
