But... Isn't this more-or-less just what an "offering" - i.e., what an S-1 describes - is...!?
I can see how this ought to be read as: "Here's a prospectus describing this company we own - in the form of these here shares - and which we would like participants in this market (i.e., the exchange they're uplifting to) to be able to own as well - by way of buying shares from us, or from others, or from future share issues."
(As opposed to: "Bunka et al are looking to sell you their shares in this dumpster-fire.")

Okay - for sake of argument - let's assume their desire to R/S, retain an IR firm, and uplist all definitely - since you said this is a "fact" - mean Lexaria has no hot product to sell.

If you don't like the management, vote to replace them. If you don't want the R/S, vote against it. Oooorr... If you're not happy with the way things are going in general, or you don't believe in the product's potential, or you think Bunka's funneling your penny stock millions into a cushy retirement, then sell and leave.
I'm absolutely positive there's money to be made elsewhere.

Indeed... Yes - this is more-or-less the scenario we're discussing and hoping for now I suppose. (With an uplisting "twist", to boot, if you will.)

We were told a number of licensing agreements would be "starting to pay off" around about now - as in: this quarter, I think - and I'm wondering if the numbers turned-out to be "newsworthy" enough after all, and could be turned into a one-two with a RS that "justifies" uplisting.
Because - conversely - if the earnings are shit, and the company performs a RS "to uplist, because we figure institutions would love a piece of our [shit] earnings" then "that dog don't hunt", as they say, and the RS is clearly just a Hail Mary and nothing more.
When's the next earnings report due? (Where does it fall in relation to this "end of June" vote date?)
Whatever your position: you like CB/you dislike CB, you support the RS/you don't support the RS, etc. Vote!

Yeah I'm not a fan of the whole "institutional investors can get in once we're off the OTC" line...
Fact is, if people really want what you're selling, they're going to come to you with a way to buy it - they're not going to make you go to them.
A R/S would be a bad sign, IMHO, unless it immediately follows some major news - i.e., to give the stock price a shot of steroids so those on the major exchange can participate as quickly as possible.
Presumably - and it's been mentioned already - news that's "good enough" wouldn't warrant this; but there's something to be said for fast-tracking the stock to a wider audience (following news) via a mechanism like a R/S instead of waiting for it to get there organically...
Ultimately, I agree with everyone that's said a R/S without some sort of preceding news is muy no bueno.

You can ask 10 people in a focus group if they would buy your fancy new widget and get 10 yeses. But tell them then that you've actually got 10 units in your trunk - and ask them to now actually give you their money - and you may find yourself unpleasantly surprised.
I believe it when CB says there are institutionals that have expressed interest, but have claimed that "their hands are tied" because of the PPS/exchange/whatever... But no one can say for certain whether or not these parties will actually pony-up the cash if/when things get real. (And, meanwhile, you've gone ahead and performed your R/S; and every day that goes by that the PPS isn't moving up, it's looking worse and worse for you; and that can go bad very quickly.)
