Pro, this is truly impressive and inspiring. I thank you. I started putting a list together today to address this with pure facts as you did. This one is a Smooth talker, but they always over do it with manipulative and incorrect “facts” that go too far for someone just “sharing friendly information. I was going to blast him on some comments from this morning and then I saw he was here all day. Then you stepped in and knocked it out of the park!

I’m good with the current situation and I don’t feel the need to justify that to anyone. I appreciate your efforts and your position as well. Everyone can make their own determination, should they choose to research it. I’m sure Michael McGowan has his hands all over this and he likely knows which rules apply to his company, so I’m going to leave it in his hands and that of the company. No way these normal guys who came over are going to put their name on anything that risks their livelihood. Not everyone is out to scam others.

That’s a good question. My understanding is that Zamtees is a brand owned by Ronald Ian Bilang, but I don’t know if they are 1 company or if it’s separate from ZC Top Apparel Manufacturing (TAM). I’m not familiar with Zamtees, is that a big name? If Mark responds to you let me know the answer. I’m intrigued now to know if our Acquisition includes an established brand as well. The PR mentions a clothing line, but didn’t get into details. Interesting for sure. Nice job digging up the DD.
I always email him at mark@mkrir.com. I have never emailed the vrus email, so I can’t speak to that one. Try him again on the mark@mkrir.com. As long as your respectful and asking real questions, there is no reason for him to not respond to you. Maybe it was a very busy time, but he’s a great guy and very professional. He is tight lipped, but will speak to and clarify anything that’s public knowledge.

No I don’t think that at all. I don’t think many Longs listened to the call and were like “oh they lost the connection, on the pre-populated Q&A portion” - “wow, I better sell my position that I’ve been holding for over a year” - “I didn’t sell at $.02, but I better sell at $.012”
Longs, in general are highly disciplined and know their personal exit point long term as similar as a trader knows their exit point short term. I think this is getting traded a lot right now, but there aren’t a lot of people that own shares in this price range, so they are losing money out of fear, which is the point of a coordinated take down. Did you notice that it popped right back up?
Do I think some people are selling or have sold? I think it’s unrealistic to say no, but it’s panic selling from the drop in pps immediately after the CC. Which, was caused by a combination of flippers, Monaker - I believe they dumped a large number of shares at open again causing the immediate drop in pps, which in turn caused some weak hands to jump on the band wagon and sell.
As far as today goes, no I don’t think people are selling because of anything to do with management. That is an excuse flippers use to incite fear, when they are flipping tenths of a penny.
I can say this with relative certainty in regards to today, because I see 7 million shares in volume traded. That’s a mere $84,000. Not pocket change by any means, but that’s not a sell off. I watched the MMs low Ask get taken out time and time again. The share price would shoot up through the available shares and then another 10,000 share lot site on the Ask below the last price...it’s total BS, that’s not how markets work
Coordinated take down. When the Ask consistently gets set 3 ticks below the last trading price on a low volume day, you know it’s price manipulation. This rarely happens with natural market forces except when there is a mass exit. That’s not happening here, per the low volume. It’s total BS and some lost their shares. It’s going to pop back up...watch!
If you look at the chart you can see where Monaker started selling back in July ‘19 ending the momentum and driving it down down down. It’s unfortunate that they haven’t let up, but it is fortunate that there is a light at the end of the tunnel...good riddance once and for all PsOS!
Exactly. MMs trade in 10,000 share blocks to control the share price. Trader/Investors buy/sell In larger blocks, especially in Small Cap.
Verus is now “Penny Stock Exempt” - adding another feather to the Verus cap. I just noticed this!

8k likely not required now. Verus may still issue an official 8k, but at this point it’s probably not required by the SEC as it would appear they already satisfied Rule FD, (Fair Disclosure) with the PR and CC follow-up. The point of the 8k reporting an Acquisition is that it satisfies the SEC rules in fairly disclosing material events to the public as a whole (i.e. not disclosing more or less to certain groups). However, the 8k is not the only way to do this. Verus PR’d the acquisition and mentioned the CC time in the PR for follow up and then discussed in on the Conference Call.
See my attached post from a few weeks ago, describing the Alternative Reporting Measures allowed in disclosing material events allowed to satisfy Rule FD. It can be done outside of the 8k. The example provided directly from the SEC website, is almost the exact process Verus followed. This is a subjective measure, that the 8k definitely satisfies, but as you will see if enough info is made public, this also can satisfy the disclosure of material events criterial.
This is/was my own DD and my own personal conclusions. I make no representation for the company releasing or not releasing an 8k. This is my own thought process to which I researched and I believe this satisfies the disclosure rules. That said, I am simply providing the info and my understanding. Everyone can decipher the info and come to their own conclusions on this.
I am satisfied, if anyone isn’t, please don’t tell me about it. I am simply providing info and explaining my interpretation. Yours may differ and that’s fine. Please your own DD and make your own conclusions.

Wood, I hear ya...the point of my original post was to show what increasing revenues will do to the pps...not to say Verus will do “X” amount in revenues this year. I chose that number to be fair and conservative because it was the low end of the original forecast. I also chose the current pps, to calculate the multiplier as we are at a fairly low (imo) share price, so this is also conservative. In my mind ZC Top replaces Nutribrands as the upside supersedes anything Nutribrands could bring in revenues. While it’s true we may only have 2 quarters of ZC Top Revs, that may be all we need.
Nutribrands was forecasted for $18m in 1st year...ZC Top could double that in 1 month. The potential is astronomical! Just my opinion, but my first post really had nothing to do with this. I was just replying to a FUDster questioning my logic and intention.

Why wouldn’t $59 Million get repeated? That was the guidance! 2020 Revs are $26M at minimum with triple digit growth YOY for all 4 quarters (at 100%). They have already said we will be back to the kind of growth we are used to this time around, which is north of 145% .
I posted a very conservative example based on the low end of a previous forecast using a very low multiplier. Please tell me how to make this more accurate? This forecast was made before the Coronavirus, yes, but also before the ZC Top acquisition. Truthfully, revenues are likely to exceed the higher end of that forecast with the mask demand.
Yes, lot has changed since this forecast was put out. Yes some interruptions with MLB orders, but the wholesale food side likely went gangbusters, as it did in most places. Plus Verus acquired ZC Top, the ppe company with 10 million masks per month capacity. At $4.50 each. Do the math. If they only sell 10 million masks all year, that’s $45million and we still make that forecast if the food does nothing by maintains, which it will grow and BLF will have lots of Revenues once the MLB gets up and running.
So my questions to you, since you’re the self proclaimed expert:
1. What number should I use as the 2020 forecast? Help me better revise this number
2. Who should I believe, if not the company, you? Your going to tell me the truth?
You- a full time trader, who spends time on a stock board where you don’t own shares and have not interest in the company other than to warn others of this 1 company in all of the 10,000 OTC tickers because he’s a Good Samaritan.

Verus is currently trading at a multiplier of about 2.3x LY Revs of $13M. If Verus does $59M in 2020, the mkt cap goes up 5x from its current value at minimum, just based on the current multiplier. However, considering this multiplier calculation is taken at a relative low point in the pps, IMO, the pps will surge much higher than this 2.3x multiplier and ultimately settle around 3x 2020 Revenues.
All of this revenue momentum is back building and leading up to 1 thing. A parabolic slingshot, because while revenues are increasing massively, the pps hasn’t moved a lot, and it has nothing to do with anything dilutive, as the O/S remains relatively unchanged.
Therefore any shares purchased here, are an absolute gift and are ready to surge with the announcement of Q1 Revs, imo. I just thought if I broke it down to what increasing revenues actually mean to pps and mkt cap from an investment strategy, it might mean more to those watching and waiting. Just my thoughts. GLTA...I’ll certainly take a 500% return from these levels.

I have a theory, but it’s just that...
Monaker dumped 16M shares back in Sept which was the highest amount of any month listed in the filing. It’s likely most of these were dumped right after the 10Q, which is what caused the sell-off. We should have risen from $.034 that day, but instead someone unleashed a massive market price sell, at opening, the day following the CC. I believe whole-heartedly that was Monaker. It was irresponsible and wreck less, but I don’t think they care.
My theory is that they may have done the same after the 10K. I’m hoping they are about out of shares and we can see this begin to rise on the accumulation. I think Q1 revs will be loaded, just basing this off of what Cutchens eluded to in the CC.
Again this is all just my thoughts and opinions.

How exactly has Verus made Cutchens a millionaire? His 15M common stock “options” are worth about $195,000 right now. And they aren’t vested until 2022. They vest in 2 equal installments on June 1, 2021 and June 1, 2022.
I do agree that he will be made a millionaire from these options in the very near future, which is prob what you meant.

The 87M Monaker Shares was as of Nov 30, 2019 per the Monaker 10Q. They were selling shares each month over the 5 preceding months so it’s highly likely that continued and they have significantly less now.

I do appreciate your thoughts. You make some very good points and you articulate them well. I also appreciate that. I can’t argue - the sentence in question was an incomplete thought/statement. I meant to elaborate but went in a different direction and missed it on the proof read.
No one will ever completely agree on a trading strategy, but I think that’s the point. I would not consider myself a “trader” (per say). I would call myself someone who invests for massive long term upsides. My career, experience, and expertise lie on the business side much, which is where I have built my career and where I have a competitive edge, so this is where I focus for my investment strategy. I don’t have time to be a daytrader and I don’t watch charts or L2 except for when I am realizing gains. I look for highly undervalued companies or those with high ceilings to buy into early and I hold. All of my DD is focused on the actual business and the fundamentals of the business.
I believe in Anshu. I saw something in him that I recognize in myself (I’ll explain this later in detail) back in 2018 when RBIZ/VRUS first came onto my radar. I bought the biggest portion of my position in VRUS in June-Aug 2018 ($.0022-.004). I made that initial investment because I knew Anshu wanted to build a food company in the Middle East and was going to utilize the same business plan, contacts, and sales channels that already existed. I know from experience building anything for the 1st time is very challenging and there is lots of learning along the way, but the experience, the contacts, the knowledge gained along the way are priceless. And having a chance to build that same business a 2nd time time will
be seemingly easy and allow for scaling much quicker than the market will expect.
Now I have added here and there all along the way. Have I passed on profits, yes, but only because what the pps should have done and what it actually did, are inverse and really don’t make sense from a business valuation or Market Cap standpoint. The reasons are market related, not business related, which is the point I was trying to make with the sentence that you brought to my attention.
I’ve built my career building, and growing businesses so I know the strategy, the mentality, the grit, and the “problem solving thinker” that it takes to build and grow a business. Often the guy who builds it, is not the same guy you want running it and maintaining it. Right now, Anshu is the guy I want, in there doing his thing with free reign, because that’s where his business brilliance will shine.
That’s not to say there hasn’t been and won’t be a few bumps along the way, b/c there has and there will be. This is somewhat virgin ground for Anshu. American Agro, the 1st food company that he grew to over $100M annually, was a private company and didn’t have the added complexities of a publicly traded company. Plus the Verus model is now a much more complex business. The newness and placed without previous experience is where the small blunders have occurred, but Anshu is a problem solver and has the ability to learn and find his way out of situations where others might fail. This is the main reason why I have the utmost confidence in Verus, but it’s the same reason why many people doubt Verus.
I’ll explain this phenomenon starting with my favorite quote
“A fisherman always sees another fisherman from afar” (this really hits home for me...it may not for you and others reading this and that’s okay)
-but I share Anshu’s vision and confidence or optimism, because I have a similar problem-solving, solution oriented minds. People like us can find our way out of most situations and we often go into situations not knowing exactly how everything is going to come together, but knowing that in the end, we will succeed by learning and finding the best way forward in every situation along the way. I have no doubt about his ability to do what he says, because I would have no doubt about my own ability to do the same thing. That’s where my quote comes in. It makes perfect sense to me, while it doesn’t and won’t to many other people. This is a very common issue with people who are great problem solvers. While they know they likely figure there way out of any situation, the general public doesn’t have this ability or even know that it exists. My wife and I have this discussion all the time, because I’m this way and she isn’t, but she has learned that if you give people like this some latitude, they will shock and awe with their ability and their vision. I am off in my timeline occasionally too. Anshu has missed a few marks there, but he always follows through on his promises.
Think about this as I walk through a few examples to prove my point. Think big picture Tesla and the overall doubt that has surrounded
-Elon Musk and his stock price for years. I always believed he would do what he said, which is why I bought TSLA back in 2016 for $181. I believed that he would one day show the world that his vision and projections were real and the company could achieve the very lofty targets he set for them. I also believed that stock would vastly increase in value as Revenues soared and then that wasn’t the case for a very long time until recently, when the market started to realize that Elon is brilliant and when he sets his mind to something, there is almost nothing that he cannot overcome or figure out along the way (with a few expected missteps along the way to be expected.
And then not to get too political, but you look at
-Donald Trumps career. He has always overcome massive doubts and perceived roadblocks/impossibilities to show that things can get done outside of the perceived norm that limits most people from trying. He found ways to do things that most couldn’t fathom. He built a hotel in New York City than many thought impossible. He rebuilt the ice skating rink in New York City in half the time and half the budget that the city had set forth. He did the same in Atlantic City just to name a few.
I relate to people like this on a level that many may not. And I’m not saying I am anywhere near as successful as they are, I’m not, but I live these types of experiences everyday in life and in my professional career. I do however believe that everyone has their time or their moment. My career has been full of success all while people have doubted my vision, plan, outcome, and I usually find a way to succeed. I don’t believe that there is anything that I can’t accomplish, given the right opportunity and/or the financial freedom to do so. I have learned to deal with the doubt and accepted this as part my life, my career, and my success...and I wouldn’t have it any other way! Those around me tell me they feel empowered to take on the world with confidence and I thinks it’s probably the same with Anshu and Elon, and Donald Trump. I feel that way when I am in the presence of someone like this as well. I am lucky enough to have a boss who sees the world through a very similar lens. Together we are very dynamic!
This type of person spends their entire lives and careers being doubted...all the while simultaneously soaring past the limits and the ceilings that are believed to be in place by most people, and its often not realized or admitted until the results are clear and there is no argument that it worked. These people also love to shatter doubts and thrive in this environment. Another reason I believe in Anshu and Verus.
Anshu’s only real flaw is that he’s not been in this exact situation before. His optimism and confidence offends poleople because they don’t understand where it comes from. But as I’ve explained, it comes from being a problem solver at his core and this is 100% without a doubt, the #1 reason why I am here and why I put my faith in Anshu and give him the leeway to try things and learn and win big. It’s okay to walk away from a deal that isn’t going as planned. That doesn’t mean he didn’t do enough DD. It means he was saavy enough to realize that it wasn’t going as initially planned and/or he found a more attractive investment in ZC Top and resources were better off going there.
As much as I’ve already said, I have plenty more to say on this, as this topic is near and dear to my heart. I don’t know if any of this makes any difference to anyone. I don’t put this out there to pump or to provide investment advice. Everyone please make their own choices.This is simply my most defining reason for being here. I have watched Anshu closely for nearly 2 years and my confidence is yet to waiver. I believe a Revenue based multiplier type run is coming as a correction to put the valuation more in line with the business and revenue growth.

Thanks Shinook. That means a lot. I meant to respond to you the other day. I really do respect your posts and thoughts. It’s easy to get caught up in the moment and take sides against each other. I respect your thoughts and I thank you for sharing your experience with this. There are certainly waves developing and then understanding this and recognizing it. But your exactly right, this is developed and/or fine tuned primarily when building/developing/growing/operating a business and having to wear many hats and find solutions with no one else to fall back on.
We are all speculating to some degree on any views into companies in the OTC, VRUS or otherwise. All we can do is take all of our experiences and knowledge and DD and form opinions to the best of our ability. Sometimes we agree, sometimes we don’t. In the end we all have the same goal. And so far our investments have been successful (then-to-now). I don’t find a lot of companies like Verus where the avg investor gets an early seat. I plan on being a private investor at some point in my career, and this is the type of ride that we have to get used to. Look at Garnock. He’s riding this wave with us as well. I’m sure he checks in and sees the millions missing that were there just a few days ago and feels that pressure, but he sees something in Verus as well. It says a lot that he sought them out to invest, not the other way around. I love the solid group of longs in this company and the great feedback. Thank you, and have a great weekend!

I’m thrilled to see them put a focus back on this region where we know we can win! The roadmap is already in place! Revenue is real! All the possibilities of the new businesses are great and what people focus on, but the core business is about a tenth of what it could be with the right funding, IMO.

You are correct on the Chicken, but I believe it was even greater than half. I almost included that in my post, but I couldn’t find where I read that.. I am looking for that piece of DD too. I want to track it down before I commit to a dollar amount, but Chicken was a very large portion of the Revenue Stream.

... that food company was American Agro Group which Anshu was CEO and helped grow it to over $100M+ in Annal Revenues, mostly in the Middle East. That is the reason Verus is able to scale so quickly there and other larger food companies can’t. It’s a difficult region, but Verus already has established channels, which is what many traders are overlooking, because this less sexy side of the business doesn’t get a lot of attention, but it’s truly why Verus exists!
Verus is just beginning and as sources of funding become more available, many of those previous American Agro Group contracts are likely to be revisited. Stay tuned!
