On February 15, 2021, the Company entered into Separation and Settlement Agreement with an officer and director of the Company to terminate a previous employment agreement. As part of the terms of the settlement, the Company agreed to issue 5,108,197 shares of common stock to the officer, and the officer agreed to the cancellation of all stock options held. The Company did not have sufficient authorized shares available for issuance of the common stock, and accordingly, the fair value of the common stock of $143,030 has been accrued as a current liability on the balance sheet at December 31, 2021.

On July 11, 2021, we incorporated a new wholly-owned subsidiary, Disruptive Oil and Gas Technologies Corp (“Disruptive O&G”), in the State of Nevada. Disruptive O&G was formed to allow us flexibility in operations dealing with the oil and gas industry. As at December 31, 2021, Disruptive O&G had not commenced operations.
In October of 2021, we entered into a contribution agreement (the “Contribution Agreement”) among Nano Gas Technologies, Inc. (“Nano Gas”), NGT Energy Inc, Pentagon Technical Services, Inc. (“Pentagon”) and Disruptive O&G. Pursuant to the Contribution Agreement, Nano Gas assigned a patent, titled “Nanobubble Dispersions in Electrochemically Activated Solutions”, to Disruptive O&G in return for a 46.25% ownership interest in the entity and Pentagon was issued a 7.5% ownership interest in the entity for services. A copy of the Contribution Agreement is attached hereto as Exhibit 10.7.

Had some extra time... just did some looking back.... hmmm... 2019 1st quarter revs- $195,957.00, 2020 1st quarter revs $272,182.00. Now the boards pctl financial Nostradomus (he has been fairly good on his "guesses"/predictions) is calling/predicting $500,000.00 in 2021 1st quarter revenues!!! ALMOST DOUBLE 2020 1st quarter!! This is a bad thing?? Yes... its not the 1.5 mill some here are hyping/expecting.. Remember...the company never gave any predictions for 1st quarter revs...only this boards members have.
Didn't think pctl was the only producer and fully aware pctl doesn't have the patent for hypochlorous acid. Investors here are (should be?) smart enough to know that. I think steri frac reinforces what pctl has been saying about its use in oil wells. Only need to capture a small piece of the oil market pie. Pctl appears to have a good start (hopefully). The 10Q should shed a bit more light on it... hopefully.
Steri frac seems to be owned by sinopro in China now. Seems to work really well for them in their oil wells. Kind of long way to order fluid from. Good thing pctl can produce large quantities right here in the good Ole USA!! Gooo pctl!
2019 total revenue $708,405. 2020 total revenue $2,519,914. If my math is correct that's 3.56x's higher. Not bad in my book. ...If only Gary didn't say $4 million....
