I agree buddy too top to bottom. Long term is subjective to individuals. I was so confident way back I convinced others to come aboard. Needless to say it sucks when the only answer I have for them is “hang in there”.
I know. Now let’s get it on the books so we can walk around again with our cajones dragging on the ground.
Sounds like we are in the same boat. I came aboard because I believe in Amfil, to support the company and be a part of it. I’ve considered from the get that Snakes is the cash cow and a winning future is managements to blow. The lack of transparency and communication of late is unnerving and irritating that it’s opening doors not so honest folks to enjoy a fertile playground.
If that is the case or something else a little straight talk is in order. IMO
I get all that. What I’m not getting are the specific reasons for the hold up
I’ll be waiting. I’m hard headed enough that I’m not going anywhere
I hear ya. Unfortunately the past is going to remain relevant until if and when Amfil gets their “paperwork” squared away. There’s an old saying in the business world. “If it ain’t on paper it doesn’t exist”. I’m not whining or trying to say management is lousy or crooked, just expressing growing concerns
I’m thinking not too many share holders are pleased. Flippers n shorts been having a time. Hoping for better times unfortunately hope isn’t turning out to be a great strategy.
So what happens if June comes and goes with no fins? Will that mean 2016 is worthless for the purposes of up listing and we will be waiting on 19?
I really want to believe there is a strategy and not a tragedy
I couldn’t answer because a nagging question keeps popping up in my head. How long is the wait for fins? They announced in September nearly 9 months ago they were working on 2018. Less than two months we are another year behind. So what “ok guys the wait is over the long awaited 18’s are in”. Unfortunately working so hard on 18 has left us a year out of compliance. Rest assured though our team is now diligently catching up on a years worth of #’s”? The sentiment is being played out as expected, the current pps isn’t lying. Loyal shareholders are getting spanked not rewarded. Do better Roger
Thanks again amigo. Best wishes
Jauncy, thank you for the note, I agree 100% and hope everyone gets what they have coming good or bad. I have a hard time understanding how some folks find comedic value in messing with folks $$
Thank you, I really have no issue with what you’ve spelled out. In fact I am in agreement with you. I like anyone else hates to be wrong, especially when it comes to making an assessment of a company and it’s leaders character. Late 16 thru early 17 I put in the time researching Amfil and determined I liked the company direction. I also concluded that I liked the CEO, considered him honest and having nothing but the best intentions. Really liked the company’s stated mission of growth and rewarding loyal shareholders through dividends. Flash forward two+ years and nada. I personally plopped down 40k so you can imagine my satisfaction watching the value of those shares zoom past 6 figures. Now here we sit, still at a gain with hopes hinging on tweets and such from over a year ago “audit uplist spinoff dividend” ring a bell? You remember Roger on the radio talk show saying how he really wanted to get this uplist done especially for an ill shareholder? I do, I remember everything. Who as an “investor” wants to lay down money for so long and have nothing to show for it? Me I guess because I’m not selling, the $$ is on the back burner but I do still pay attention now and then. Needless to say after hanging in this long I’m expecting a fat roi when the ship comes in. Again thank you very much for your replies and tireless genuine support for the company. You must a good fisherman and do well with obnoxious children.
Trust me not a hater, I’m hanging in there 2 years +. Do you have an inside line on Amfil’s financial situation? Packed restaurants don’t necessarily equal big company profits. Some reason shareholders cannot get a teaser sneak peek at the company’s finances and doings. Mortimore has in the past given fin info before the report is out. Without a crystal ball or some solid communications that don’t rely on “forward looking protections” we are still flying on faith. Still the shorts, day traders, flippers and such capture rewards while long term share holders are left in the dark. It’s not right amigo. Btw I’ve sent several emails and have yet to receive a reply. I’ve also done my part locking shorts out of what I hold. If you have a righteous inside scoop throw me a bone
I agree, thanks. I’m just a bit irritated with the way things have been going and now this which was outta the blue for me. Sitting here well over two years, shorts having a field day, lotta flippers doing well. Investor has gotten one disappointment after another. Pretty much in the dark. Snakes looks to be doing well but restaurants are usually pretty tight margin. Ahh well I’m giving it until mid summer because though my faith in Amfil is being tested, my faith in Crystal Ball is solid. Miss Ball whispered to me “they intend to keep the pps low until summer”. Didn’t say though.
This could do wonders building share holder confidence and value. It seems like it would be fair for Amfil to get out in front of stuff like this otherwise we hear “stop sign, not making information available, no PR’s, no filings.” I’ve seen this size companies getting sued. I’ve also seen them file BK and somehow people are shocked even though they haven’t seen audited fins in a long time. Does the company enjoy giving some of these people ammo to come in with their lol’s?
Can shareholders get the details on this?

OK any more on top of this one? https://www.pacermonitor.com/public/case/27676778/Flat_River_Group,_LLC_v_Amfil_Technologies,_Inc
How many lawsuits does AMFE have pending if any?
This is the first time I noticed the “stop sign” warning on this page. When did that go up? Who put it there?
Can someone translate this? Apparently I misunderstood completely. Reading this indicated they started on 2018 when 16/17 were submitted mid Sept. Taking this on face value that is now 6.5 months the team has been working on 18 fins.
Then the last line “company expects to file this quarterly report within the 5 additional calendar days granted.
How about an updated explanation and assure shareholders the filings won’t get so far behind they’ll never catch up? Without fully audited fins the company will never leave the pinks so may as well let go of the up listing
and spin off talk. To reiterate, I’m not saying the company cannot continue to grow. I’m saying we cannot up list. This will never bode well for investors.
“Reason for Delay in Posting Financial Report: State below in reasonable detail why the Annual/Quarterly Report could not be filed within the prescribed time period.
Company accountants and auditors are working through the audited FYE June 30th 2018 financial statements. The recently submitted audited financial statements from FYE June 30th 2016 and June 30th 2017 in preparation for up-listing took longer then expected to complete. This created an overflow into FYE June 30th 2018 and Q1 2019 being late since the bulk of available resources and manpower was allocated to completing the audit in order of oldest to newest due dates.
Anticipated Filing Date:
[Please note that the filing of this notification grants issuers 5 additional calendar days to post a Quarterly or Interim Report and 15 calendar days to post an Annual Report.]
Company expects to file this quarterly report within the 5 additional calendar days granted.”
“News items WILL be released in the following weeks.”
2018 audit completed and submitted
“Will”, is not subject to interpretation or to be confused with expect, maybe, possibly etc.
“Following weeks”, yeah ok some wiggle room. How much? 80 weeks? Technically yes I suppose “following weeks” some might consider indefinite. What does a reasonable person consider “following weeks” to mean? Does the CEO intentionally word his tweets relying on ambiguity to carry him blameless as this drags on or is he being honest?
I have a significant vested interest in this company. I believe it has huge potential. These kind of tweets and pr’s past and present concern me though. Ambiguous tweets, letters to shareholders and pr’s are not transparency.
Audit completed? Clarification if you would be so kind. “The Audit” refers to fulfilling the requirement of three years of audited financials in order to uplist. This is specifically mentioned in Amfil’s Jan 31 2018 press release. I don’t wanna speak for others but in the case of Amfil and all the audit talk, “the audit” is three years of fins submitted so they can uplist. The pr back in September of “audit complete” submitting uplist turned out to be a dud. Two years worth and not enough to uplist. A couple more weeks and we are one annual and three quarters behind. Aside from all the wonderful things going on with this company it’s almost impossible to intice more investors. Not trying to be adversarial, I’m still in it to win it but the longer this issue drags on, the more the company and investors become open to bad things happening.
Agreed. Three quarters behind and still no 18 fins says to me the whole multi year audit thing was a waste
Break into the Vacation Home Rental niche. I use VRBO and have stayed in many rentals over the years. Every single one of em has a shelf with a selection of board games. Get a foot in VRBO to communicate with their thousands of clients about making a very small investment sprucing up their game shelves. Possible oppo to get feedback from vacationers who rent the properties. There are probably hundreds of thousands of vacation rentals in America and most have a shelf stocked with games. In fact games are on the list of items recommended by the experts to owners who rent out their homes as vacation homes
Is it count down to D Day? If 19 2nd qtr filing date is missed along with no other past due fins caught up does it hit the fan? Flip side everything hits and fully caught up it hits the fan and rockets north?
Amen to that! Break out the Black Flag. Happy New Year!
LOL? Psshhh
My fuzzy math says almost 90 days since the notification of late filing re 2018 annual report. In that filing it is stated they got after the 2018 fins when the multi year was filed a few weeks earlier. I'd think we are sitting at the norm expecting 18 to be filed along with 19q1. Really can't afford to fall behind any further, they will never catch up. Gotta happen any day
The sentiment, run up, slide down, sideways, skepticism etc. This is not my personal opinion about the company or ceo but rather observations. It ran big on word of becoming fully sec compliant, reaching the .25 threshold and uplisting. Something else played a big part but I will not say it here. However it couldn't hold due to tweets, (generalizing here) 3 year audit nearly complete, uplist, spinoff dividend. These went on for several months and were finally addressed. Then bam the infamous "mission accomplished" tweet which was quickly followed by major excitement. Then it started quickly sinking in that the mission wasn't accomplished. So now here we sit hovering around pre "mission accomplished" levels. More late filings blah blah blah. I totally understand the sentiment. It further kicks open the door for more follies by everyone's favorite characters. This point I'd rather not see any more tweets or PR's until the mission is accomplished, they get us nowhere. I think it possibly adds to the negative. Until they are fully SEC compliant the pps isn't going anywhere. Whenever it does hit there is gonna be some fun.
Short of getting caught sleeping and not canceling the order when the stock hits the roof I don't see a down side. I did notice some had issues with folks doing that and I can only guess their real concerns. For this to have teeth there needs to be as many as possible on board. Actually sort of curious but for example would there be a down side to selling 420k shares at 3.00 a share with an average cost of .04? No brainer, this has to be done. I'll spread the word
That's good to know, I'm in.
I hear ya. It's not that I'm concerned with the company or the ceo, I've stuck with em for two years now. I don't have a fortune laid down but it's enough to sting if Amfil gets shorted into oblivion. Some of these miscues, late filings, missed deadlines have created a weak sentiment opening the door for ugly short attacks. Plenty of good companies have been shorted into nothingness. That can take a long time to recover if at all. Some moves to counter the short attacks should be given serious consideration. Just offering up sentiment and things I hear from people I know that hold Amfil shares. That said, I'm in it to win it.
That tweet has a familiar ring from somewhere around a year ago, a similar plan was mentioned. Frustrating! Highly unlikely scenario but considering this is still a pinky and now sporting a "stop sign" a sane person has that voice tellng em "could be worthless overnight". "Cmon Mortimore"lotta folks laid down good money on him and his company. Time for Amfil to get more skin in the game and let folks know how strongly they believe in the direction they are heading.
I have yet to see anyone put a negative spin on Summit accumulating. Seems when some are presented with that fact they go quiet for a bit. Everyone should take a minute and take a peek at Summit's other holdings. Tells a story even the slowest amateur should understand.
Yeah I'm gonna go out on a limb and say Summit has more resources at their disposal than any individual pink traders or investors. I'm pretty much resigned to letting them do the work for me. If they unload then I'm likely outta there. Until then enjoy the growing pains and hopefully learn and earn.
"The manpower was allocated to completing the audit". Humph, that says to me the audit is done. So if Q 1 misses the extension deadline yet Amfil submits 18 the Stop sign remains?
Ya know Unicorns are fairy tale creatures right? In reality the are impossible to snuff, pet, save or do anything with. I understand some find games like D&X or D&E more appealing in a family setting. Different strokes. We prefer "kill any ictional creature" fantasy based games.
Is that all there is to the delay? It's not like they didn't know when they were due. They had to know extending and then missing the extension deadline would not only snuff the audit news it would raise eyebrows. Companies much busier than Amfil regularly make deadlines on time. Perhaps it is what you say, simple as that. For some reason I can't put my finger on, I get a feeling the filing delay is intentional and aimed at keeping the pps ridiculously low. Great biz model. Got me a bit flummoxed atm.
Right there with ya brother. I'm keeping the faith, I just try to step back sometimes and think about what others perspectives might be. I brought three other people on board so I get hit on occasion with the "what's up with Amfil?" question. Not following up with 18 fins and more delays uplisting (previously they said uplisting would be automatic after audit and take very little time) threw a big bucket of water on the fire. I know a lot of folks are averse to a RS. I understand the feeling if a company is tanking. Amfil is definitely not tanking. Sooner or later they will have to address the # of shares and making moves to keep "investors" invested. Keeping the faith!
