ICOR has been a good "swing" trade........lately.
and, it would be nice to have some
improving fundamentals also.......like revenue.
Almost all pennies drift back down 2-3 days after a big pop
on good news.......and that's the time to buy back in.
If the stock "drifts" up in anticipation of pending news through
the "brother-in-law" affect over a few days,then that's also a good point to take profits because the "Sell the news" syndrome may kick
in if the PR is not strong enough to keep the price elevated.

This stock has given me two 100% profit trades in the last couple weeks.........it's moving a lot on not much volume for it's price.
It acts like something is in the wind.......and the forum is dead?

I have 11 and 1/2 million shares of this little dog pile at an average
.0002.........so it sits on my trading software waiting for .0003 Ha.
Hopefully the shell will get reverse merged into some outfit that are not crooks (unlikely in the Pinks) and I can escape........or die first. Ha.

The Alert Detection market is big........
.....and complex.
If one researches the fatigue/alertness areana we find a lot of big names are in the game......Siemens, Ford, Volvo, Delphi, and a bunch of others have generated Driver Fatigue Monitors of various types......along with software that tries to keep up with the complexity of inputs, formulas, and algorithims to make these things work effectively.
I'm not sure anyone has taken the lead......or we'd already have these devices in trucks and cars at reasonble prices. Not there yet.
It would be interesting to see the details on the ADS patent and area of specialization that SRG feels will make a successful difference.
Safety devices have always found their way into transportation.......if they work.
14,xxx sq ft of R&D space is a lot. I'm assuming some type of simulators are being installed......but human research subjects are not cheap.....

on pg 25 of one of the amendments to reach the 5,000,000 shares of Series C Prefered which states will equal 80% of the common shares after the RS of Icore shares.
Hmm. The math stumps me.
ICOR now has 760 MM shares outstanding after all the transfers of assets and debt assumptions by early Icore investors.
SRG's 5MM Series C 80% ownership & voting rights would imply (approximately) 7,500,000 ICOR shares after the RS.........
Which would imply: A 1 for 100 RS (which doesn't seem plausible to me)
Which would imply: ICOR goes to a $1 dollar.....on 1 for 100 share ratio.
I have been expecting approx a 1 for 10 like the SRG folks took.......but the following statement is repeated several places in the 8k .....
Exchange Agreement, pursuant to which the holders of 100% of the outstanding common stock of SRG transferred to us all of the common stock of SRG in exchange for the issuance of 5,000,000 shares (the “Shares”) of our Series C Convertible Preferred Stock (such transaction, the “Share Exchange”), which shares are convertible into 80% of our then outstanding common stock immediately after a reverse stock split.
Check my math.
Lets digest the Good, the Bad, and the Ugly of RS
Many times when a stock goes below a penney an RS is implemented to
it far enough "into" the pennies to be attractive to certain brokers and investors..........but without positive fundementals the stock quite often gets sold off again to shareholder detriment.
All of the shareholders of this exchange, which includes the original founders and investors of HLBC/ICOR will be affected by the RS.
They knew that when they constructed the Exchange Agreement......so
hopefully they are quasi comfortable with an RS.....or in fact realize the company needs one.
With positive news an RS should not affect relative share value.
The fact that all the original players are still fully invested bodes well I believe.
The news about leasing 14,000 sq ft of R&D space should indicate SRG management thinks they can economically utilize that cost with future contracts and revenue. 14, 000 sq ft is a lot for a "software" product.
ADS is oriented towards the transport industry so maybe they need truck and auto simulators in there.......I don't know.
R&D means more work has to be done before revenue.
The "burn rate" of money could be high........but contracts could be "pending" and in the near future. We don't know.
Hopefully, future filings will reveal positive news.

It has to be revealed in filings.....period.
The Ask can always be "thin".......with millions of "overhead" just
waiting in the wings.....to be fed "appropriately" by the MMs or certain
brokers.
BTW, The entire exchange was predicated on a Reverse Split.
If one reads all the amendments, it is recited about 20 times
That exchange consumation was the "news" of yesterday. The RS
is guaranteed......unless the entire agreement/exchange is canceled.
We need to expect it.........and play the results.
DD is a good thing......a must.........for as far back as a company goes.
Spend the time.........get the big picture.

If they can help SRG get contracts for the ADS products, then maybe we can get ICOR shares out of the dumps.
If SRG fails to produce revenue, then the big holders have millions and millions of shares to dump attempting to recover some of their investments and we wind up in the triple 000s.........or worse.
Time will tell................unless we die first.

Early founding investors own majority of OS 750,000,000 shares.
After RS, "float" will be "relationally" low but there will still be a ton of potential shares that could be sold by these early investors to cash themselves out.........over time.
It will be an uphill battle for the share price.
We need ADS contracts.
Good news is: ICOR has very little debt.
The bad news is....the 500MM additional outstanding shares to pay off early investors who were owed money......bringing the total
outstanding to 750MM shares.
ALL shareholders got diluted in this "exchange".......big time.
SRG is running the show.
ICOR founders own the show.
SRG management/marketing is key to success.
It will be interesting to see who is bringing in the $2.5 million
new monies .......and what the "cost" will be.

SRG did pay Huppe $1,250,00 for software.
A million and a quarter for the license says ADS must be some good stuff.......and potentially very "marketable".
That 8K was complicated.
Notice all the early investors in ICOR are still big owners of ICOR.
I would not be surprised to see the original "assets" transfered in the "exchange" come back to ICOR in the future through various transactions...........

I have yet to figure out the level of the Reverse Split in the next 60 days.

Majority ownership still appears to be retained by HLBCDC, Stevens, Rockland, and the others that participated in the "exchange" of debt due and ICOR common shares.......which came up to the full 750MM shares "authorized".
They also will be affected by the Reverse Split.

How much will this 2.5MM be per share of the new share amount?
Dunno.
A 1 for 10 would bring total Outstanding down to approx 75MM shares.........and a share price around .05.....correct?

I'll try. Lots of "overhead" to be sold.
There are still many investors who bought above this level and
will sell into "strength" or price increase to "break even" or make a small profit.
There are also sellers who were paid in "stock" for various transactions in the past who will sell into any runup.........especially if the "news" is not real strong or revenue producing.
As soon as sound revenue producing contracts are made then most
sellers will "hold" or in fact "buy in" and the stock has the
fundamentals to move higher and higher.
Now is the time to buy in.......if you like the outlook.

The Brother-in-law effect is pretty obvious.....especially in thinly traded penny stocks.
If something substantial is being worked on....or imminent....
then a LOT of people are involved............
so......the lawyers relatives, and accountant's brother and sisters and dad's and mom's and everyone's Brother-in-law start buying the
stock.
This is the essence of: Buy the rumor-sell the News scenario.
So far, volume has been very light.
If the "event" entails more borrowing and leveraged financing, then the reverse happens.....selling....because of expected dilution.....or simply no buying......
A Revenue generating deal is the key to kicking off some Brother-in-law effect buying.
