That's a good point but since QSI has a patent on the process, wouldn't it be a redundant statement to say they wouldn't work with another company?
Theoretically, there is no other company that can offer a nano iron catalyst for ammonia without a license from QSI
I understand why most on this board would only want to talk about positive aspects of QSIM. I'm not bashing, just looking for a logical reason to buy again.
based on the last few trading sessions, there's no shortage of others that have already gotten there. you can't argue with results.
Roberts is laying out the raw facts but getReady is right about bad news driving this stock to higher PPS and bigger volume.
The worse the news the better the stock does... maybe if a meteor hit the building QSIM would really take off !!
LOL, I don't get it but sure is fun to watch. I'm happy for the longs
The answer is yes, just look at the buys so far today. 3 million shares and about a 3rd of volume yesterday were buys.
Someone obviously thinks there's an upside but I can't see it at this point. Even if I did, any shares I buy now will be diluted off a cliff.
I'm waiting for someone to make the case
One thing that's not vague is the absolute certainty of MASSIVE dilution.
They just spelled out that there is ZERO chance of any upside FOR QSIM until all dept is converted and the balance sheet is clean.
I'm not smart enough to do the math to figure out how cheap this needs to be to survive the dilution party with any value.
haha, I just don't want to give anyone an opening to sue...
I wonder who the hell is buying all of this stock... granted, not huge numbers but much bigger than I'd expect. PPS not going back up though..
People are still buying... if Kevin came out and said he's sitting at home getting drunk all day and not even trying any longer, this stock would still get bought...
I'm watching for a reason that I would personalty jump back in. This stock seems to defy logic... or at least my logic...
(disclaimer ...IMO, Kevin is a pro and I would not think nor do I imply he is doing anything other than his best and I have no idea if he even drinks)
They've done both... they sh*t and now they're off the pot... if you read the latest 8K and 10Q, they haven't made it a secret.
in the 10Q, they said that the company will adopt the minimum and much less frequent reporting schedule available to them as a smaller cap company.
Kevin is smartly, going by the book because he wants a future in the industry. IMO this is the reason for the communication we've gotten so far and not because he has any particular love for common stock shareholders.
Answer for "Where do you people get your information from?
Where does it say that Vivakor is looking to Reverse Merger with QSIM?"
This was the question from Roberts...
Answer...
It doesn't say Vivakor and Vivakor wouldn't make sense anyway because they are already publicly traded...
But they get the merger info from the most recent 10-Q under Going Concern...
"The Company is exploring possible opportunities to sell certain of its assets pursuant to an asset purchase agreement. In this regard, the Company has had preliminary discussions with multiple parties that have expressed an interest in acquiring the Company’s assets. In addition, although a formal plan has not been adopted to do so, the Company is exploring possible opportunities to merge a restructured Company with a non-public company. In this regard, the Company has had preliminary discussions with a party that has expressed an interest in becoming a reporting company through a merger"
To your point however Roberts, they go on to say...
"There can be no assurances additional financing will be obtained or that assets will be sold or that a merger will occur. Should the Company not be able to obtain a purchase order, not be able to obtain additional equity or debt financing, not be able to sell assets, or not be able to merge with another company, then the Company would have no alternative but to file bankruptcy. Based on these factors, management has determined that there is substantial doubt regarding the Company’s ability to continue as a going concern within twelve months of the issuance date of the interim financial statements for the period ended March 31, 2017."
I don't really get what is driving QSIM but, bottom line, people are still buying the stock even with all of this info...
Haha...
PPS going up again and a buying at those higher prices...
I don't get it but happy for those still holding.
Something is going on and I hope ALL benefit in a BIG way !
That's a good question as well as how do you do a reverse merger with a company (Vivakor) that is, to my understanding, already a publicly traded company? VIVK
Why would Vivakor want to merge with QSI with all the debt and potential legal liability they, Vivakor, would acquire from QSI ?
Vivakor likely has the production equipment and the licenses for the important patents from QSI already without all the baggage.
I"m not a basher, no reason to be but just want the record to be straight and a real understanding of the upside here.
It helps all involved.
Yep, PPS is holding but not a lot of liquidity ....
Is the company with $80mil revenue you're referring to Vivakor ? If that's the RM target you're talking about, unless I'm mistaken, they already trade under VIVK.
No action on their message board and almost no trading. Also, no filings listed so need to look somewhere else to find financials.
10Q and 8K doesn't seem to have driven out the buyers. 1 mil chunk buy and multiple respectable chunks Bought just before closing at the near high of the day.
it'd be great for someone to explain the mechanism that makes QSIM so attractive in spite of some, on the surface at least, pretty bad news.
I'm missing something here.... a lot of stock investment education in play... makes my index funds seem incredibly boring ...
looks worse than the last one...
merging with a non public company?
Once they sale all of their assets, what's left in value for the common stocks shareholders ?
mostly buying today so far, PPS holding steady. Others obviously get something here that I don't
Q is out. I'm sure all of us are reading it now
I'm not expecting anything substantially revealing in the 10Q as it covers the period before the last 8K.
when they said it would be out 1st week of June, I didn't expect it before Friday the 9th.
Can't see what's taking so long to put together a 10Q for a company with no income. If there were anything new along those lines, it would have been described in the 8K I would think.
I thought Vivakor might be a good play since they are purchasing some of the core assets of QSI but they aren't really trading.
QSIM is fun stock. It seems to take off without warning and really fly.
I didn't say that, just that they likely don't need an industrial zoned facility any longer ... this is just my take on it.
No reason to stay in the current building IMO. They've told us that the core manufacturing/R&D has been sold off along with the rights to I'm assuming the corresponding patents in the 8K
The entity, Vivikor, that purchased the Reactors, lab equipment, etc... is in NV.
I've been in the building many times and that part of the business takes up most of the SqFt.
If they have vacated the building, it doesn't necessarily mean anything more than what they've laid out in the recent 8K.
We will need further info on what path forward The Board (Kevin} has in mind. They mentioned merger...
There is a healthy mix of buying and selling without the obvious "pro" pumping so something's going on...
I'm out for now but watching and listening
A big thank you to whomever is facilitating this. I'm happy but not one to wait for the music to stop before sitting down.
Good luck all !!
I think you summed it up pretty well.
seems like thy are doing their best to get the value in the company out the back door while they/he still can
You're correct in saying that a PR is REALLY needed here. Below is a real question...
"The second resolution is to approve the sale of up to ten reactors, peripheral production and lab testing equipment, and licensing of certain QSI patents to Vivakor, Inc."
Sounds to me QSIM is selling its core assets to Vivakor and who knows what the licensing agreement is for the patents (long term with buyout provision?). What is left in QSIM other than debt? Why would Vivakor merge with QSI if the only benefit is acquiring their debt and other liabilities, legal and otherwise ? Again, I'm really looking for a good answer.
On the other hand, investors are willing to take "restricted stock" which says they have reason to believe the company will be around to make the deal worthwhile...
Kevin is up to something here for sure. I hate having to guess as to what... I'm looking to the board to speculate
I think they only have 10 reactors, If they sale those and the patents, that's the company... there is nothing else.
missed that... yikes
agreed, 10 million shares are nothing in the scheme of things.... interesting this came out before the 10Q for the last QTR... says something for Kevin's integrity maybe. don't know if he was required to release this info now as opposed to the next 10Q filing
Sooooooo, maybe this 8K explains why the pro pumpers where here a couple of days ago along with the volume spike .... they seem to be working through their issues or maybe being sued .... positive.. negative ??? chime in...
All the damage is self inflicted. 2 and a half months with no news or official updates are bad optics for a promising company.
As soon as this is corrected, "real" volume will come back as well as the fun of being involved with a dynamic stock
damn ! that's a nice number.
Someone needs to hire those promoters from yesterday to come back. They did a great job with volume and PPS
I just received this positive email from IR. Sounds like the auditor is dragging their feet and causing the delay of the 10Q
The important thing for me is they are communicating and, IMO, have not abandoned the company otherwise, why would they bother with the process.
"Thanks for your interest in QSIM. The Company is working closely with its auditors and hopes to have its 10Q filed by 1st week of June.
Stephen Hart
Head of Capital Markets Advisory"
Company is posting false info on their website, not me. DD is obviously important but you shouldn't have to be a detective to get basic contact info especially if it changed 4 months ago and still listed on companies own investment page.
Any reasonable person would expect current info listed on the investment page of the company website would be more accurate than a press release from 3 months ago.
so please don't accuse me of posting false info.
Thanks, where is this new info listed? The QSI website still lists IR as
INVESTOR RELATIONS
Gregory Hrncir
Chief Strategy Officer
Email: ghrncir@qsinano.com
4 Months without updating IR contact info? The least they should have done is put an autoreply on his email if he's not there any longer.
He was the one responsible for the original reverse split and the reverse merger that took them public.
I sent an email to Gregory Hrncir, the IR contact asking about the 10 Q. I'll be happy to share any response i receive.
His email for anyone interested is ghrncir@qsinano.com i got his info from the website http://client.irwebkit.com/qsinano/
No one should expect you to camp out. Thanks for stopping by and reporting
I haven't tried IR recently but I have emailed and left VM for Kevin for the last 3 days. No response.
When did you speak/communicate with him last?
I'm aware of the info you provided but it was from a few weeks ago.
When did you speak with Kevin last? I've been unable to make contact with him.
I feel your pain. I bought in at $2.
I found this board while researching another stock back in march about the time all the hype was so heavy and 40% gains per day.
I've been watching this to see if it would turn around and possibly a place to jump back in and mitigate some losses.
Still not dead to me. Even after the news of locked doors, there is a lot of buying going on and great volume overall.
It's scary when the trading just stops and interest dries up.
I just keep this up on one of my spare screens while working.
Under BOD, it only lists Kevin as CEO on the website. Only 1 Director ???
Was going to try to contact the other board members to get an update.
