Does anyone know if DGF has converted all of its preferred shares? I read it somewhere but can no longer find the link.

And what does that mean that you would be even more impressed? I certified Dr. Hirsch as an idiot and he has the certificate to prove it. Absolutely embarrassing that anyone thinks he brings any value to any company let alone OWC.
On a day that was virtually all green and perfect, OWCP differentiated itself by bleeding red.
Yes there is a survey that assessed IQ levels in Ramat Gan. I helped with the funding and organization of the study, including drafting of the questions. The overwhelming conclusion, within a 98% confidence level, is that both Bignitz and Hirsch differentiated themselves for being the most inept at running a company. Even after auditing the results, we came back with the same results.
That is really a staggering and disturbing sign, especially for those that manage to literally dodge a bullet every single day in the U.S.
Unfortunately there is a lot of misinformation that is being politicized to suit one's gains whether for political, financial, or other reasons. It's sickening!!

You are misinformed! MjMilo has been involved with this stock much longer than any of us. He brought it to my attention and others about a year ago. You are interpreting his comments negatively, when what he is saying is that there is more to the company than just a cv19 play.
As the toll rises and relishing the opportunity to $capitalize is pretty sick and distasteful if you ask me!
Ok so it appears that you are saying the same thing. It's not just a question of whether or not one is "happy" with TA updates. The question should be, are they correct as of today's date? In this case the answer is
no!
I think that is a prudent thing to do, especially when it's the most recent filing.
It's not a judgement call, just stating indisputable FACTS based on the most recent information provided to us.

As of a few days ago we all know, as per the SEC filing, that the Outstanding Shares has increased.
Security details remain unchanged? Add the 23 Million+ shares issued due to conversion and the O/S count has changed.

How many times do I need to tell you that your DD about David Sims was horrible because it was about another similarly named person.
SIMS/DGF is not a scammer! He's a shrewd businessman.
David Sims of DGF is not a scammer. That is not to say that he is a saint. He is a savvy businessman and will sue the daylight out of you if he has to. Nothing wrong with that.
As another poster also pointed out a $5 million repayment is preferable than the number of shares that would need to be issued with conversions. Unless of course the share price goes up to the mid $.20s. That would be ideal.
Your assumption is incorrect. David Sims does not have any problems with the SEC. If you noted the last filing he was issued shares that represented about 10% of the OS. The loan agreement states that David Sims has the right to be exempted from the 4.99% rule at his discretion as long as he provides proper notice.
Sorry to burst your bubble but I posted about the Prime Bank fraudster months ago. It's not the same David Sims. Another poster pointed this out to me. To made sure I cross referenced all the other individuals and companies charged. There is no link to the David Sims of DGF. Also if you noted the $ amounts involved they would be considered peanuts for the David Sims that owns DGF.
You cannot make an assumption that DGF did not sell any common shares. That is wishful thinking. From yesterday's 8-K it says that there were an aggregate number of 23,371,167 shares issued on Dec. 5, Feb. 19 and Feb. 20. Wouldn't it be nice to know how many out of the total were issued on Dec. 5? Probably the bulk of them! David Sims is a shark and there is no doubt he would have cashed a good chunk of his OWC holdings during the very high volume trading days.
The irony in all of this is that DGF has a wonderful thing going. He has a wonderful conversion formula in his favour. collects 5% dividends every quarter. plus even if OWC chooses to redeem all of the remaining 410 preferred shares, they could only do so at the rate of 120% face value. With accrued dividends if that were to happen in the next few weeks the payout to get rid of DGF will be close to the original $5 million loan!

DGF is not stockpiling their common shares. The following is from the loan agreement and also on page 20 of the September 30, 2019 10-Q:
DGF has converted a total of 90 preferred shares so far. As I said before I am somewhat puzzled and surprised that they did not convert more.
DGF was issued the 23,371,176 common shares at an average cost of $.008. Given that the share price rose above $.012 just after Christmas, it could have been much much worse. Essentially if DGF had converted its 19 preferred shares before Dec. 24, the company would not have had enough common shares to issue them. To me this is a clear indication that until now DGF has been co-operating.
DGF has converted fewer than 100 preferred shares so far. What this means is that they still have over 400 preferred shares valued at 10K each, meaning they have over $4 million buying power. But keep in mind they have a built-in buyer discount based on a formula that they agreed to.
Example: Average of the 3 lowest closing prices over an 8 day trading period = $.05 multiplied by 75% = $.0375 Minus $.001 = $.0275
Let us get one fact straight. The "Sinai FB post from last Spring" was not in the spring, the post appeared on January 9th.
There were originally 10 comments to the post and two in particular stood out and were very disturbing. It prompted me to write the following email to Yossi Dagan:
I-G that is a bit misleading. Fact is that particular warning is a mandatory disclosure requirement that applies to all penny stocks not just "scams like owcp". Buyers always have to do their own DD before investing in any stock. This applies to all stocks, not just penny stocks.
My post was a clarification that as service provider associated with Kinarti Ltd., she should not be expected to update her LinkedIn profile to include OWC or any other company that she may be providing consulting services to. I did this in an attempt to quash any negativity just because OWC is not mentioned in her profile.
You might be misinformed as far as Dr. Zeevi is concerned. Below is a link to a consulting agreement that she entered into effective as of October 1, 2018. You will note that the agreement is with Kinarti Ltd. and that she is referred to as a service provider.

Obviously this would explain why her LinkedIn profile does not make any reference to OWC. A service provider would not be listing all of the companies that he or she is providing consulting services to.
Thank you for pointing that out. I don't remember there being a more loyal supported of OWC. But as the saying goes: Lie to me once, shame on you. Lie to me twice, shame on me. It's also really hurtful, especially so when one lies to your face while you're having dinner with them.
Anger will not make OWCP go up any faster and higher...true enough! Defending the morons and showering them with roses will not make OWCP go up any faster or higher either.

Let us clarify one thing about Dr. Hirsch vis a vis his relationship with OWC. He is nothing more than an independent contractor and consultant to the company. The services that he was to provide were through his personal company, Zeas Technolgoy & Science Management Ltd.
It's quite unbelievable how much slack Dr. Hirsch has been given since his arrival in July 2017. For the record, it was not just his plan to take the company in a different direction as far as the psoriasis cream is concerned. An "undifferentiated"path is another way of buying more time and muddying the waters, but it was months earlier when in an 8-K the company stated:
A new investor looking at OWC may become intrigued by the potential of the products that are "market ready" and so many others that are in the pipeline.
The problem is that 3 years ago, to the day, we were also led to believe that the psoriasis cream was going to be available in a matter of months. Until the company backpedaled and told us the cream was so great that they now needed to do more studies to determine what other ailments it might cure. You see they were doing it for our own good and many of us believed them. 3 years ago there also was the same talk about the US government stepping in and legalizing CBD and THC for medical purposes. Shareholders were calling for Jeff Sessions' head, he was replaced and nothing happened!
We could go on and on but you get the drift. Shareholders wanted to desperately believe that everything the company was doing was to build massive shareholder value. Why shouldn't we, when that is exactly what Dr. Hirsch promised? The problem is that back then we did not know that he was both incompetent and a liar.
OWC talked a good game, but to many of us they have revealed their cards and lack of character. They are not to be trusted! Having said that it is my sincere hope that a miracle will happen.
