It’s speculation but also common sense. Bridge loans are there to bridge two transactions. Why else would he have needed a bridge if SC didn’t want the 1.5MM?
A bridge loan is a loan used to bridge two transactions. This loan was requested by Rory to bridge the two transactions. Meaning he knows he will receive 20MM in cash from the offering but he needs to pay 15MM to SC and SC needs this 1.5MM to guarantee the transaction which will be paid by the Public offering.
This loan is an indication both the Public Offering and SC acquisition should be final as you don’t usually take a bridge loan unless both transactions are signed for on paper

What people don’t know is that Rory was probably required once he saw the financials to get quick financing to give as a deposit to finalize the contract. Again this is a bridge and this is probably the best financing we could have got in a short period of time.
Watch shark tank.. even the billionaires don’t do friendly financing. Do you see the type of offers they do? There is no such thing as friendly financing they all eat you eyes out. Even a bank would have had to taken collateral on the whole
Company and the technology. Also people fail to read it was an “accredited investor” done by an investment banker.
We didn’t lend to Kodiak or Oceanside or EMA.

What friendly lender are you referring to. There is none, not even banks are friendly when they lend. Yes their rates are lower but their legal documents are where they have the upper hand that no one sees.
You’re disappointed because your timeline when this stock was going to go up just had a set back? If anything why don’t you see this as we are that much closer to acquiring sound concepts?
This bridge loan will be our deposit to SC. This is a good thing for FUSZ. It means the acquisition is happening and the financials were good. You don’t ask for 1.5MM to act as a bridge if the financials of SC was terrible.
We’re that much closer now to the Nasdaq

There’s 2 ways of looking at it. Pursuing a company to get their user base to sell your technology is reason to buy a co which is not profitable.
That said the odds of being in business for 30+ years declaring millions of revs and have a loss YoY will most likely result in bankruptcy.
I strongly doubt they are not profitable but if they are not profitable it would probably have valid reasons example they had a huge expenditure 5MM to build their Brightools tech (Just an example don’t read too much into this example).
My thinking behind why SC is selling to nFUSZ cause the kids of the owners took over and they want to bring SC to another level but also make a lot of $$$$
I’m not disputing him making the comment allowing people here believe we were about to hit 20K subscribers. I think we both agree had he retracted at the time his comment, because of what I believe to be the reason, like you mention this would be less of a concern for some. Keep in mind he didn’t have the BODs nor board of advisors guiding him with some of his comments. It could also be he was guided by IR at the time.
For me the influencers are not what will be the game changer within this company, integration in these big CRM companies will be. Do I think people like Chris Jackson and Anne Moree would have had a big impact in selling notifiCRM, not sure. I follow Chris and I don’t see many posts about Isagenix nor Anne Moree. I believe sound concepts will be the better option of tackling the MLM industry cause will have paid sales people going out selling NotifiCRM being paid by the revenues generated by bright tools. Win win for nFUSZ. :) Would have been interesting to see what the agreement with these influencers were.
If you pay attention to what Rory says today to the shareholders vs earlier in the year, leads me to believe he is better coached on what to say.
You’ve been here long enough with me and I always say this, I wish this stock never hit 3$ like it did in April as most shareholders on the OTC are traders and look at the chart and the chart speaks to them as a P&D which in fact fundamentally it’s not. If someone here can find me an OTC as fundamentally solid as this one which combines a solid product and solid management and now no bad debt with Stellar advisors and a strong staff with billion dollar company partnerships, I’m all ears!
Rory mentioned he was challenging his team in January to hit 20K subscribers and that he would take them to Hawaii. If he assumed at that moment he would blow past that number and a week later he gets called to the marketo office to integrate in their company, which option do you chose, tell your team let’s get 20K subscribers or let’s integrate in Marketo? Because we don’t know a fraction of what’s going on, Rory mentioned a big ERP company, now we’re seeing SAP post videos. It could have also been SAP that sidetracked him.
In regards to influencers, my guess is they put that approach at the back of the line. I wish I knew the timelines where everything took place, it could have also been that they have been trying to acquire SC since the beginning of the year and the acquisition of SC would be their approach of continuing with the influencers. (Side note Chris Jackson has nFUSZ video on his Instagram main page).
Correct me if I’m wrong but if Rory came out in March of 2018 and said we put the influencers on the back burner cause we’re pursuing integration in large CRM companies, this topic of conversation wouldn’t come up correct? And if he said that while our PPS was still at 2$ and had Oceanside not exercised their warrants and tanked the stock and when he said that the stock would still be at 2$ I don’t think this still would have been a topic of conversation.
The #nfuszteam have been putting all of their resources on the big fishes and not the individual users. Oracle, Marketo, Odoo, (most likely SAP and Salesforce) integrations have taken up all their time in 2018. As an investor and Rory would ask me at the beginning of 2018 would you prefer we hire sales people to go after individual MLM sales people to buy individual NotifiCRM packages or Put all our resources we have now to integrate in these big CRM companies where they will go out and get individual clients increasing our user base. The answer should always be integration. The beauty about acquiring sound concepts is their user base in the MLM industry and the fact that they have 5+ sales people who can focus on selling our product.
What I would also like as a 2nd acquisition is some small CRM company already integrated in a big REAL Estate brokerage company where we can focus on selling NotifiCRM to real estate agents
To be honest whoever is expecting high revs for Q3 is in for a surprise cause Rory chose the path of Option 2 I mentioned above
Ted, those that are worried over the next month are not the investors Rory is looking for. He wants more investors like Chakrar Reddy who has 10MM shares and in it for the long run. Not investors that hope on Q3 we have 1MM in revs so that once the stock hits 3$ they cash out all their shares. I don’t think the board of advisors and BODs joined FUSZ cause they are expecting precisely the next 4 weeks to be the difference in the company. I’m sure if things got delayed a few extra months they would be understanding.

I wouldn’t be surprised if Rory isn’t able to issue any material news until the offering is priced. I believe AGP asked Rory not to do so not to interfere with their underwriting. That’s why they announced Odoo via PR and not via 8K. Although to me Odoo is great, they aren’t material new and for that I believe whatever is coming will game changing (hint hint SAP and Salesforce). Has anyone noticed IR promotes all their other companies but not FUSZ? Wondering why? It’s pretty obvious

Rory sold Telx for 200MM or the equivalent of 1$ per share in FUSZ based on a max AS. 20x that would be 20$ a share or 4BB Market Cap. It’s doable in a few years from now with proven revenues.
What’s everyone’s prediction for this week? S1/A or 8K with the new CRM and or ERP partnership Rory hinted to the last few weeks/months?
Thanks for sharing and I would agree with you they did hurt us really badly. If I recall GREJUST got the float from Jeff and the math made most sense that they were gone as we saw on the S1 Chakkrar still holds all his shares.
IMO for Rory to convert his warrants and loans into shares now and not earlier indicates two things to me. 1- the selling pressure is gone and 2- we are near term the master plan.
