True unless some 8K news comes out with a partnership and we organically move our way up before AGP comes up with a price.
According to the S1 it references how the offering price will be significantly higher than the warrants which were exercised at .30 a share. In my opinion the underwritten price will be a lot higher and as per my findings and historical data our PPS will soar once the underwriter inputs a much higher offering price. If I were to guesstimate the underwriter will underwrite a price between 1$-2$
Forgot to mention when I was reading on these companies affiliated with AGP (I was trying to understand AGP’s timelines of closing their offerings. Longest was roughly 50 days and shortest was 32 days) almost every company as I mentioned before the stock dropped as soon as the S1 was released even if it wasn’t PRd and only becoming effective. I assume as soon as traders read S1 it’s a reason to sell. Digging deeper there were companies after the closing of the offering where the stock dropped and others the stock went up.
My opinion to those companies where the stock dropped when reading about the company, looking at their filings and understanding their future I would tell myself who in their right mind would want to invest in that company, no wonder the stock price dropped.
For the ones that went up, when reading the S1 and reading on their business well obviously they had something interesting to offer.
The point is, if the company isn’t able to draw interest for potential shareholders, the price will takes its rightful course
AGP has done different type of offerings. TRTC if I recall (could be wrong I read up on many CO’s affiliated with AGP) did not do a “Public” offering, I think they did a “Private” offering through AGP, same for KSHB. KSHB is an interesting company as well. Every company I read up on were releasing all ranges of PRs from the effective date of the S1 to the closing S1-A

Historically any company filing an S1 for a public offering, the PPS goes down. That said depending on the PPS determined by the underwriter, the price will then take its course. HTBX recently used AGP to underwrite their PO. Their PPS dropped right after the S1 was effective. Once AGP determined the price and made it public, as the stock was trading lower, it then soared. While the PO was being underwritten they were releasing PRs.
Actually it’s a good thing the 24 million warrants of .30 and 31 million warrants of .14 are mentioned in a conversation because the S1 states that the offering price will be substantially higher than the price of the warrants. For me, substantially higher than .30 is dollars

That’s the thing with all this information the assumption is the price will move up organically. There’s no more note holders to push to convert their warrants to drive the stock down like Oceanside and Kodiak did back in April. We have 1.4MM in cash. What do you think about the PPS going forward

If you want my opinion. Listen to the SHAC. Look at the company in the acquisition. Listen what he mentions about notifilive and NotifiMED. Are you a day trader or long term investor and take it from there.
I love this acquisition because of the MLMs. There is huge money to be made in that industry with NotifiCRM

There’s something Rory said in a previous SHAC why he couldn’t release subscriber numbers and in talks with an MLM company adopting it for all its sales marketers.
IMO either we have a nice count of subscriber numbers or we may have just signed a partnership that guarantees us a huge revenue contract.
