Question for board:
In EVSI's filing it says "After these transfers to CSS, the conversion of debt into common stock, and CSS's further reduction of debt in consideration for the transfers of assets, the remaining principal and interest obligation to CSS is $1,206,775.66." Does that mean HISC is going to take on that debt, as the new owners of this company? Why would they do that?

April 23, 2006 -- The Housing Authority is considering technology that would enable the agency to monitor employees' whereabouts through their cellphones and walkie-talkies.
The agency is "looking into" global-positioning-system (GPS) technology that can connect staffers' cellphones to a central server, enabling managers to track the exact locations of field employees at specific times and dates via satellite. "The staff had looked into purchasing BlackBerrys, and at that time, also looked into these GPS devices," a Housing Authority spokeswoman said. "But we're still reviewing. No decision has been made."
The GPS system - which only works on Sprint Nextel phones and walkie-talkies - sends location information from employee phones to a central computer, which generates real-time maps and reports for employers. The information can be imported into payroll or billing systems for time-sheet purposes.
Ananth Rani, vice president of products and services for California-based technology firm Xora, said the Housing Authority met with company CEO Sanjay Shirole "about five weeks ago" and "showed interest in testing the product."
The system is switched on manually by employees from "the minute an employee's shift starts until the minute it ends," Rani said. Employees can turn the system off at lunch, on breaks, or at the end of a shift.
While observers note the system can theoretically be used to expose employees who slack off, the city and the manufacturer downplayed that role. "It is not meant to track people," Rani said. "That is not the primary goal. It's a more efficient way to keep records of field work . . . It provides a reliable backup system for employers who want to show precisely when an inspection was made or when a repair was done."
The union representing 10,000 Housing Authority employees is "not opposed to the use of technology" on the job, said spokeswoman Moronke Oshin.
Although the Housing Authority "never raised the issue" of cellphones specifically, Teamsters Local 237 is aware that the city is considering GPS technologies, and said, "We don't see it as tracking employees, per se."

Why hasn't HISC officially, explicitely, PR'ed the distribution with Sprint/Nextel. They only alluded to it once and from a company that's usually PR happy, I would've thought they'd look to get some serious mileage out of that partnership as it brings serious credibility!

Question for the board:
HISC partnered with Cyberkey to help distribute each others products, so I assumed there was some sort of agreement as to getting a % of the sales each company attracts to the others respective products. However, when you click on the Cyberkey link on HISC's webpage you are simply routed to the Cyberkey website and HISC isn't actually selling the product themselves. That leaves me with the impression that the 2 companies have actually merged and are acting as 2 distinct divisions who are sharing all profits. If not, how are the sales each company is sending to the other managed and compensated? Any ideas?
