Brother is venture capitalist on Wall St and is involved with startups and mergers. Had him read latest filing. Overall, he stated filing was very anitidilutive (contains much language along those lines) and protects investors. New ones & old ones. This deal structured with Cipla is BIG. Stated they basically scared away retail with the previous S-3 & S-1's to buy in cheap and then do the "prefunded warrants" which guarantees PULM immediate money for trial, but is currently antidilutive as float will not increase till this sails waaaay higher. Basically, Clarke structured this deal way to appease insiders & new investors. The structure of this deal is designed by him & his posse, not Cipla.
Advising longs to load up cheap here before 4 PM. This is gonna be deluged with PR's from here on.

Read every word of 424B filing yesterday. SO is 11M or so and 13M if HC Wainright buys some in offering. This funding is designed to give private investors a cheap entry here before the runup and agreement is locked in. There is definitely more to this story coming. But with low float of 11-13M they are gonna do some serious damage in the next couple weeks. Then they exercise the "prefunded warrants". Gonna be fun watching this.
PS. Being an emerging growth company they have certain rights & do not need to disclose as much. They are definitely being sneaky in how they designed their deal with Cipla to benefit their private investors first. Retail gets paid last. ALWAYS. But it's coming.

My DD is telling me PUR1800 has a new partner & will be the next deal here. With no CMO & CSO this totally makes sense. New institutional partner will be revealed by next week for this offering.
I would scale in here slowly over the next few weeks and buy like 50 to 100 shares a day til you are satisfied with your average. I have no commissions so that works for me.
Heck no! We are on good footing now. Funded for the next year & easily a potential buyout target if things fall right here in next several months. Cipla would have 1st dibs as they would have inside knowledge of the company.
Very bullish here. Got funds and a partnership locked up now. Along with PH2 starting shortly/ Shorts will have a harder time putting fear of dilution for at least another year. As far as staying compliant, this should be fine as co. will have about $40M in cash after this deal is signed & a "floor" of $1.35 per share should be set here. IMO All bad news is out of the way. Great place to start a position if I'm an investor in bio. In meantime, as a long you double down if you believe & can afford to.

This low volume today is going to be the quiet before the storm. Love it. The high volume days for last 2 months were the hedgies effin around before the news. It's in back pocket. No doubt.
There's no telling when this happens. But it will. Price could peak at a crazy number. I'd say we get up to a $100M MC at least.
Got Further DD on S-1 being a total smoke screen here. Not happening. They are in negotiations with partner as we speak. I will post this at a later date. We r so close it's not even funny. Congrats to longs who have stuck with this.
For the record, I had emailed Clarke 3 times before I heard back from him in this long and thoughtful response. Clarke's letter is very Bullish IMO. He exudes confidence and basically is saying to hang in there as a partnership is coming. Gave info about Hava and other little nuggets if you read it carefully. The S-1 was mere formality that all the small microcap biotechs have in their arsenal to be able to raise money at a later date if needed.Beleieve it was used as leverage here in negotiations. It also scares retail & gives the private investors & tutes cheap shares to scoop up before the news breaks.
In addition, Arch's statement of ownership and increase in shares on Friday is also a great sign. These tutes know what's up. They would have bailed by now if something ominous was around the corner. Also, they are having a slower burn on money than many people think or projected. I think he wants the burn shorts badly and is setting them up. I smell something coming VERY SOON!GLTA Catchya soon.

I am bullish about the company moving forward and I can tell you we have a committed team and employee base working hard towards our company goals.
To address your specific queries, I’m not sure what failure you are referring to. As you may or may not know, forging strategic relationships with other biotech or pharma is complex and takes a significant amount of time. We are pursuing all opportunities and we will announce publicly as appropriate.
The S-1 filing should be self-explanatory. We are a development stage biotech company, clinical trials cost money, and we have publicly stated we will be raising capital to support our Pulmazole Phase 2 which is targeted to start this Q. We will not play into the fear mongering shorts and quants who try and prey upon other investors on a S-1 filing.
We have no control over the trading volume or activity in the stock. None of us are involved in any trading of the stock and this would all be public information. The dubious actions by those trying to play microcap stocks is not something that we can influence. However, in the last few weeks that you cite, we have regained NASDAQ compliance which is very important for the company. What we can do is stay focused on delivering Phase 2 data and anticipate appropriate shareholder interest and inflection if our data readout hits our target endpoints.
There is no secret behind the departure of Dr Hava or Dr Roach; all in the public domain. Dr Hava is at a company called MeteraRx. Dave helped mature our platform technology and get our pipeline to clinical stage which was an opportune time for him to consider what was next. After devoting 12 years to the company, he wanted to take a chance to be employee number one at a startup. We wish him the best and still talk often. Was for Pulmatrix, we have a very strong roster of scientists within our R&D group and with our consultants and my own background as former CSO at Pulmatrix, we are very confident in our capabilities.
Dr Roach moved onto Clementia Pharmaceuticals. Where Pulmatrix is now, focused on our lead clinical candidate Pulmazole, we determined strategically that our needs were better served with a Medical Director versus a full time CMO in the interest of maximizing our operational facility. Dr Roach is staying on as a consultant for Pulmatrix and Dr Hava is still engaged as well and we’ve built some efficiency into our burn rate. When the time is appropriate, we will fill one or both of these positions as our corporate needs dictate.
In the future, we may consider a shareholder letter or periodic update.
