You suppose that the buyer is the counterpart before the trial. If so Jeff is more stupid than I think. Jeff wanna money, as always, so can let the company. Assets > Liabilities, but there are few millions of losses. Also the losses for the buyer have a value. They use them to compensate the future earnings. The debts appears to be not so heavy. But we don' t know the terms of revers mergers.

When You sell a company You want the book value / fair value, not the market value expressed by the outstanding share.

Camac Fund seems involved in many law suit, like a job. But I don' t think this is the reason behind Jeff resignation. He is only able to write, tweet, say ... nothing. So anyone can go on and make a real company. Probably with a completely different business.
