Actually I have been involved in two share selling schemes.
The first was Building Turbines BLDW, a company proposing to sell commercial wind power. The board diluted shares, had no revenue, and became acquired by Hemptech, which in turn merged with Nuvus Corp to form a technology tool provider for cryptocurrency and hemp industries.
The second was Airborne Wireless ABWN. You want to see share dilution to the MAX, you can't find a better company that issued convertible preferred stock that dropped the price from 3 dollars to 0.0001 cent. They recently reverse split 30,000 to 1 for a new share price of 3.00 as of yesterday, wiping out ALL shareholders. As of today, they closed at 68 cents.
So yeah, I know what's its like to buy and hold onto loser stocks until they reach oblivion.
I know, clearly, a share selling scheme structure when I see one.
I have learned my lessons from them. The main one being:
Never buy an idea, only consistently growing revenues and healthier profit margins.
The patent-pending is CV Sciences idea, the product line is the reality and drive behind the stock price.
I have recouped multiple times all my losses from these previous endeavors thanks to CVSI.
Sold a ton of shares @6, 8.28, 8.4 and bought back from 7 back down to 5.06

Then again, my total average on 100,000 shares is .66 cents. I have no reason to complain. You may have, especially since you are new to this board and stock.
Companies that generate no revenue are TOTALLY SUSPECT. But simply because your opinion on a company's products differ from their balance sheet, doesn't mean there is a scam going on.
Either you believe the country is dumb for buying CV Sciences products and thus helping their cause (which you apparently strongly oppose), or you yourself are looking for a cheaper entry price into this stock.
Because the altruistic notion that you are 'saving' people from making a bad investment and/or bad purchase into this company is a losing battle in the long run.

Anyone and everyone invested during the majority of that time frame made money.
Think about this...
On August 20, the date of Citron's attack and the immediate response from Block & Leviton, the stock price dropped as low as 3.40.
The stock price did not exceed 3.40 until August 6.
So any losses, real losses, incurred by investors will likely be anyone who initially purchased shares between August 6- August 20. A time frame, when the stock was rising due to the stellar second quarter report of increasing revenues, gross and net profits, NOT patent-pending products.
Good luck searching for however many investors lost money during that time frame. Because if they sold before the 20th, they most likely profited. If they held on, they are likely in the green since the price closed at 6.27. Anyone who purchased above 6 dollars, heck, even those who purchased at 9 dollars, will likely hold onto their shares until uplisting, or the Farm Bill, or Descheduling Hemp from the CSA, or Q3 report...events which can catapult the share price above 10 dollars!
If uplisting were the only catalyst on-deck, perhaps these scummy lawyers may have more 'lead plaintiffs' looking to sue CV Sciences. But guess what...
Investors are here to make money, not file lawsuits. Lawsuits waste time. Buying low and selling high generates profit, and that's what we are all here for.

CVSI is ONLY answerable to the SEC. Let them conduct their own investigation and if there is anything worth revealing to the public, the SEC will comply accordingly.
What is the best course of action?
Think about it, spending hundreds of thousands of dollars on your own lawyers, their lawyers, court fees, administrative fees, fines, documents, and redacted press releases or....
Use that money to pay off remaining debt instead and let their strengthened balance sheet do all the talking.

In regard to dividends, way too early to discuss. Every great company MSFT, AAPL, GOOG, built a strong cash coffer before their respective industry began maturing. CV Sciences is going to need all the millions they can accumulate to weather the unforeseen upcoming storms. In addition to funding smokeless tobacco gum patent-pending.
If CVSI spreads their barely formed fruit to shareholders before proper ripeness, say in five years from now, we will all be short changed. If it ever came to a vote, i would say no to dividends until they have at least 100 million in cash reserves apart from their R &D funding.
No DEBT speaks volumes of CVSI trajectory. Paying off their long term liabilities early, is the best response toward reaffirming investor confidence. Any shareholder intelligent enough to recognize that every doubt has been removed stands to gain tremendeously.
Yes. People do believe diving back in to purchase additional shares (even after losing 60 percent at yesterday's price above 8 dollars) will be worth their money. Too many beneficial catalysts are on the horizon for CVSI.

If the stock price drops, definitely. If it doesn't, be happy with the profits you did take upon selling beforehand.
Option to Reverse Split will be voted on August 4. Then company will proceed depending on the outcome of that vote, which will likely be yes to RS.
CBD from MJ has more medicinal effectiveness than hemp... true. However the stigma of taking medicinal products with psychoactive properties will take years for consumers, especially the conservative groups which make up Senator McConnell's base, to absorb.
There is still a substantial and growing market of people who would rather have less medicinal applications toward their needs or ailments with the certainty that they will not get even 'a little high'. I don't agree or disagree with their chosen perspectives, I simply respect how this is their opinion and as such define themselves as conversative as a result. In fact, I am grateful they do feel this way.
I understand other groups would adjust to federal changes in the CSA quicker, either through education or personal beliefs that THC is irrelevant where healing is top priority.
The synthetic CBD within upcoming pharma products is key to the patent's strength. The perceived notion that organic CBD shall ultimately lose most market share to MJ once it becomes legal is unfounded. Thank goodness there are 'different strokes for different folks'.
CRON has 140 million in assets (32 million in cash) with only 9 million in liabilities. Even though their sales were under 3 million compared to CV Sciences 7.2 million for Q1, they somehow managed to increase their assets by over 30 million from the preceding quarter while curbing debt.
CVSI is growing faster and more exponentially but CRON has a much stronger financial base...for the moment. The market reflects this difference.
How is the company negatively affected if they lose QB status? Apart from the doom and gloom that has already transpired, how does becoming an official 'pink sheet' be any worse for the share price?
