Any info on the HNST/HNSO stock distribution scheduleded for 11/2006... (today is 5/2007).. or info on the exchange of SNDH restricted for SNDH free trading. I've seen SNDH is now down to .04 and is still sliding ( I remember paying taxes on .55 per share for the 1/10 free trading stock HNQT received).
I think the move from restricted to free-trading is not automated, the CEO of SNDH (D Cohn) must sign paperwork before it happens.....

If I read the rule correctly it says all short positions will be reported. Hence by then end of July we should have verifable evidence of the HQNT short position. Do you agree with that?

I have read all the PR's from HQNT and don't see the verified shorting. Without getting into details I think we both we agree that there are a few forward looking statements that have not panned out.
Again, from an investor point of view if you had shorted HQNT at $2.50, $2.00, $1.50, $1.00, $.60 - why would you not cover at .04?

I don't understand why you are posting this. Do you believe there are still shorts with positions in HQNT? I would think most of the short positions would have made such a profit they would have cashed in and re-invested in other similar investments (a couple Beamers, maybe shorting SNDH or HNST??) is that the reason you think the ruling will help the members of this board?
This is good news, although I thought the lawsuit was over with HQNT receiving some funds from Rao. According to the action today others thought this was very good news. We are now almost up to the share price of a month ago.
I decided not to increase my position yet, did anyone increase their long position?
I hope this recent positive activity is not an "attempt" by certain posters to provide a more positive selling price for the shorts.

I'm not objecting to the requesting of certs, just wondering what the benefit is. If that has been posted I must have missed that post, sorry about that. Can you point me to the post that explains how FREE TRADING shares of SNDH purchased by the shorts to cover a short HQNT position, will be used as payment of the dividend , (2 year RESTRICTED shares of SNDH).
If free trading shares will be distributed as a dividend once the restricted share pool is gone, it seems to me that the smart investor will wait as long as possible before requesting certs in the hope of getting free trading shares.
Please let me know where my logic is off.

Not a good day <yes, I'm hanging my head....> but here are my thoughts on SNDH (for what they are worth... I still own HQNT...)
1) Hard to tell much about SNDH as we don't know too many key factors (number of shares outstanding, revenue, expenses...)
2) If the shorts killed HQNT, then they made a lot of $$$, will they roll the winnings over to shorting SNDH? If the strategy worked on HQNT will it work on SNDH?
3) I have had very limited experience selling shares that were once restricted, but in my experience the shares you or your broker have today can't be sold in 100 years. After 2 years the legal counsel for the company 'can' ( I don't know if correct term is 'can' ,'may' or 'might' and would love to hear from someone who does) remove the legend, then you send your shares back to the company and they re-issue shares without the legend. This puts another demand on the company to provide all sorts of paperwork. If you look at the last PR it indicates that there are approx 6 million shares of SNDH out today. But another 20 million can be freed up in 2 years; this may have a large impact on supply and demand

Some could say 'I told you so', others could say 'man I was wrong', and maybe a couple would say something about potential, naked shorting.... although that would take some guts right now.

Mark the day the 03 financials were due, verus today.
I personally hope this price change was caused by the lack of financials , not short selling. I would be afraid any shorts would roll their winnings over to shorting SNDH - I think the restricted shares have 0 value, but who knows HQNT did hit $2.50+ , so anything is possible. Everyone's view is different, I might agree with res and profit on one thing... my shares might not be available at this price either, but that will be determined by an accountant, not an investor.

I used to agree, but when looking at the HQNT PR's and basher posts from the past year its hard to go with HQNT. By now any long has recieved a tax bill stating an income of $.55 per share for the first SNDH dividend.
I have already informed my accoutant and legal representative that if I have any tax liability on the next 'dividend' to deny the 'payment'
Outside of the shorts do you know anyone who has made money on an HQNT investment in the last year??????
Yes I am a long at 200K-500K shares.I did not sell last year for tax reasons.....

Of course I wish I had been short over the past 18 months, but I am not.
Here are my specifics - I expect you to post yours also since you called me out
1) I talk to DC on a monthly basis.
2) I am currently long between 200K-500K shares of HQNT.
3) I have been long 7 figures before but sold in the spring of 04 when financials were not released.
4) I received between 20-50K shares of SNDH as a result of the first dividend.
5) The Continental stock transfer agency (HQNT/SNDH tranfer agent) - informed me I will be liable for a 55 cents per share tax charge on the divendid on my 2005 taxes.
6) I sold all the shares of SNDH in 2005 given me via the dividend to help the tax cause,
If you’re going to call out another long please post you’re specific holdings also, so we can have an honest discussion!!!!!

I must disagree with your last statement part based on experience and part based on statistics.
Experience - I purcharsed numerous share in early 2003 and sold most in late 2003. I again sold early 2005 - before 10K due date. In late 2005 I decided to become 'brillent' and buy a ton of HQNT over a week - in hope that some sort of financils would come out in 2006..... Bad call on my part...
Statistics - Looking at the chart you provedid it is obviosus that the shorts have made money on HQNT - lets hope they don't roll the profits over to shorting SND

I assume your are long HQNT as I am - my question is at what date (month/year) will you assume that HQNT will never file financials and the only reason to buy/sell is tax related?
the reason I did not sell in 2005 is purely on the advice of my CPA. (.00 is better than anything < $.50 for me - tax wise). But 2006 is a new year and I not sure what to do?

We all know things can change that are not in control of the company. I agree with you that DC is looking out for the best interest of the company and I would rather be informed of the rumor versus the fact. But looking at old press releases concerning HQNT financials its hard to determine when they will be released.

Lets hope HQNT is not waiting for all 5 financials to be completed before releasing any of them, the 2003 financials have to be completed before the 2004 financials can be completed so they could be released prior to the 2004s. If your estimates are correct and each document takes 3 months and there are 5 documents then the expected time of release would be Novemeber 2006. While the shorts may love it, that would be not good for any long HQNT shareholder.

If the shares delivered for the dividend are the 2-year restricted shares mentioned in the PR then the answer to the question you asked "those coming shares will be restricted, correct... so we can’t sell them even if we wanted... am i right?"
is yes.
I'm not aware of the specific details of this dividend, but in most restricted share deals the stock owner receives stock certificates with a restricted legend stamped on the back. The legend basically says the shares cannot be sold until the legend is removed by company counsel.
Once the restriction time has passed then the securities attorney for the company can write an 'opinion' letter that allows the stock transfer agent to remove the legend from the certificates, and the stock to be sold.
In this case that time of restriction removal will be very interesting. As the PR indicates there are 6 million shares of SNDH available in the open market today, but 20 more million will become available when the restricted shares can be sold. I have no idea what that means for the share price of SNDH – but it will be interesting.
I’m not an expert on these things so my opinion expressed above could be way off, but a lot of large companies are now issuing restricted stock to employees instead of stock options – so if you google “ restricted stock opinion letter” there is a lot of information available on this subject.

Its my understanding that the dividend is to be paid in restricted shares (i.e. not sellable for 2 years). Are you saying that the hqnt shorts will be paying their dividends (owed via borrowing hqnt stock ) in free-trading stock (which can be sold day 1) ? To my knowledge that is the only type of stock that can be purchased on the open market, and comprise the increased volume you mention. If this is the case we should easily be able to tell how many shares are shorted by looking at how many hqnt share holders receive free-trading shares versus restricted shares. Personally I hope my shares are among the ones loaned out as I would prefer free-trading shares of sndh versus restricted shares of sndh.
Resectorman – I’m don’t know why there is a difference on distribution time. My guess would be that Brokers who receive certificates electronically via the DTCC would receive the certificates well before ones who receive paper certificates. In most cases all brokers receive certificates electronically, but one of the best methods to limit or at least track short-selling is by keeping as many certificates as possible in paper form. DC may have convinced or is somehow forcing some brokers to take paper certificates. Unfortunately this may cause a value loss for the affected shareholders. – This is just a guess, if you google continental stock transfer agency you can get their phone number and call them yourself if you don’t believe me.

I'm an HQNT long with a fairly hefty position, at the request of a DC request months ago I requested and received the actual HQNT certificates. The address of record with Continental is my home. I still have not received the SNDH dividend shares. On Monday (4/25) Continental informed me they were mailed on Fri (4/22) or Sat (4/23). Yesterday they informed me they were not mailed until Tues (4/26). By the price drop it looks like I made a bad decision taking the certificates- live and learn.
