DITTO ...
i'm out
IN FACT you (we) don't know whether or not they will ever be trading shares ...
http://www.octillioncorp.com/OCTL_20070808.html
Although there is currently no trading market for the common stock of MicroChannel, and such a market may not develop or be sustained, MicroChannel intends to have its common stock quoted on the OTC Bulletin Board or the Pink sheets upon the effectiveness of its registration statement. In order to do this, a registered broker/dealer must file a Form 15c-211 to allow the broker/dealer to make a market in MicroChannel’s common stock. At the date hereof, MicroChannel has not discussed such a filing with any such broker/dealer and is not aware that any broker/dealer has any such intention. Therefore we cannot provide our shareholders with any assurance that MicroChannel’s common stock will be quoted for trading on the OTC Bulletin Board or a listing service or stock exchange, or if so quoted or listed, that a public trading market will develop.
it sounds to me as if the new shares will basically be worthless ...
now if someone could (would?) give some idea of what the OCTL shares "should" be trading at after the spin-off, i for one will rest easier ... won't the pps have to be adjusted for taking away a potential source of income?
any takers???

hello all ... i'm new to this board (and stock) and i've got a question (or two) am hoping someone can answer ...
- what happens to the pps after the "spin out" of the two companies? i'm VERY new to this world and have never heard of a spin out before ...
- will the pps change to reflect the new setup as in a split or is it more like a divy?
- what do they say the new company will open at?
- how and when will this new company operate and on what board? can a company just materialize one day, out of the blue?
i am SO in the dark about all this and certainly sound like the newbie i am by asking these questions but a friend told me about OCTL when it was at 3.33 (2 days ago??!!) and i'm thinking about getting in but contemplating waiting until after the spin out in the hopes the pps will be considerably lower ...
- one last question ... i read a post that alluded to there not being a prototype of the "window" as yet ... is this true?
THANKYOU in advance

BRAVO Capt ... lucid and aboslutely on the money!
not only do we "lose something of value when someone gets banned" but it goes against one of our most fundamental rights as citizens of the US ... in the wrong hands, censorship can be a dangerous toy
OT - Capt ... why did they delete your last post??? nothing negative only OT stuff ... these guys are getting way too weird for me (now they'll probably delete mine as well ... cool!) anyhoo, i've been following ANTP since last time you mentioned it ... swings like a pendulum ... unfortunately i don't have the luxury of sitting at this thing all day waiting to pounce or split so anything that fluctuates too fast isn't gonna work for me ... but thanks just the same
good luck to all
2f2
OT ... thanks Capt ... i've had a look and am definitely interested ... as you've been following it for awhile, would i be pushing my luck to ask your opinion as to the pps i should aim to get in at??? (i like alternative energy stuff, fuel cell etal, so this is cool!)
thanksagain
2f2
don't worry the latest dump wasn't jb ... it's all looking a little too frighteningly familiar ... meant to do this as soon as the divy came through but it's hard to murder your babies ... if anyone's got any good leads I'M DESPERATE 2 RECOUP!!!
will be keeping an eye-on just in case they pull this thing off ... then, in the words of Governor Schwarzenegger ... "i'll be baaak!"
be well all

Ameritrade users ...
just received a response RE divi ...
Ms. C,
I show that the ex-dividend date for the stock dividend for PTEL is 7/23/07. Payment for this stock dividend will be issued after the ex-dividend date.
Sincerely,
Laurie W.

if all goes well we should be seeing our shares tonight?? tomorrow???
anyway ... you'd probably make out better waiting for the dust to settle ... 'member what happened after the first split!? (NOT saying it had anything to do with mdfy per se ... imagine it happens all the time)
lem - i don't think sg is right about that ...
the "seller" (us schmucks) would owe the "buyer" (the MM) the iou for the divy ...
isn't that what the "record date" is all about ... you MUST own the shares on that day ...
at least that's how i understood rob c's post ...
btw - THANKS rob
tjak ... i appreciate your response but unless i'm missing something, it actually doesn't clarify a thing ...
2 shares for every 1 does not necessarily add up to 3 ...
not wanting to sound paranoid here BUT why have they not answered my emails if it's as simple as you imply ...
clarification please!!!
thanks
2f2
CaptB ... my question is way more paranoid than yours ...
i've written PTEL investor relations twice and as yet have had no response ... maybe because it's so off the wall ... you tell me;
(1st email sent 21st june)
PTEL Investor Relations,
I have what will probably seem like a naive question but it's something that has bothered me since the dividend announcement and now with the news about a possible Medify spinoff it concerns me again.
On the A2A dividend you used the term "1 for 1 share exchange" and for the Medify spinoff it was "one share ... for every share ..."
(taken from press releases)
Re A2A;
"On completion, the previously detailed 1-for-1 share exchange will be actioned..."
Re Medify;
"Under the proposed terms of the new floatation, all Petel Incorporated shareholders will receive one share in the new Medify Solutions entity for every Petel Incorporated share held at the date of record ..."
My question is this, are the shares in A2A and Medify to be given in addition to our PTEL shares or exchanged for ... in other words, do we get to keep our shares in PTEL?
Thank you very much for your clarification on this matter.
Most sincerely,
LC
(LONGtime MDFY shareholder)
now i may have missed ptel saying we would ultimately have a2a shares IN ADDITION to ptel but the only time i recall hearing it, it came from JB ...
it could be the "composition" of their press releases is SOP but they have given erroneous info in the past and i'd like to make certain i'm not taking for granted they mean what we hope they mean ...
i'd like someone to tell me my concerns are unfounded based on more than just faith
THANKYOU
2f2
dittodittoditto
but gonna add my 1p (2 cents) ...
how 'bout we go back to using "OT" to preface off topic posts ...
then maybe we can use "MS" to preface mud slinging posts ...
whatchathink ... the possibilities are endless!!!
tjak ... the link you sent was the address i used that didNOT get a response - ta
sorry to question you CB but is this address for real ... @medifysolutions!!!
there's no petel email address yet?
thanks in advance (again)
2f2
help ...
i sent an email via the Petel website (over a week ago) asking for dividend and share clarification but haven't heard back ... can one of you please give me the name & address you used that you got a response from ...
thanks in advance

could the .30 buy be spartan finally doing it's thing?
hey dog, would you mind posting the question that inspired answer No.4 ... thanx
i for one would like to see the deleted message that so inspired this latest barrage ... i imagine the dog decided to call you on your being among the biggest whiners of them all ... am i close?
i gotta tell you this constant gloating is extremely unattractive ... did it ever occur to you that some of us had no funds left to average down any further when we hit .025 so have in fact not yet come close to recouping our investment?
if you could give us just the teeniest little break here and think about how you would feel had you not been able to average down so drastically you might have to admit you'd be bellyaching with the best of 'em (although i don't consider what's being said as whining, people are posing questions, plain and simple ... all part of doin' da dd dance) ...
besides, your endless preaching and personal digs just make more out of the whining than the whining does on it's own so unless your intention is to spotlight the whiners, maybe you should consider cooling it a bit ...
now take your best shot cuz i'm pooped, off to work and so won't be responding
2f2
chapstar ... your post got my suspicious nature in yet another uproar ...
this afternoon made the time to phone TDAmeritrade in the US to confirm or deny what you were told ... i spoke with the Reorganization Dept who initially told me there was going to be a spinoff and we would be receiving 1 for 1 shares of Medify!!!
almost fainted, told him that was OLD news and he checked again (just occurred to me that may be what your rep was talking about as that's what comes up when they first look into PTEL) ... this time spoke with THE woman in charge of restructuring and reorganization and what she said was there's absolutely "NOTHING OFFICIAL YET" ... according to him they will need to file a whole lot of paperwork and complete a restructure (like PTEL mentioned was happening) before whatever is going to happen, can happen.
don't know if this helps you but it did me ... a little anyway
2f2
GL4M ... your analogy was cruel, undeserved and downright mean and it saddens me how this board used to have decent people on it who would call you up for posting shit like that!!!
first off, i NEVER got out ... managed to bring my pps down but like many was far too invested to sellout
second, i live in the uk and work during the hours the nyse is open so can't possibly sit all friggin day long like you and buy and sell ... not my game anyway
third, it was ALWAYS about staying long for me ... sorry if that doesn't gel with your game plan but hey, that's just me
last (but certainly not least), you're a rude sonofabitch who slagged me off for no reason that i can see except that maybe i hit a nerve
IF i had the time or inclination to go back through your posts, i wonder what the chances are i'd find a whine or two ... whatchathink ... care to put your money where your big, foul mouth is ... how about all your profits on this winning stock against a boohoo or two ...
sorry, i gotta get to work now so can't play anymore today ...
have a nice day ...
captBob ... they say we never get over our first love ...
well, i feel the same way about the best screw i ever had and i have a hard time believing anyone who shared that experience (with ptel aka mdfy aka mfys) doesn't also share our concern over the similarities of recent events in the pit of their stomachs ... even if it's just a teenyweeny little prick, they have to be just a teenyweeny bit worried ...
if not, they must know something we don't ...
2f2
one last question ... how soon after filing the 144 can the shares be sold?
THANKU
2f2
guess i meant TPP
AND will we keep our shares of PTEL or will those be transferred ???
this could be REALLY naive but we only have PTEL shares because of the shell game so if Medify gets sold or traded or whatever will we retain our shares of PTEL as well as the new shares in TTP ...
by the way, what is TTP?
thanks!
2f2
ditto ... yesterdays posts were utterly confusing ... tits'n dicks to ducks 'n sharks (and i don't mean the team!!!) there's no way of knowing what anyone is responding to without reverting back to the original post and reading through them once takes long enough
PLEASE , right now with all that's going on, can we stick to stock issues ... this sale that JB has filed for makes me VERY nervous ... he's been way too slippery in the past for me to "forget" ... it's probably unfair of me but i've always counted on the superb dd done by the posters on this forum and as i'm halfway back to recouping, IF there's something amiss i'd hate to miss it through the mess ...
that said ... purple, i agree, the two responses seem to conflict so plan to write again for clarification (unfortunately am going out of town tomorrow to tues and won't have access to computer so unless they respond today ...)
capt bob ... i, like badge, have always had to wait what turns out to be 5 working days from the day i initiate an electronic transfer but that only applies to non-marginable stocks, for all others the cash is there to be used immediately ... i think i read that if one wires the funds they are available immediately for all stocks
thanks all

RE: TD Ameritrade ...
i also got the "special team" email ... here are their responses to my questions;
#1
Ms. Chapman,
Thank you for e-mailing TD AMERITRADE. You can read more on the PTEL reorganization/acquisition at the Web site from the latest news under a quote screen. From information provided in the most recent article, it appears that more details will be released the week of June 11th.
You are able to buy/sell your position through TD AMERITRADE. We are not able to transfer accounts between the UK and USA.
If you have further questions, please do not hesitate to e-mail.
Best regards,
Melanie S.

Ms. Chapman,
TD AMERITRADE clients have access to foreign securities via exchanges in the United States and Canada. We currently do not trade on any other foreign exchanges.
Some foreign securities trade in the United States as American Depository Receipts (ADRs). A security, created by a U.S. bank, that evidences ownership to a specified number of shares of a foreign security held in a depositary in the issuing company's country of domicile. The certificate, transfer, and settlement practices for ADRs are identical to those for U.S. securities. U.S. investors often prefer ADRs to direct purchase of foreign shares because of the ready availability of price information, lower transaction costs, and timely dividend distribution.
Foreign securities that trade as ordinary shares in the Over-The-Counter Bulletin Board (OTCBB) or Pink Sheet markets are subject to foreign security fees of up to $100.00 on both the buy and sell side. This fee includes transfers in and out. This is a third-party fee that Ameritrade may incur in order to trade or transfer some foreign securities and is passed on to the client by Ameritrade.
Please note: International investments involve special risks, including currency fluctuations and political and economic instability.
Sincerely,
Laurie W.

western ... i may be slow on the uptake but my hearing is (or was) fine
thanks for the quick response
2f2
western ... how did you come up with the $.052 "at market" price ...
(sincere question)
thanks
2f2
looks like some other gamblers had the same idea ...
lloyd ... you've received a lot of sound advice from your friends on this board ...
purple's telling you this is NOT a marginable stock is on the money (i watched .02 come & go waiting for my electronic wire transfer to clear because of it) and you can be fairly sure whoever answers the phone will not be the one who can do anything to reverse your position so absolutely insist on speaking with the man/woman in charge ...
the soundest advice i can add is to be as nice as is humanly possible ... don't know a lot about the stock market but i do know the nicer you are in situations like this, the further you will get ... these guys deal with pissed off people all day long so will be more likely to "want" to help if you're not one of them ...
of course the stock could take a momentary nose dive allowing you to get back in at .05 thus putting you ahead of all of us (stranger things have happened!)
i wish you all the best
2f2
i strongly second that ... this is not the place to discuss religion, politics, sex, drugs or rock'n roll ...
well, maybe rock'n roll ...
and i guess as sex is now what this stock is about we gotta keep that one in as well ...
but please, BEFORE this turns into a shooting match, try to remember why we're here ...
thanks2all4 the continued attempt @ solid, responsible dd (something i apologize for not having taken part in lately but i honestly don't know where to begin ... anyway, as most of you appear to know so much more than i ever will have decided to remain on the sidelines and just absorb the knowledge ... medify did me in but not out ... albeit am nowhere near .02-.05!!! lucky you!)
2f2
unfortunately at this point .20 looks more likely ...
anyone know whassup?
lloyd ... you're spot on with this one ...
i especially liked " Never dreamed we would go this particular route, but what the hell." succinct, eloquent ... perfect!
thanks
2f2
no doubt you've considered "BVer"dog ...
couldn't resist!
better luck to us all ...
2f2
clancy i feel like the caterpillar who's been smoking on that blasted pipe too long ... been too depressed of late to follow mdfy but just had a look and me jaw is on the floor!!! now if someone could PLEASE tell me how we went from working with the NHS to this psychedelic nightmare i'd be really grateful!!!!!!!!!!!
(don't have time to read the hundred or so posts 'tween yours and now ... sorry)
like the old man in Moonstruck said (while crying) "I'm SO CONFUSED!!!

THANKS maybank!
one last question then i'm off to bed ...
why bother putting an end date on it in the first place?
(i lied ... 2 questions)
if one knew that in advance then they'd also know they had until that date to purchase stocks eligible for the divvy ... right?
thanks for all the help
2f2
thanks solid but split or divvy, isn't the end date the end date?
you're kidding, right?
i'm SOooooooo confused ...
wasn't the closing date of the 4/5 dividend (aka stock split) supposed to be 30th Nov?
i just noticed they gave me the split on shares purchased 12.12.06 as well ... anyone else have this problem(?) or was this supposed to happen?
didn't think i could be surprised by anything else RE mdfy ...
anyone who bought after the 30th but before the 15th should check the math of their "dividend" ...
every little bit helps ... right?
now watch ... someone's going to read this, realize they f---ed up and take my extra 3129 shares back ... me and my big mouth!
