For those invested in AMBS, I'm pretty sure Grant Magers, the owner of Hempori who lives in the Dallas area, is in one of the facility photos Gerald posted about the Todos facility.
The most important update is the exhibit for the terms of the Lock Up and Leak Out agreement. In the exhibit it describes the loans consolidated, clarifies the terms of the agreement, and provides the total owed in 90 days that can convert if not paid. The key is that these conversions, should they occur, are NOT at a discount. But in sum, approximately $3M is owed. Unfortunately, just as I thought, Leviston, the previous holder of the discount convertible before it was extinguished with this deal, is the entity who consolidated the loans.
"continued toxic spiral death serial dilution..."
Except that's not what is happening here anymore. I've been more in G's face about this online than ANY of you. I asked all but one of the questions on the conference call. You cannot point to a single active note with death spiral financing. You just can't. Because it doesn't exist as of Aug 31. The last week or so is CLEARLY a confluence monkeypox hype fading and of the solution we pivoted to avoid a long term threat of death spiral financing. We gave a dangerous amount of shares to a single self intrested party that wants to roller coaster this thing until they can't anymore. But that's losing a battle and winning the war.
"nothing has really changed in 10 years..." The company makes more than it spends now, or is about even. Paired with all the innovation, that's hard to beat. I was super skeptical of Todos. Didn't buy any until around this time last year. Hadn't bought any since. Until now. Loading up. Looking fine, and $AMBS in tow.
I too agree part of the reason the shareprice is down is the loss of these fickle monkey pox traders
No it won't get that bad. They're likely done selling for now and will have to reaccumulate delicately. But it does mean that can periodically overwhelm the buying pressure as we make progress and all those catalysts come about.
G said an amendment to the 8-k would be filed to clarify.
I am not worried about this investment in the long run. But I am sick of G stepping into these traps and not doing the simple things right. This was predictable. The fact they didn't think it was material to disclose makes me think they didn't think understand the implications or intentions of the party that set those terms and he continues to refuse to name the institution.
Bottom line we went from one jam (the threat of discount convertible) to another.
Jesus Christ, so that is what happened. The terms are 15% of volume spread out over the whole friggin month! So they've been blasting this down since Aug 31. 99 million shares. Avg Daily volume around 15 million. x30 days thats 450 million shares a month in total volume which enables them to safely offload 50-60 million shares! It's been 9 straight days of red essentially. That's 5 million a day, more than enough to crush the price. So they'll blow the house down, reload, blow it down again, rinse and repeat for 3 months, then convert.
2015? Good lord, so long ago yawn
I think they just sold a block of restricted common shares to Leviston to pay off and dissolve the rest of their discount convertible note. I will feel very bullish if that's the case as there would no longer be any structural threat to my share value that would not be tied to performance.
I voted against all motions other than retaining the team. There's not harm in letting your voice be heard. We probably can't affect the outcome, but even if we did, Moneta won't walk away because of this. Give G a foundation to tell them off.
also close contact testing as later described... that will obviously be bulk
Double edge sword - need the Ritonovir immune system narrative to play out and we can't lose. But if the gov loses faith in antiviral in general, that would hurt. I hope he takes this as a sign not to give up on the US game.
Those of us who have taken Tollovid know with certainty that it helps and that's all one needs to know.
Right now that's the only thing keeping this security alive. A lesser man would have let this go long ago. Right JP?
Shorts covering, 10Q, MPox validation. Get your buys in before next week.
Where did he tweet this?
Anyone else not like that our underwriter doesn't believe we can achieve organic price appreciation? We met them through Dr. Chung. There have to be other options.
Vote No on the R/S and A/S. Seems pretty clear they are not in our interest as shareholders. Seems clear CEO wouldn't ask for them if he didn't feel forced to. He's forced to ask, not to pass. Send a signal to Westpark. Even if we fail, let them know the many are against it.
Do not interpret this as hate or disdain for the company. I am here. I am a believer. The company is stronger than ever and it's time to start acting like it.
I like the idea of owning 100% of 52% of a gold mine instead of 10% of 100% of a gold mine Red.
The R/S option is nothing new. Non-event for right now.
The A/S increase tied with ration change on preferred conversion is almost certainly the requirement Yozma gave Gerald for continued support as he left Korea. I will also vote no, but it doesn't really matter.
You're just never right, even when you're trying to offer a somewhat positive and balanced post. And that's because while you've been complaining for the better part of a decade, you haven't truly been paying attention.
The video of the "catatonic" patient was under GDNF, not MANF or CDNF, and the benefits of combining CDNF and MANF have only been demonstrated in a small percent of the studies in which both were investigated. So it's far from true to say "across the neurotrophic spectrum." Still, I too wonder why we cannot combine our efforts with Herantis Pharma, especially if they figure xCDNF out.
And no, we don't need a sugar daddy at this time. We just need to clear the cap table and get some trials moving again at reasonable valuations.
Concur, F*$k Sason.
Any predictions for the 10Q? Of course subsequent events is about the only interesting section these days...
There is good and bad to Todos recent success. Gerald smells opportunity now, and he will not want to close this debt deal knowing the 50M shares we'd have to give up may end up worth more if he shoots the moon. Only time will tell if that sense of greed pays off.
uhhhh predicated on it being a half billion dollar company because it clears it's debt and has the lead IP on a $50Billion asset
multiples lol go back to juco
What does that mean cross?
There's your answer on how much Toxic debt remains with Leviston:
"As of the date of this prospectus, $389,250 remains outstanding on the Leviston Notes (the remainder having previously been converted into ordinary shares)."
And R/S may be up to 1:1,000 now to be voted on in August.
"To date, T-Cell has not fulfilled its obligation to pay for the Note, and therefore the Company has not yet issued the Note."
Testing123 now owns 10% of Provista.

who's confused?
They are working on closing the debt deal that was PR'd in the spring. That's the only AMBS news there is. Should hear more in a few weeks on the 10Q. Folks asking questions to the EC seems fair game.
@TigerL64 is a troll acount.
well he's in Korea right now - probably setting up the follow-on funding deal with Yozma once the slate clears.

Organic campaign afoot. Big rebirth centered around MANF. Get stable, cash up with Elto, get MANF moving. Blew through the 50dma, pierced the 200dma, bounced off the 50wma.
No I don't think this quarter is make or break at all. What's more make or break around then is whether we get 3CL funded. The deal may break down and we lose the rights if we don't fulfill certain requirements. Read the fine print.
You two lol I've given the board the keys to the MANF search kingdom. And I've posted every single one of those with a synopsis on other boards. A summary of indications to pair with MANF search is in the intro to the board above. I didn't make that up, there is positive preclinical research for every single one, most in the last 5 years, many-many in the last 2 years. Take your BS elsewhere.

G says will share a data summary of first 35 IRB-waived study participants for Tollovid
roughly Aug 15. I'm hoping for $4M rev.
Hope we get a boost off Todos Market Rebellion interview. Definitely hope the combination of debt deal closing in a few weeks and a solid Q2 for Todos getting published later this summer will move us closer to a nickel.
GC was interviewed by Najarian for I'm assuming his podcast Market Rebellion. Either 3/3 or special edge highlight later today
