To the Shareholders of New Visual
This Spring I wrote an "insider's perspective" of the SuperComm trade show that was very well received. Many shareholders wrote or called to say that it helped them understand the potential of the powerful and ground-breaking technology that we bringing to market. This week I attended the United States Telecom Association's (USTA), trade show, and thought that I would offer to you a similar perspective. Just as before, I believe that New Visual's future looks bright.
I have talked to you in the past about the many uses for the Embarqâ ¢ technology - services like VDSL, Ethernet, and DS3 replacement. Today I would like to focus on another exciting use that is now evolving for a variety of consumer and commercial grade services. That use is video delivery over standard telephone wire and was the main topic of the USTA show. It's really remarkable to me that video, a subject that the US telcos were not even talking about two years ago, was the theme of the USTA show this year!
Why would the US telephone companies be interested in offering video across their phone lines? I think that they are finally starting to respond to a competitive threat from the cable companies. Specifically, the average household spends around $180 per month on services like cable TV, local phone calls, and long-distance phone calls. Today, the cable companies and the telcos split this money evenly between them, as shown in the figure below.
With more than 100 million US households subscribing to these services each year, that $180 per month adds up to an $18 billion prize for service providers that can offer what is known as the "triple play", a highly sought after level of service that can deliver standard voice services, internet connectivity, and now, Video. In a nutshell, what is at stake here is a chance for each of the companies (cable operators like Adelphia vs. phone operators like SBC) to grab the other guy's $90 per month share. As you can imagine, a lot of smart people on both sides of the divide are trying to get there faster than the other guy.
What we're doing here at New Visual is helping the telcos get there first by empowering their existing network to deliver the triple play. And I believe that we're making a pretty good bet in doing so. The telcos right now are losing the race to the cable companies, but my feeling is that they will wake up - and catch up - in plenty of time. These are the early days of the conflict, and the telcos are strong competitors with the largest built-in network of infrastructure and existing customers in the world..
One of the reasons that the telcos have been slow to respond to the threat from the cable companies in the US is a technical one. Without getting too deep into the "bits and bytes", you should know that at this moment the only option that they telcos have is to lay fiber. Laying fiber is very expensive and time consuming, far more so than the upgrades that their competitors, the cable companies, face in upgrading their networks. Well, we mean to fix that problem. Embarqâ ¢ will let them upgrade without laying fiber optics.
So, that's why Embarqâ ¢ will be a powerful and ground-breaking technology. Of course, all of this analysis would be meaningless if it wasn't validated by real-world telcos and honest-to-goodness customers. I met with the heads of several smaller telcos this week (the four biggest ones do not usually come to the USTA trade show in large numbers) and asked them what they would do if they had Embarqâ ¢. All of them were enthusiastic.
"You know, Brad," stated the head of network design for a telco "we're excited about what you've got a hold of. This could be very big."
After closely examining the business case for telcos to get into video services this week, I am more excited than ever that what we have is a powerful and ground-breaking technology that will arm the telcos in their battle for bundled service revenue. And it's truly gratifying to confirm that the rest of the US telephone industry agrees!

SAN DIEGO, (BUSINESS WIRE) -- NV Entertainment, a wholly owned
subsidiary of New Visual Corporation (OTCBB: NVEI), and Top Secret Productions,
LLC jointly announce today that "Step Into Liquid" has been released by Artisan
Entertainment to non-theatrical markets, including the airline and pay-per-view
hotel markets in the US. Artisan is also gearing up for the domestic home
video/DVD release, which is slated for March 16th, 2004. The special-feature
rich, all DVD release is currently in production at Artisan's award-winning home
entertainment division in Santa Monica.
Films in the US that are released by major distributors such as Artisan follow a
sequential distribution strategy, which defines the dates that a title will
enter various distribution "windows." Films typically run theatrically for three
months and then move into airline and pay-per-view hotel windows, which are part
of a film's non-theatrical release. "Step Into Liquid" was released four months
ago and is now tapering down in the first-run theaters. To date the film has
grossed $3,681,803 in theaters as of November 17th 2003. The airline and
pay-per-view hotel window typically runs two months, and then the home video and
DVD window opens. Artisan has selected March 16th, 2004 as the release date for
the film.
Making its European debut, Liquid has also picked up its first foreign film
festival crown, winning the Docu-sport Group Award at the Third Edition of the
Festival of Seville, Cinema and Sport, in Seville, Spain. The festival awarded a
small cash prize to Top Secret Productions. The badge garnered in Seville marks
the second award for Liquid in the documentary category, which will help with
the film's foreign sales.

Spanish market will be just as enthusiastic as that of the United States."

I am pleased to tell you that today New Visual's registration statement has been declared effective by the Securities and Exchange Commission this week. I am very happy to have fulfilled this obligation to our new investors and want you to know that we are working hard to reward their confidence in us.
Now that this registration and the so called "quiet period" are behind us, we can resume regular updates of our business developments and plans, subject, of course, to applicable rules governing disclosure and other related matters. I got the "Wink & The Nod" today from Bradley Baby!
Mr. Ketch: On December 30th (2002), we announced the release of our prototype to two target customers who are in the Telecom equipment manufacturing industry. This was a huge milestone for us; the team has worked for a couple of years now to get to this point. In 2003, we intend to move past the prototype stage and actually release a final high-volume, low-cost product. In addition, we expect to begin shipping it to equipment manufacturers worldwide, for installation into their equipment and shipment to Telcos worldwide so that they, in turn, can begin putting them in the network and turning on enhanced service.
Wait! What year is this?!
Six years later, and they still haven't begun shipping.....
It would appear that you and Bradley Baby have some explaining to do.

In addition, SOP-00-2 also requires that if an event or change in circumstances
indicates that an entity should assess whether the fair value of a film is less
than its unamortized film costs, then an entity should determine the fair value
of the film and write-off to the statement of operations the amount by which the
unamortized capital costs exceeds the film's fair value. During July 2005, the
Company performed its review, and it was determined that the unamortized film
costs exceeded the Film's fair value. The conclusion was based upon information
the Company received from the film's distributor relating to lower than expected
sales. As a result of this review, the Company wrote-down the remaining carrying
value attributed to its Film In Distribution to $0. This resulted in an
impairment of $1,009,777 which is included in the condensed consolidated
statement of operations for the three months ended July 31, 2005.

Fellow Rim Semiconductor Company Shareholder,
I am excited to tell you that we have two target customers who have agreed to test and evaluate our product when it becomes available this December. Both of them are in the Fiber-to-the-Home and the Fiber-to-the-Pedestal market segment.
So how do equipment manufacturers and telcos make the decision to buy our products? While performance and price are by far the most important pieces of the decision-making process, they are not the only ones. In the telecommunications industry, these buyers also are heavily influenced by the scientists who work for the research universities. Stanford University and Cambridge University are probably the two most influential schools in the area of research on digital subscriber line (DSL) technology. Our introductory product, the Embarq family of transport processors, is a part of these DSL technologies. Gaining the trust and interest of leading professors at these two schools are critical steps in gaining wide industry acceptance for our products because the telephone companies and equipment vendors who will deploy our chips rely on them for advice and counsel. Through Dr. David Greaves, a member of our technical advisory board, we have a longstanding relationship with Cambridge.
Last week I attended the Telecosm05 conference and spoke at length to a leading professor from Stanford University. I told him in detail some of the innovative design elements that allow Embarq to achieve such superior results versus other DSL technologies that are on the market today. High-Speed Chip Enables Telco Video Services
Rim Semiconductor Company (OTCBB:RSMI), an emerging provider of semiconductors to the broadband telecommunications industry, today announces that its first product is now available. This new semiconductor is the only transport processor on the market that is designed specifically to meet the demanding requirements of telephone companies wanting to deliver video, data and voice services over copper wires.
Rim Semiconductor's product, the Embarq30(TM), is a digital signal processor that enables a bundle of HDTV, high-speed Internet and voice services to reach 50% farther into the copper access network than competing VDSL2 products do. The Embarq30(TM) also makes the quality of the received HDTV signal higher because it reduces latency by 80% and jitter by 30% versus VDSL2. As a result, the HDTV signal would appear smoother and error-free. The product supports all of the current services such as VOIP and multi-megabit Internet access.
Embarq30(TM) Release 1.3 is available in the form of a field-programmable gate array semiconductor. Lead time is two to four weeks after receipt of order. In addition, Rim Semiconductor is making available an evaluation product packaged as a test kit for use by customers.

Rim Semiconductor Makes Bid to Federal Government

Information Security Marketplace Set to Grow
PORTLAND, Ore.--(BUSINESS WIRE)--Feb. 21, 2006--Rim Semiconductor Company (OTCBB:RSMI - News), an emerging provider of semiconductors to the broadband telecommunications industry, is actively pursuing the broadband security market with emphasis on secure high-speed modem-to-modem communications. As a part of those efforts, in November 2005 the Company began initial discussions with the U.S. federal government about how the Department of Defense (DoD) and the Department of Homeland Security (DHS) can use the Embarq(TM) family of transport processors to increase the security of their wireline communications. As a result, in December 2005 the Company was invited by the General Services Administration (GSA) to respond to a solicitation for information technology equipment in which it proposed the government's deployment of Rim Semiconductor's transport processors. The Company tendered a formal offer to sell chipsets to government agencies and submitted an extensive package of materials. In January and February 2006, the Company made a presentation and conducted follow-up meetings with the GSA. The Company plans to continue to work with the GSA until a contract award is made.

President Bush's proposed budget for fiscal year 2007, which begins Oct. 1, 2006, allocates $550 billion for the DoD and $43 billion for the DHS. While there is no assurance that the Company's efforts will result in a particular dollar amount of purchases by the government, if any, the Company is encouraged by the fact that both departments have large programs currently underway to upgrade their wireline communications on military bases and in governmental data centers.
Rim Semi's pursuit of the data security market is not just limited to the GSA procurement process. A representative from the Company attended the RSA Conference in San Jose, CA, last week. Study sessions at the conference included information assurance, government information security, data privacy, and information theft. Government speakers from the National Cyber Security Division, DHS, Department of Justice, Department of Commerce and the National Security Administration all presented their needs to the vendor community.
