$RXMD Right. And if you want an ACTUAL and appropriate example of an OTC-to-NASD via RS stock, look at AVXL. RS in 2015 after prior year in preparation. There was no big story for the uplist, just a good company. I went through that one and made very good profits, and STILL making great gains - because it's on Nasdaq. Look what happened to the pps the year prior, then the runup to NASD listing, and now over the past 6 years. This is how you create generational wealth, from <$1 (prior to split, post split adjusted price) to $18+ and growing. By investing. And being patient. And ignoring the noise. By knowing what you own and not capitulating.
BY THE WAY, AVXL should be a pretty easy example to spot, for those being honest - it's been consistently on and near the top of the most read boards on iHub for the past 7+ years!
OH YES, and BY THE WAY... look at the chart prior to the RS (2014 and earlier, prior to the 2015 reverse split and Nasdaq uplist) - does it look familiar??? Yes. It does, doesn't it.

Right. There's a decent amount of risk for stock in lieu of cash payment accepted by board members. Board members of public companies take a substantial risk, and they need to be compensated accordingly.
The company has substantial cash flow and could easily pay in cash and let retail shareholders swallow whatever potential debt liability or potential diminished growth performance due to the loss of that capital employed. But directors have no problem taking shares at market price - over .05 at the time - in lieu of cash payment. Those shares were worth their $50K director compensation at the time, now worth less than $30K.
Those directors accept the shares in lieu of cash because they know where the stock price is going long-term. Much higher.
Capitulation. It happens. That's what I look for. And it rarely fails, I make money.
All of my shares are with you on that, Bear. Mgmt needs the latitude to do what they know is best. I've been here with RXMD for several years, and I side with corp mgmt on this. We're going to uplist very soon. RS + AS reduction are a must. Glta
Nah, the only ones an RS-for-uplist hurts is the daily/weekly flippers. Armen & Co. have created a great company and they've worked hard at it for many years. I've been sowing and reaping RXMD for then past 6 years and have no complaints. Anyone with complaints should simply learn from experience and they will benefit greatly over the coming years.

I invested in ALPP in the 1.5 cent range, bought in much stronger in the 4 cent range, added heavily in the 8 cent range, sold a bunch in the 5 to 8 DOLLAR range, bought more in the 2 to 3 DOLLAR range, and just TODAY got news of NASDAQ approval to trade starting next week!
It CAN happen. It DOES happen. Just know what you own. SIRC penny to NASDAQ!

I misunderstood your post to mean that RXMD should be valued based solely on earnings. My reply was to point out that RXMD is a growth company with substantial if not outstanding high-growth attributes and opportunities that should be considered for a valuation much higher than any early stage earnings would indicate.
Means very little with early stage growth companies. MANY, MANY stocks that are now ultra-high valued were once early stage growth companies and had "undefined" PE ratios and are now trading at large PE ratios with large profits... including AMZN, TSLA just for some well-known examples.
Note that RXMD is an early stage technology growth company, and NOT a simple conventional pharmacy. Read today's S-1:

You got it!
You may want to rethink exactly what price you may want to sell. Warrants are worth exactly ZERO at the exercise price. Those holding warrants want/need the price to be substantially higher than the exercise price for the warrants to be worth anything of significance.
So if the exercise price is .15 and the common stock market price is marching higher with continuing catalysts for growth, etc., there's NO REASON for those holding the warrants to exercise (to buy the shares, and then have shares to sell) until/unless the price hits a plateau - a plateau that is substantially higher than the exercise price.
Your price of .20 for selling being related to outstanding warrants for .24 would then be kind of silly, since the warrant holder would NEVER want to exercise at .24 cents - since they're worth exactly $0 at that price. The warrant holder wouldn't want to exercise until the price is AT LEAST .5, but more likely holding out for multiple dollars.
Aside from all of this, INSIDERS don't look to sell their stock or exercise their warrants to hold commons - or even convert preferreds to hold commons - for selling in the open market. Sure, if the business is failing and they want out, they may do whatever they have to... but they would get only fire sale value because retail would begin jumping out ahead of them so fast that they'd never see value. INSIDERS - ESPECIALLY for startup/growth companies like IPSI - look to BEGIN getting something out of their stock/warrants in their IPO, and then they look for a cash out exit plan for which they will sell all or a substantial amount of their holdings in a buyout.

$IPSI Very possible that we WILL have that organic growth and get to dollars without a split. I know that's what many investors/traders have been eyeing, and many still are without a doubt.
Many sold quickly on reflex the other day, but look at the many that bought those shares as well as... who bought it all the way back up to the pre-dip price? Look, there's less than 200 following on this board, and less than 5000 posts. That reflects a relatively small base compared to most OTC stocks that have had any kind of run. We had a real nice run early on, and there's a lot of excitement and for good reasons with IPSI and IPSIPay. I know there is a presence for IPSI on other "trader media," but as I stated it is all relatively low. Fintech but ESPECIALLY "payments" platform tech businesses are a hot, hot item/sector for bankers on wall street. When asked of an often-quoted fund manager last week, "So what would you be buying in this market, whether it keeps moving forward or pulls back in the foreseeable future?" he replied: "Payments platform/technology, absolutely!"
I think management is doing this in a respectable way. They need to have options available, and they're asking for shareholders to vote for that. Yes, they could have held back on the R/S question/option until they find that they indeed need to use it. However, what would it look like if the price ran to $1.80 and held there for months? They'd come out with there game plan including a R/S to uplist at that time, and many would rally behind, but many others would complain, especially now that they bought at those higher prices before R/S news. Shorts and manipulators could potentially do some real damage then.
As it stands, we're in a very good position now. Buyers (who are they) have already brought the price back after the dip. The market (retail investors included obviously) knows the plan. We could rally and bring this stock to Nasdaq organically, and then there would be NO R/S. The news cycle and awareness are only just now beginning.
$IPSI Right on, steady as she goes! There's enormous potential here and, with the news cycle and investor awareness efforts just now firing up, this is the time to bolster positions and hang tight!
