Who mentioned hacks? im talking about white shoe NY IR - people who talk everyday to brokers and institutionals. with connects to media. who know how to time stories and articles to planned company releases. this isnt a your dad p&d spam your twt fb - its about doing exactly what Roche and Quest and Tesla and every other legit deal on earth does. what youre talking about is the clever dicks who take on the guise of a legit deal utilizing all the expertise of a big board IR/PR machine to the nth degree for 90-180 days to shift as much paper as possible before the house caves in.
Im talking legit IR that keeps your deal on the radar of the brokers, institutionals and media - that is operating an awareness campaign that sees an internal investor database swell, that sees the stock bookmarked and watchlisted. that generates NEW buy and hold shareholders daily.

So they screwed up and werent ready to release something at 8am today - so they scramble and slap something together and "just get anything out there" method of communications. there is no filling in the narrative. no previously stated goals and themes being met and fullfilled with direct goals for the future beingg named so the details can be filled and the future inspired. Just some rando vague statements. Pure reaction piece thrown together. There is no flow to the narrative. Because we really have never been sold one. other than 18 labs. which is fine. but whats the story on testing. what do you exactly do. why is it important. why is safe important. ....and not dismissive glib one liners preaching to the converted. in theory youre right. i think its a meh management strategy of a poison pill. nothing untoward. and id think that they would NEVER have gotten this money if any of the leads, the retail brokers or the 78 accredited/sophisticated investors smelt or felt otw. my guess is that gets cleaned up and dropped to like 60-120m in the next 90-180 days if not sooner - this raise has changed everything for $EVIO - and theyd be crazy to not fix this.
There is no mystery to the volume. Its an ongoing issue. No communications program in place. its that simple. there is no conspiracy. unless self sabotage counts, i dunno. a few missed financials. lets not embarrass anyone by actually counting them or be so rude to mention the 2 delisitings for late filings last year. so one could argue their was an erosion of goodwill built up thru 2015 Q1Q2 2016 when they had some semblance of IR programs in place. But for 18 months now its been a mess. Meaning: the erosion of the first developed base combined with a program that generated a truly negligible base left not much of an audience left for the announcements. They need to do some serious planning and work and execute a coherent professional comprehensive top down communications program that runs like a beautiful rainbow farting unicorn spreading multiple messages of a defined brand, tag line and vision, thru multiple platforms in multiple languages worldwide. get that running. drive the narrative in a TESLA Roadster

The warrants are warrants until they are converted to shares. your dilution thesis is getting tiresome. This isnt toxic debt. How is a pubco supposed to raise money? By going to the market. The fault ultimately lays in having zero investor/public relations to encourage the market support to keep the price higher during quiet moments between PR's and not leave people confused and in ignorance.
Point being: They raised money the only way a pubco can and twice as much as they were seeking in a manner in which they had never succeeded before- ergo: a positive. congrats btw if youre redding this- On the other hand the lack of investor/market awareness and an artificially depressed price point generated a basis of price negotiation that one could argue was lower than preferred. -
But so what at this point? Theyve got the cash. Hire pro IR/PR and make sure that it doesnt happen again and execute your business plan. Maybe next round we get a premium on price. But this fixation and rush of including the unconverted warrants - preferred shares held by insiders in share counts as though its some liquid mess is deceiving and misleading.
If you want to preface every time you do this by saying... well WW and LG hold x and AS and HG and other senior active mngmnt control Y - so we can count those as LOCKED - Warrants are Z so theyre LOCKED for the time being. We have XX "apparently" locked in the Ihub board - these notes have matured. these notes got bought out. so that leaves an increase to the FLOAT - the FLOAT - the FLOAT of xxxxx shares. And whos' hands is the float in... where are the blocks. the blocks that are locked. the blocks that are "leaking" and the blocks that are crumbling.
So the float is xxx and the daily volume is yyy - and shares are worth whatever someone will pay for them.

Q1 last year was $668,000 leading to a 3m total annual - Im going to go out and right now predict $1.185m as total Q1 2018 revenues - a few points to how i got there. Last year i dont think they performed ANY tests for at least the first week due to licensing issues - which everyone else was experiencing - then finally up and running regulations wise... they had to deal with the growing pains of streamlining the whole vertical integration of the spoke and hub testing process. Sample collections, testing schedules, staffing growth, training, the NIGHTMARE of edibles testing navigated etc - then there is the pesticide approval on Nov 22 - Since the 23rd of November they have not outsourced the pesticide testing which is big chunk of cash flow never before recorded. Then there is the Eugene situation of their largest and longest established competitor being outed as a supporter of white nationalists and neo nazis leading to the CEO stepping down and the company seeing clients fleeing faster than a Kardashian at a botox party.
- Conversion of Colorado from license to equity could be a $2m revenue boost - Cash today means that all new California labs will be fully equipped on opening day. 75,000 tests performed in the past two years means that their learning curve to get those labs up to operational speed and capacity will be...fast

Depends on the revenue trend $EVIO delivers on Valentines Day - If the recent pesticide approval, the business lost by their largest competitor in Willamette Valley, 12 months operational improvements, access to Eastern Oregon, licensing revenues- if all or any of that delivers some big unexpected revenue jumps - prices will firm up and rise.. likely.
We can also anticipate a flurry of positive news announcements/ acquisitions that will come as a result of this cash infusion. You know they have a shopping/wish list ready to go - And with your private placement oversubbed by a full $3,000,000 you have the market confidence to go out and buy some assets. cash flowing assets. youre suggesting that these retail investors are going to convert tomorrow - dump their positions and eat the capital gains. Lets break that down. $100,000 USD @ .80 cents is 125,000 shares - Youre positing that these RETAIL investors - with likely this new $EVIO portion being one small part of a diversified portfolio as these are ALL accredited/sophisticated investors to be sure - but that these retail investors are going to jump into a deal averaging -really- 50-60k shares traded per day - are going to jump in and dump paper ...enmasse.. to realize an immediate gain - Using 2$ as a price if they were to do that today. But we can all agree that they ccouldnt "dump" that much paper that quickly without tanking the price, why would they do that? They are retail investors remember. Not scumbag note holders looking at 91 days gain. But so we go down this path where people are looking to unload this block of stock tanking the share price on the way. But lets for arguements sake say that they did manage to get rid of 125,000 shares in a day or two without tanking the share price.
Theyve paid .80 cents and sold 125,000 shares for 2$ Thats a profit of $150,000 50% of that is 75,000 and the 50% of that is $37,500 payable in capital gains tax - So youre belief is that this retail Canadian investor - pitched by their broker on funding a US cannabis lab deal - to fund their rapid expansion into the single largest retail cannabis marketplace on Earth - is not interested or committed to the 10-20x 12-18 month cross list potential return their broker sold them on - but rather is going grab a quick 2x profit and pay the $37,500 taxes - pink sheet thinking that is. it will take time for everyone here to wrap their head around the new paradigm that will leave the pink sheet cynicism far behind.
The other reality of this deal structure is that these investors did not find this deal on their own - Their broker introduced them and walked them through the narrative and closed them on the purchase. What would have happened is WW would have gone to a boardroom full of brokers provided by the lead on the raise and WW pitched the room.
Point being: The "investor" in a high portion of these instances of 78 is going to do whatever his broker tells him to do with the paper. And if their onboard with the narrative their goal is to deliver another 10X deal to their clients... so the next time a lead contacts them to fill a position on a raise. they can pick up the phone and in ten minutes fill out a $1,000,000 portion of a raise from all their happy clients
Thats what makes these canadian sold deal so attractive from a shareholders perspective.
Right 50% of 50% - Regardless. its a ton of dough either way you slice it. Retail investors in Canada who have $100,000 to throw speculatively at the proverbial wall of a US OTC cannabis lab play are definitely the type of people who would be utilizing an aggressive tax planning strategy and definitely not paying capital gains when they could avoid it.
Love to see what $EVIO is going to acquire with this cash. They could easily flip this into California labs generating $20,000,000 in cash flow - But yeah - Ive bought a bottle of Moet that im going crack once the PR goes out that $EVIO has bought out all of the current note holders. Heaven!

The importance of $EVIO Canada cross listing must be discussed. The volumes and price discovery on Canadian exchanges for cannabis stocks DWARFS the US exchanges by a wide margin. The appetite of the average retail investor for cannabis deals is insatiable. Which is of no surprise. The number of true "small cap deals" trading there is mind boggling. btw that is the WALL STREET definition of small cap deals - $200m to $500m market caps not the pink sheet definition of barely breathing with a faint pulse.

Whats your fixation on the preferreds and warrants? They dont trade? Management has never converted. One sale in 2016 v. 4 purchases in 2017 interest free loans provided by management. Warrants are restricted by time and conditions. So the preferreds are only EVER going to move when Quest Diagnostics or Pfizer comes knocking for the takeover deal of the century.
As ive explained the warrants are NOT going to be converted AT LEAST until a Canadian cross listing is complete. These warrants are now in friendly hands of retail investors who bought in because of their support and belief in management and their mission statement. Versus the people who previously found $EVIO through boiler room call centers offering 90 day 60k$ notes that dumped en masse on day 91 regardless of news volume timing.

THey are NOT getting "good old common stock" they are getting warrants - which must be converted. The capital gains tax in Canada is 50% - These warrants/shares are NOT ELIGIBLE to be placed in a Canadian TFSA account UNTIL $EVIO is cross listed on a Canadian exchange. I would wager NOT ONE WARRANT is converted until $EVIO is cross listed on the CSE TSX - 50% CAPITAL GAINS kind of encourages that.

As the name indicates any profits generated from trades made with equities held in a TFSA are TAX FREE - But that same designation of TAX FREE brings with it some RULES.

My guess would be that... whatever canadian securities regs stood in the way of an 8k timing... for a deal that was likely set in place in dec... it is a great timing price for the investor,sure.
if though $EVIO found a LONG TERM allied investor who rather than convert and dump will convert and HOLD and invest another $2.15m in 12 months at $4.80 discounted on 6$ paper to setup a TSX AMEX listing funding $8m? then its a great transition in managements choices and will benefit shareholder value greatly imo
