Class Action Lawsuit against Zion Oil and Gas, Has been Dismissed
More like it should be the SEC's job to give these shareholders some answers.
We've got a set of them, here.
They, (The SEC) have had plenty of time to go through Zion's things.
They need to get up off their rump, and salvage some of their reputation.
With people using their name, to target people, it's something that is WAY past time, to be addressed.
How long do you think it takes to review a small Texas company?
Of course, shorts would all LOVE for it to take FOREVER, because it fits the bill.
I'm here, saying it SHOULDN'T have to be this way, not here, and they need to step up.
As we've learned,
It's a pretty nice thing to know, (as a short), if you can get the SEC to target a company, because then you know, you are essentially using the SEC's sluggish pace, to strangle shareholders, who have no recourse or place to petition their grievances.

Hello everyone!
Hope that you all are doing well, and have survived this tough quarter, for the stock market.
It's not been easy to navigate, and we now have "Friends" that have joined us, practically side by side with share prices, in the same field/position, as Zion.
There has been lots of fear, and anxiety, over this virus stuff.
It's translated into a period where people decided to cash out, and look for some "Safety", etc.
In my opinion, this has also opened up the door, to a lot of good buying opportunities! I wish you luck in your plays!
I know that we have all been going about our business, during these quiet times.
That's GOOD!
Work is still being done, and Zion has, in my opinion, opened several doors, which have awesome potential.
It IRKS the crap outta me, that the "Justice" system, is taking so long with these lawsuits, AND the fact that the SEC is still "Sitting" on the company, with not a WORD said, as to the reason.
(That's a pretty nice thing to have, if you were to be short, on a company)
My suggestions are this:
Keep your chins up.
Take care of the basics in your lives.
Look out for others, and be there for them.
At SOME POINT, we will have to hear official news, on several fronts.

I'm looking forward to the 3-D results, and the last few months of the year!
Still haven't heard any updates on the legal front, aside from the assignment of the new judge, back on Sept 3rd.
The SEC has yet to say ANYTHING, other than announcing an open inquiry in 2018, and reminding everyone that the inquiry is no proof, in and of itself, of any guilt.
It remains to be seen if the SEC will ever speak, prior to the imposed deadlines that this whole ordeal has brought everyone to face.
Hoping to hear positive things, in the coming months.

Any oil and gas company can spend 15+ years, poking holes in Texas or Alaska, and get oil and gas in commercial quantities by that time.
Zion is not that company.
If you have invested here, because that is what you wanted, then you probably do not understand the company’s calling/vision/purpose.
They are called to explore, in Israel. Period.
That’s what they have been doing, and that is what they are still doing.
The company explains the reasons why it chooses to search in Israel.
Just because an oil and gas company, doesn’t have commercial quantities, does not mean that they should be shut down.
It could bring question as to why, but once you investigate Zion and their vision, then you should understand, they are not out for A fast drill, somewhere that has been vastly explored and mapped out.
They are exploring in Israel, FOR Israel, and for those who seek to support the company’s vision.

They won't be welcoming the SEC's eyes, on the details of their involvement, that's for sure.
But they are on them now, so that's what we are all waiting around to see.
Yes, performance is a big part of the SP, but without an SEC investigation, (Of which we fully believe was illegally instituted), the SP would not be at a point where the company is on death's door.
I welcome any SEC involvement (that is warranted.)
NOT SEC involvement that was brought on by “whistleblowers“ who are known to be people who target companies for profit.
Probes reporter and panda like to claim that their work, helped the SEC to open the investigation into Zion.
However, if we look at the “whistleblower“ report that was sent, the author of that report, and the dating of said report, versus any public communications from the SEC, you could say that we have serious questions as to the validity of the SEC’s involvement and what ultimately amounts to their complicity in holding this company and its shareholders hostage.

I also believe that Zion has a very good opportunity, however, time management is extremely key.
Seeing as how the company is being held down with deadlines and an SEC inquiry, (which nobody has any clue what it’s about), (years on), these next few months will be extremely crucial for any chance that Zion Oil and Gas continues.
I’m hoping that the 3-D scans, help Zion to locate the best access for any place they next believe that they should drill into.
I’m not expecting them to come out and say that they can see a bunch of oil or whatever, there’s no way.
Hopefully, the scan should show the proper formations, which generally indicate where any possible oil and gas reservoirs may be located, as well as to give the team a good idea as to how to approach it.
I cannot, in any way, foresee that they get 3-D done, and start drilling, prior to these imposed deadlines.
I could be wrong, but I don’t think it’s possible.
The company must obtain a $1 share price, and hold it, for 10 consecutive business days, between now and January.
It is my opinion that if the SEC were to resolve this inquiry before the deadlines come, that the company would have no problem achieving this crucial milestone.
But alas, we still sit in the dark, and everyone who is invested is staring at the end. (Barring some clarification and or details from the SEC, or from Israel) which would allow people to move on from everything that is sitting on top of Zion, and move forward.
It is my personal belief that if Zion finds good formations, the only way they make it is with enough people taking, yet another leap of faith.
I’d much rather the SEC clarify everything and get the hell out of the way.
We’ll see.

The 3-D trucks/equipment have been on the ground, in Israel, for over 2 weeks now.
Zion seems to be proceeding.
I've received a few PM's, about missing "Normal/Regular" faces.
Speaking for the few I know, there were many people who are taking this time to get things done in their personal lives, while watching/waiting for Zion to complete the 3-D.
Listing deadline/requirements still exist for Zion. (Jan 2020)
Between now and then, Zion's share price must reach, and hold, $1 or more, for 10 business days. If they can do this, they clear the listing hurtle, and a large chunk of pressure comes off of the company and its shareholders.
No further updates on the Legal side, since the Sept 3rd assignment of Judge Brantley Starr, to the case.

I hope you all are doing well.
I have been keeping an eye on Zion, and waiting to see their progress, with 3-D.
By deciding to apply for, and being accepted into the alternate exchange, Zion was able to buy some time to try to get the processes completed, that they are seeking to complete.
Zion has been given a chance to give people a reason to want them back on, or to maintain them on, an exchange.
Zion has, essentially, until the end of the year, too enact their plan, and get the share price above $1.
Ideally, for all shareholders, the best thing that could happen is that Zion finds something that people can have a desire to invest in, and thus the share price returns to a more normal level, thus clearing the listing requirements.
I don’t think anybody wants to see a reverse split happen, but I do believe that the company would keep this option on the table if all else fails.
January 2020 is the deadline for the listing requirement.
Many of us are on the sidelines, hoping to see Zion find something worth saving everything for.
I also noticed that on September 3, a new Judge, Brantley Starr, was assigned Zion’s Texas lawsuit case.
This comes after quite some time had passed, with no updates on the case.
The SEC is still quiet to the public, a year and several months after they said their first and only public thing, which was a letter to Zion oil, stating that they are opening an inquiry.
From there, we have no idea as to what communications and or processes have gone on between Zion and the SEC, since.
Today is September 11th.
I spent a lot of time reflecting and remembering.
We will be watching over the next few months, to see what transpires with Zion, and however many years it takes, to see what the SEC needs to say.
Even if Zion dies before they finally speak.

"Dry Hole"/"Active Petroleum System"
We've been through that, so many times.
Can't we all just agree on a few small things, to save some time?
MJ#1 Discovered something that Zion has decided to target with a 3-D scan.
MJ#1 Was a wildcat drill. 'i.e.' The company did not have a "Bullseye" on where exactly to drill.
Once drilled, it was determined that MJ#1 would not be cost-productive, to attempt any further actions, in a commercial production mindset.
No fracking, etc.
YES. The hole was closed.
However, ZN still has the possibility of using MJ#1 to drill, at an angle, if necessary. So, there is a small chance that if Zion finds anything close, on the 3-D, they could use the pad to target it.
So, yeah... It's "Closed".
Yeah, it was not "Commercial".
However, it does have the potential of being used in the future.
3-D is taking a LONG time, if you ask most of us.
Lawsuits are dragging.
SEC STILL hasn't said a word, since they got involved in June of '18.
Yes, in hindsight, it's easier to say that the Company should have done the 3-D first, instead of 2-D.
I'm sure they have learned somewhat of a lesson by all of this, just as we ALL have.

(IMO), there is no real rush to see a major SP change.
Granted, Zion has their listing requirement issues, but I think people are waiting for THEM to do something about them, or at least give people a reason to throw their coin back in.
Most runs just result in people eating the run alive.
Just flippers.
It is also back to school time, so people are on holiday vacations.

Once the SEC got involved, it was never the same.
Them sitting quietly, on everyone, this whole time, while people are about to watch everything vanish, is a crying shame.
Furthermore, it is a disservice to their badge, and their oath.
Of course, this is just my opinion, which I am basing off of things that I have read, about who has been involved, here.

I've been thinking about it.
(It does not mean that what I'm thinking, is correct..)
It's just that I don't understand why, at this point, the Company would want/have to R/S, if they are already past the time where they would of had to put in the 10 business days,(at $1) before the deadline.
I mean..... It seems that people on the short side, just want to get the delisting done.
(As if there is some kind of goal, or reward, after accomplishing this)
If it's going to cause this much of an issue, for Zion, then maybe they should transfer, and give up some of these worries?
To me, it's as if they are already headed in the transfer, direction.
Also from the bottom of the 8K:
Zion should preemptively apply to be transferred to either the Nasdaq Capital or Nasdaq Global market.
They need time and space, to deal with all of their side issues.
It could be a way to get some of the extra stuff, off their backs, and work on moving forward, even if on a smaller scale for the interim.
It's going to take time to wait on the ever slow, SEC.
Why worry about $1 requirements, if you are going to have to wait a few years for the next major steps?
Why Reverse Split your shareholders, when you can just downsize and work on the issues at hand, until it's time to play ball again?
It doesn't mean that people can't trade the company, by transferring.
Shares are still shares.

If what I have noted, is true, then I would wager that there are a fair number of shareholders, here, that have absolutely no idea what is coming at them.
Soley, because I believe that most who invest here, do not pay attention to the day to day dealings.
