Why does anyone care about this dam? I don't understand it? The PR says its a 1MW unit. I looked it up and several sources say it only generates .5MW of power. Power generally sells for $.12 per KWH. Assuming they did a bunch of work ( which would be expensive) and its now producing 1 MW like the PR says, thats still nothing to get excited about. Thats smaller than a generator on most small hospitals.
1MW = 1000 KW
$/year = 1000 KW x $.12/KWH x 8,760( H/year) = $ 1,051,200 per year. Thats at 100% full capacity 24-7 @ 1MW, ( not .5kw like several sources have indicated). Now thats just gross revenue. Now subtract all the operating costs and new renovation costs.... I would be surprised if this operation netted $ 250k/year. This is peanuts, why is he even talking about it??
What are these people buying? The company shell?
Class action would be a claim against VHUB executives insurance.

Next week Im going to review a law firms retainer agreement. If its clean I will probably sign it and get this lawsuit moving forward

Im not sure of this, but the value of the sale might be divided up among shareholders at the time of the sale. Not sure how that would work. Im pretty sure, due to their total lack of communication, that they were able to offset any remaining funds with bogus costs , so the net at the end of the day is $0.
They they really dont care about shareholders, and this sale was just a scam to take the product private. Funny how this all went down immediately upon hitting the $ 1.0 Mill sales /month mark.
Why are you interested in buying at this point? What is your rationale? Do you think they are eventually getting around to a liquidation payout or sell the shell?

If the asset sale went through, we would be getting some form of compensation( Im sure a lot less than expectations) . Since there is neither a check nor any communications from the company at all, I don't think that rumor is accurate.
Good point Bernardsamuel. We should all follow through and register this complaint with the SEC. I wonder how much sales the Limitless line has had over the last 6 months?
Go online, file a complaint. It will only take a few minutes to do and will help lay groundwork for further legal action

Their attorney assured me they would respond to shareholders regarding the proxy vote. Apparently that was not truthful either.

my points would be:
Winthers failed their fiduciary responsibility to shareholders, liquidated a profitable company well below market value to convert to a privately held structure and secure a lucrative deal for himself. Also refusal to respond to shareholders regarding the proxy vote. ... just for starters.
All 3 Winthers and Perlingos should be held responsible

No idea why anyone would sell at this point. There is the very slight chance of getting something from the MagnaVape claim, and that would be worth more than the stock is selling for now. However, I wouldnt put it past the Winthers to just pocket all the money because they are keeping all the shareholders in the dark.
my only response from VHUB:
"The company will provide further information on the results of the vote and the next steps for the company. However, I can’t selectively disclose this information to you, as you can appreciate. Since the company no longer files 8-K’s, the company will either communicate with shareholders through a press release or through a mailing."
How do they get away with this? Do we have to file complaints to the SEC?
Regarding the Magnavape suit, i have done some quick searches on Magnavape. Are they even in business anymore? There may not be any money there at all, even if VHUB was awarded.

I would be shocked if it was more than .004. My biggest bet is that the purchase price for the company has been engineered to result in a net $0 due to shareholders upon factoring the "wind down" costs. That just seems to fit how the Winthers treat the shareholders, and would explain the silly sale price.....
This is clearly a mechanism to take this company private...

I know it is harder to go after the company officers in the state of nevada, but clearly there are reasons to go after the winthers personally.
I love how kyle is on ply ads.....a total f.u. to the shareholders. Obviously they lack common sense as well.
And yes, on a contingency basis, it makes complete sense to pursue legal action against the winthers because you will not get anything from the liquidation. They did the math backwards in determining the asset purchase price. And as for the magnavape lawsuit, google magnavape. There is nothing to be had there even if they did pursue it. But, they probably wont anyway.

I think Lori Winther's email to Hostastock stating they had no manufacturing vendors all the way back to September, yet no word to shareholders until the end of December 16/ Feb 17 is very damaging and indicates they were midleading sharehodlers. Not good for them. What about all the revenues from VHUB sales for the last 3 months? Where is that going?
remember, if you are voting 'No", your no vote helps them get the minimum votes needed for establishing the quorum and being able to hold the meeting. If they don't get the minimum required votes, they cant even hold the meeting and I assume they need to start over. Maybe that would motivate PLY to sweeten the pot.

She states they had no product to sell starting in September, yet not one word of this to the shareholders for nearly 4 months after. Either way, the Winthers have some serious liability to the shareholders here. They do have an insurance policy that will get tested.

I have a hard time believing that VHUB could not find alternative financing and manufacturing, and they entered into an agreement which forbids them from seeking better alternatives.They also turned down an unsoliocited offer without informing shareholders. In fact, the sahre holders were not made aware of ANY of this until the end of December. Either complete dishonesty or complete incompetence.
I vote dishonesty because the ijoy situation occurred in July and the news blackout started on January of '16. So i think there was a plan to do this for over a year. Sorry, no votes for you VHUB ..
