you were right. actually if you use the share price to calculate the dilution, which is 99.5%, so the stock price should go down an equivalent amount. so from .02 down 99.5% gets you to a share price of .0001.
float HAS NO IMPACT on the market cap of the company. when dilution occurs it REDUCES THE OVERALL OWNERSHIP of each shareholder.
the BONZ/Marvion merger happens to reduce shareholders ownership by 99.5%.
fact: shareholders were still diluted by about 200 times. or to say it another way, shareholders own 99.5% less than they did before the merger. restricted or not, whether they trade or not DOES NOT MATTER. gl
no market for equity plus have less than 12 months cash. got it. best of luck.
diluting shareholders more than 200x, yes the numbers are correct.
restricted shares ALSO dilutes shareholders, reducing holdings by 99.5%. just because the shares may not trade freely, issuing restricted shares reduces the ownership of existing shareholders.
in the Marvion deal, existing shareholders that BEFORE OWNED 100% of BONZ now own will own 0.5%. not a good deal for existing shareholders. a great deal for Julian.
but IN the form they tell you they are issuing more shares. it is what it is...
from pg 27.
Each of Messrs. Lee and So are entitled to an additional 129,757,936,504 and 8,608,462,003, respectively, shares of our common stock in connection with our acquisition of Marvion Holdings Limited. After the issuance of the second tranche of shares of common stock, our directors will beneficially own approximately 93.34% of our issued and outstanding shares of our common stock
not only authorized but also issued to Mr. Lee and Julian So.

or another way of looking at the dilution is, using last example where ownership of 10M shares is equal to 1.5% being diluted to .0072%. if my math is correct that means after share issuance a shareholder will own 99.5% less than prior to the merger. using a share price of .02 a 99.5% lower price is .0001.
yes but the important fact is the additional shares outstanding.
if you own 10M shares with current 650M shares outstanding you own about 1.5% of the company. after share issuance you will own 10M shares with 139B shares outstanding or .0072% of the company. a substantially less %
it's not in my future.
comes with the territory. also only takes 1 hit to more than make up for the all misses. that's part of the fun/challenge.
if means after they are done they will have issued 214x as many shares as there are now. if you figure the dilution in at .02 the market cap of BONZ is about $280M at the moment.
you did read what you read. and they also did same type of deal with COSG. disappointing. looks like BONZ will go from 650,000,000 shares outstanding to 138,366,398,507 shares outstanding.
in exchange for 139,686,481,453 shares of our issued and outstanding common stock, all in accordance with the terms of that certain Share Exchange Agreement and Confirmation. The Company will issue 1,320,082,946 shares of common stock and will increase the authorized share to issue the remaining 138,366,398,507 shares of its common stock.
wake me when its over .50...
Yes, but that takes even more time. Haha!
— ⭐⭐⭐Julian So | Group CEO | ⭐⭐⭐ (@Julianshm) October 26, 2021
yes. julian confirmed it in a tweet response i read.
well the merger is closed now so ITS A WHOLE NEW BALLGAME!!
Coinllectibles is worth almost $3B. if BONZ is even 1/10 of that valuation after merger is completed, we'd be at about .50...
trading like something is up...
wow! if there was an award for who held shares the longest on this message board you'd probably win.
when it's trading on Nasdaq i'll say mgmt has followed through.
they are just setting everyone up for a reverse split. they have no chance of uplisting.
#NFTs are big. like the internet 2.0 type big.
plus they are in a quiet period until closing. can close at anytime. usual time for a shell to close is 30-60 days.
yes i saw the 4-6 weeks also. first i'd think WINR responsiveness is not an issue as mgmt has been anticipating this for some time. so its a question if when the coundown starts. below is the timeline for MNMD uplist earlier this year. it is a foreign company but should be similar...
3/30 F10 which for foreign is = S1
4/9 amended F10
4/13 notice of effectiveness
4/23 6k announced accepted by Nasdaq to begin trading 4/27
4/27 traded on Nasdaq
WINR timeline so far...
10/1 S1
10/12 amended S1
10/13 Notice of Effectiveness was out but its not on this SEC link https://sec.report/Ticker/WINR which is curious. i believe this notice was just for the warrants and convertibles to prepare for warrants to be able to be exercised. If that is the case, another "notice of effect" will come for S1 also. so if on similar timeline, "Notice of Effect" for WINR S1 should be literally at any time.
MNMD NAS PR announcement came 10 calendar days later. so if WINR is similar to MNMD in process, WINR should uplist by end of month.
the first page of prospectus has this paragraph;
In addition, this prospectus relates to the issuance by us of up to 2,267,897 shares of Common Stock upon the exercise of 2,267,897 warrants (“Warrants”) held by Selling Securityholders, which were issued in connection with the issuance of the Convertible Notes, which entitle them to purchase Common Stock (i) at an exercise price of one hundred ten percent (110%) of the per share offering price of the offering made in connection with any “up-listing” of the Common Stock or (ii) prior to the determination of the per share offering price of the offering made in connection with any “up-listing” of the Common Stock and following such time if the “up-listing” contemplated is not completed by November 1, 2021, at an exercise price of $10.73. For purposes of this prospectus, we have assumed an exercise price of $9.35 per share of Common Stock (calculated based on 110% of the last reported sale price of our Common Stock ($8.50 per share) on the OTC Market Group, Inc.’s OTCQB tier on September 28, 2021).
which may indicate an expectation on mgmts part of completing by 11/1. at any rate i think its really close. and i'm excited to see the news flow once completed. i thnk the impact will be much greater than we've seen while on OTC. and Revenue growth is starting to kick in as well, which will only accelerate as we can move on from COVID, and WINR expansion plan is executed.
by all means sell it if you want. but you didn't answer the question, but rather are just whining they didn't do it the way you wanted. do you seriously think this is all there is going to be to the NFT500 launch?
FYI in case you were wondering if NFTs and Metaverse were going to be a thing. the fact Zuck is changing FB's name to reflect Metaverse/NFT space says mucho imo.
Facebook is reportedly changing its name because it wants to be known for its 'metaverse' focus

some of you talk like this is the extent of the promotion of NFT500. considering the magnitude of NFTs growth/impact, do you really think TAPM is not going to even put out a PR? interesting view. i personally think mgmt is pretty strategic and savvy, especially with their NFT activity. i guess time will tell...
totally agree. actually there was a discussion about that very point on Twitter today with Julian.
Admittedly, good advice.@coinllectibles @marvion_media#crypto #blockchain #art #collectible #nft #fnft #hnft #artwork #metaverse #film #entertainment #games https://t.co/6PTXsnrU8h

Marvion Media is established in NFT, and pioneering h-NFTs, in Hong Kong just not known in US.... yet.
MMs used today to clear out some weak hands. closes unchanged I bet.
No worries. Personally I have a cost of about 8.50 and have taken my original investment off the table along the way to $30. The remainder of the position is long term for me. Honestly, I would be disappointed if TAPM doesn’t see triple digits. The share structure, plus how undervalued existing business is coupled with NFTs. NFTs are going to be big, like crypto 2.0 big.
Cool. What you do has zero impact on me. But I’m happy for you if it makes you comfortable. Personally I’m not in this for a pop but that’s me. Selling now to me is like ripping up my lottery ticket before the drawing. This hasn’t even started. PR and press next week is only the start not the end.
Is it indica or sativa? :)
Looks like more details on NFT500 next week according to TAPM tweet. Must mean official PR and press?

Only time will tell. It seems to me anything NFT atm gets ALOT of attention. Let’s see what type of articles etc we have after weekend. Otherwise I guess atm all we can do is follow the download to get an indication of reception.
This stock was dirt cheap before NFT500. Growing revs 30%, profitable, and trades 2x sales. NFT500 and the NFT portfolio are atm probably worth a few multiples of current market cap. with the share structure here a forward split and uplisting to Nasdaq is also a possibility imo. And technically, above 36ish and it’s all over. TAPM could easily go parabolic.
