Although dated 2yrs ago, I came across this write up which helped explain (to me at least) several of the costs and changes listed on the balance sheet.
In January 2018, HITEC CORP (OTCMKTS:HTIC) broke almost all previous resistance. From the $0.002 support level, an unexpected momentum drove the price to hit the one-year record of $0.009 before retracing back to $0.07 mark.
Why?
Since many in the market seem to be expecting great things from CHUN HONG CHENG, the recently hired President of HTIC. Nobody wants to remain sitting on the sidelines with new management in place. In our opinion, that’s the reason behind the unprecedented share price and the market volume spike; such spike has never happened in the year 2017.

HITEC CORP Business Overview
This company was founded in 2003 in the state of Delaware and is currently headquartered in Jefferson City, Missouri.
HTIC functions as a collector and processor of oversize off-road tires; used with large mining trucks and agricultural vehicles.
How is the revenue model designed?
The revenues are received through the collection of fees. These tires are then treated and divided into component parts, such as synfuel, syngas, carbon black and steel, which are sold to petroleum product manufacturers and rubber blenders. The company is still in the testing phase and expects its market to expand in the near future once full production commences.
The amount of properties and equipment is very significant
In the balance sheet, we saw that the amount of properties is very large for a company in a pre-revenue stage. As of August 31, 2017, the PP&E was equal to $938,000. We rapidly became interested in these assets. The acquisition was executed on March 28, 2016. According to the information given by the company, this equipment is an operating plant under construction pursuant to HTIC’s business plan.
Why is this very important?
The market always studies equipment and properties owned by a company commencing a new business venture. The reason is that in case of having an unsuccessful business model, the market participants are sure that the company will have assets to sell. It is a great assurance.
Licensing Agreement
We saw that HTIC had obtained rights to certain patents for the use of a technology involving pyrolysis system. 20,625,000 shares of common stock were issued to pay for this asset.
What’s out take?
These are valuable intangible assets. They could multiply HTIC’s value and believe that it could be a great catalyst for the share price action.
The new CEO – What can it mean to the company?
On March 31, 2016, we received the resignation of Director Jeffrey Michel.” Please note that he left the company in good terms. Check the kind words of the management included in the press release:
“It is with regret we accept the resignation of Jeff. He has served the Company and shareholders of Hitec with great diligence and care. We wish him well in his future pursuits.” said Harvey Buhr, Chairman.
Reading this announcement, we commenced to believe that the company had started a period of transformation and restructuring.
What now?
We yet don’t know the business profile of Mr. Cheng. So, we cannot say something with certainty about the next steps of the new management. However, in our experience, new people usually bring new know-how, new business contacts, and new opportunities. Thus, we encourage readers to be very alert on this name in the new year.
There are market participants in the social media claiming that the company could execute a reverse merger with a Chinese company. Let us say that before the company announces it, we don’t believe anything.
Additionally, we encourage readers to be vigilant about new information coming from Facebook, Twitter, or other forums. Social media can sometimes manipulate the share price of microcap companies like HTIC.
Bottom Line and Conclusion
Currently trading with a market cap of $2.4 million, HTIC is an exciting story among small caps. With a total outstanding share count of 351,907,314 and a float of 102,785,873 shares, HTIC is a low float runner that can move quickly on large market orders.
In addition, the company shows a negative net asset per share and the asset side is not liquid. So, we believe that the next step will be raising capital or issuing debt.

Furthermore with the hotel battle among the top players introducing creative ways toward saving the planet (i.e. Marriott switching from individual plastic bottles to squirt refills, extending their China portfolio presence to Woman Owned Hotels, Owners converted all of their Macow holdings into LEIC, etc.) aligns with all of the other offerings of LEIC.

I recently read about Hilton Hotels is looking to add to their portfolio of hotels, and looking at local to China hotel companies.
Sounds like the opportunity we all have been patiently waiting.
So, while waiting for the 3 days, I jumped into a short term opportunity, the chart looked for a good quick setup.

Nice research as usual. I mis-read it the first time you posted.
I thought it was another R/S for LEIC, instead it appears to be a 10:1 split for the (Mr. Cheng Cheng and Pak Ying Cheng Cheng).
Its becoming clearer now, the reason for the 2018Mar R/S, plus the 1.8 billion shares increase. Plus went dormant for a year, due to the 1 yr share maturity.

At the end of September, small cap Staffing 360 Solutions Inc (NASDAQ: STAF) became the latest OTC stock to uplist to the NASDAQ – making it a good case study to understand the process for a small cap stock uplisting to the NASDAQ. After all, there are sometimes misconceptions about the whole uplisting process and the requirements that OTC listed small caps like Staffing 360 Solutions Inc need to be able to meet before being uplisted. I should first mention that there are a number of obvious reasons why a small cap stock like Staffing 360 Solutions, which is utilizing a high growth buy-and-build model to develop a pipeline of staffing acquisition targets in the finance and accounting, administrative, engineering and IT industries, would want to uplist from the OTC to the NASDAQ. As the Executive Chairman stated back in September when the stock began trading on the NASDAQ:
"NASDAQ opens the doors to numerous opportunities for growth and it will play an important role in our efforts to enhance the value of Staffing 360 Solutions moving forward. We are better positioned to advance our stated mission of reaching $300 million in revenue as we build a major international staffing company through organic growth and accretive acquisitions."
The Executive VP added: "Now as a NASDAQ-listed company, our ability to communicate our progress with a broader audience, raise the visibility of our M&A strategy, and generate more value for our shareholders will improve dramatically."
With that in mind and while there is a whole section of the NASDAQ website dedicated to listing requirements with a short guide here, here are a few key points for retail investors to be aware of:
Criteria. Uplisting companies must meet all of the criteria under at least one of the four financial standards plus applicable liquidity requirements. The four financial standards are the following:
Standard 1: Earnings
Standard 2: Capitalization with Cash Flow
Standard 3: Capitalization with Revenue
Standard 4: Assets with Equity
The liquidity requirements fall under the following criteria:
Initial Public Offerings and Spin-Off Companies
Seasoned Companies: Currently Trading Common Stock or Equivalents
Affiliated Companies
Listing Rule
Required Share Price. The required share price to uplist to the NASDAQ is $4 and this share price is determined by the bid price rather than the closing price. The bid price will more accurately reflect demand for the stock and unlike the closing price, which can be influenced by a single trade, its harder to manipulate. However, uplisting companies can also qualify under the closing price alternative if it meets the following requirements (in addition to satisfying the other financial and liquidity requirements):
Average annual revenues of $6 million for three years, or
Net tangible assets of $5 million, or
Net tangible assets of $2 million and a 3 year operating history.
Reverse Splits. In order to meet NASDAQ’s minimum share price requirements, many small cap stocks will conduct a reverse split with the post reverse split share price being the price the stock exchange will consider. Its important to remember that reverse splits are actually a sign of good things for companies on the way up, but tend to be a sign of bad things for companies on the way down. For example: Reverse splits tend to be associated with stocks trying to prevent themselves from being delisted from a stock exchange.
In the case of Staffing 360 Solutions, the stock met all the listing requirements for the NASDAQ with the exception of its share price. So in mid September, the company conducted a 1-for-10 reverse stock split.
It should be kept in mind that an uplisting application to the NASDAQ does not automatically mean the application will be approved and the process for a decision can come fairly quickly or take several weeks or months.
Moreover, investors need to remember that while NASDAQ may be a stock exchange, its also a business. After all, stock exchanges like the NYSE, AMEX and NASDAQ all charge substantial listing fees to companies for listing on their exchanges and all want to maximize revenue. They are also competing with each other to attract high quality small cap stocks with potential like Staffing 360 Solutions who they feel have the potential to succeed and thus attract more companies to list on their respective exchanges.

The over-the-counter market is not an actual, physical exchange like the New York Stock Exchange or Nasdaq. Instead, it is a network of companies that serve as market makers in particular low-priced and thinly traded stocks. Thus, the OTC market is actually a quote system between these companies that buy and sell stocks "over-the-counter" and not "on the exchange." A publicly traded company can, in fact, switch from being traded over-the-counter to a stock exchange that it believes will be favorable to its financing efforts. However, the company must first meet the new exchange's financial and regulatory requirements.
Mechanics of Moving
First, the company and its stock must meet listing requirements for its price per share, total value, corporate profits, daily or monthly trading volume, revenues, and SEC reporting requirements. or example, the New York Stock Exchange requires newly listed companies to have 1.1 million publicly held shares, which must be held by a minimum of 2,200 shareholders. By contrast, the Nasdaq electronic exchange requires 1.25 million public shares held by at least 550 shareholders.
Second, the company must be approved for listing by one of the organized exchanges. It must first fill out an application and provide various financial statements verifying that it meets its standards. If accepted, the organization typically has to provide written notice to its previous exchange indicating its intention to voluntarily delist. The exchange may require the company to issue a press release notifying shareholders about this decision.
While a lot of fanfare may occur when a stock is newly listed on an exchange, especially the NYSE, a new initial public offering (IPO) is not carried out. Instead, the stock simply goes from being traded through the OTC market to being traded on the exchange.
However, the stock symbol may change. A stock that moves from the OTC to Nasdaq often keeps its symbol. Contrarily, a stock that moves to the NYSE often must change its symbol, due to NYSE regulations that limit stock symbols to three letters. The OTC and Nasdaq both allow up to five letters.
Why Switch Stock Exchanges?
There are a variety of reasons why a company may want to transfer to a bigger, official exchange. Given its size, companies that meet the requirements of the NYSE sometimes move their stock there for the increased visibility and liquidity that it offers. A company listed on several exchanges around the world may choose to delist from one or more in order to curb costs and focus on its biggest investors.
In some cases, firms have to involuntarily move to a different exchange when they no longer meet the financial or regulatory requirements of their current exchange.
A Dow-Inspired Departure
Although the NYSE may seem like the pinnacle for a publicly traded company, it may make sense for a company to switch exchanges. For example, Kraft Foods Inc., once one of the 30 companies in the Dow Jones Industrial Average, voluntarily left the NYSE for the Nasdaq, becoming the first DJIA company ever to do so. At the time of the move, Kraft was planning to separate into two companies, and that decision, coupled with the Nasdaq's significantly lower fees, prompted the switch.
For most companies, however, the marriage to an exchange tends to be of the lifetime variety; relatively few companies voluntarily jump from one exchange to another. In fact, only Charles Schwab comes to mind, having moved back and forth between the NYSE and the Nasdaq twice in the last decade. (See also: Why Companies Switch Exchanges).
