That is the way I see it.
It is based on the declared dividend date. By all indication, it is the same as the 6-month date, but I cannot find anything else to state otherwise.
The date to establish ownership is 6 months after transaction closed. Purchase away!
"During the six-month period between the close of the transaction and the Make-Whole calculation, the shareholders of Company E will be able to sale or acquire additional shares of Company E." Company E is ENZC! Hope this helps. I suspect the demand of shares will go up as we approach the six-month deadline. We just need to get this transaction closed ASAP.
Dyno, while I agree that the misleading statement of "90 percent owned by ENZC" should not be continually talked about but I do see how some are being confused. The 90 percent ownership being passed on as dividends to ENZC shareholders are not the same as ENZC company owned shares. It is hopeful that all become knowledgeable of the difference.
I understand but time to move on. I find some solid information from Discord and also from Ihub and chose to participate in both. I see the good, bad and ugly from both.
I believe we will see much more about ENZC and until the deal is closed we will not hear more. Don't forget the multiple NDA's and the 900 million shares that were added. A purchase and/or partnership is a strong possibility. In the meantime, the buying pressure should pick up as we approach the dividend deadline.
I am not ready to bury ENZC (sell)! My belief is that we have much more information to come.
My interpretation is that 6 months after the close of the transaction the Make-Whole calculation will be finalized. Your share count at the end of the six-month period will determine your dividends and any Make whole calculation will be included if needed. You will still own your ENZC shares owned at the transaction closing. I hope this helps!
Not much patience and when pushed for answers it leads to being banned. Repetitive questions that can be interpreted as bashing become a problem.

Not if a large license agreement comes in and/or animal studies have begun and/or good reports from Africa come in and, and, and---many other things develop. The SAGA price per share could be considerably higher.
It will only take a license agreement or two from one of many potential virus treatments and/or cures to drastically change the value of SAGA and if one hits during the six-month period the SAGA share price would be significantly higher and while the dividend share value would continue to be $10 the potential share gain is certainly much higher.
Also, the ENZC share price should significantly rise as investors see the resulting gain from the dividend. When you combine the potential license agreement and increase in SAGA value along with a resulting ENZC price increase it should result in the reduction of ENZC shares being sold.
In addition, as stated in the supplemental information, ENZC "management would be able to purchase new operations or develop other products". Recently, ENZC added 900 million shares and as of today we do not know the purpose of those additional shares. I also believe there is some question as to what ENZC shares will be in the calculation of the dividend. Many possibilities with many questions!
Foxi, since you have painted a very negative overview of what might happen with SAGA and ENZC after the six-month completion of dividend payout I would like for you to also give your projection with possible license agreements with SAGA assets that could amount to millions if not billions of dollars. Completed animal studies alone can be huge. Multiple studies are in line and with PIPE investors the funding will be available to move these in a very positive direction. I think it would be fair to calculate these very possible events.

As well as my illustration. As usual, much more information is needed. My gut tells me that the ENZC share value will retain a much higher valuation than many think. We will wait and see what new developments arise between now and dividend day.
The table A illustration indicates 5 billion as ENZC common outstanding shares prior to the acquisition.
What about the ENZC shares that are retained? Wasn't an additional 900 million recently issued? At a $10 dividend value they are worth 81 million dollars. Now that is a nice nest egg to make a purchase and/or add a new partner to the ENZC company. I wouldn't call that a shell.
Interesting wording regarding company E (ENZC). "After the dividend to Company E's shareholders, there would be no assets or operations in company E, but management would be able to purchase new operations or develop other products that would be the assets of Company E. The Company E common shares would continue to trade on OTC Markets as a new business strategy is implemented."
We may now have an answer as to why ENZC increased the common share account by 900 million. Could it be to purchase a new business and/or to form a new partnership? I for one do not believe we will have a shell company after the dividends are paid. My suspicion is that we will have additional news along the way to maintain and/or increase our value of ENZC shares. I choose to believe my multimillion share count will be of significant value in addition to the dividends I will receive.
Yes, the key words here are "pipe investors". Funding for medical treatment development along with license agreements.
All current partners and other interested parties should remain. Moving forward with SAGA will should not change that and actually with the new funding the interest should increase.
Now there will be the money to develop the various innovative medical treatments and cures. I really don't care whether my value is SAGA and/or ENZC as long as it continues to develop. With the new financial means, it could be significant.
The future will lie with SAGA and current ENZC shareholders will have a significant share of all future license and royalties that SAGA will development as the variety of medical treatments are developed. I like the idea of owning a significant amount of shares in a NASDAQ company.
Sure looks like some are catching on. The buying has started and is needed to take out OTCN and INTL.

AJ, I think the time is near. The MM's that were selling large quantities have moved up and now it looks like normal retail is ready to trade.

I suspect we will have continued buying activity until the SAGA news that is due the week of July 11th. Hopefully we get that OTCN sell order completed sooner than later. Any breathing room at all and ENZC share price will move up quickly.
Certainly seems to be warming up now. BLAS and INTL moved up pretty quickly on that last buying activity.
I see OTCN is back! So, he was just peeking around the corner and reviewing his sell order and deciding how to sell the rest.
I would expect so to complete the SAGA deal. Just a matter of time.

OTCN has a sell order and will complete it to the desire of the large investor and/or hedge fund. That simple! Sorry you can't understand that. I have personally participated in a large investment with a penny stock and worked through their broker to clear the shares (become unrestricted) and placed a sell order and was allowed to pick from a list of MM's. I chose OTCN as I was aware of how affective they were in getting the best price and at the same time liquidating my large holdings of multi millions of shares. Granted shares at .0002 and sold for an average of .0009. They handled it as agreed by contract.
