Most pennies file the 10k late because they do not have the resources to do it. It's not going to be unexpected revenues, etc. This is a 10k which is a picture of what happened in the past.

There's probably a 99% chance this stock will go the way of all penny stocks...it's not a long term investment; not really an investment at all. Ask GEM, the board guru. How many shares did he sell to you guys after it was pumped up...all the while telling you it was going to the moon :)
I hope you all make a killing on this. a lot of pumping has gone on here since the stock climbed to the 4.5's.
It's like saying the company is going to put another billion shares into the marketplace to get maybe $300k in revenues from a merger.
I'll admit though...there aren't too many penny stocks boards that aren't about the P&D...just have to make sure you get out before the D. :)

Can you imagine a biopharm company saying...our product has the potential to increase the absorption of this or that vitamin into your blood stream, but increases your susceptibility to cancer?
Yeah, but dear CEO made a big deal about targeting the agricultural industry, including MJ...not just MJ. Looks like that could be harder than expected...I mean, the last time I checked most veggies still grown out where the buggies tread.
Trust me...when people read "altering genes" this will be looked down upon...especially by the "know it all" crowd in the political sphere.
Seems like a lot more negative to its use than positive - at least in this article. Who would use this product long-term if it is shown conclusively to reduce the plant's ability to fight disease...not to mention never getting approval for use as a soil additive.

The parties have agreed to move forward with an agreement for NDR Energy Group to obtain large natural gas supplies with these world class natural gas suppliers. The relationship with these suppliers will give NDR Energy Group strategic access to major supplies of natural gas for its electric utility customers for distribution and power generation throughout the entire United States. This would give NDR Energy Group the potential to grow into a major U.S. natural gas marketing company.
NDR Energy also had discussions regarding entering into a potential ISDA (International Swaps and Derivatives Association) Agreement, to participate in the energy market for over-the-counter derivatives. An ISDA Agreement would provide NDR Energy Group additional access to both natural gas and power/electricity supply for its utility customers across the United States.
You think that first paragraph would require an 8K? That's what they do.
I don't care one way or the other but I doubt that acquiring gas supplies for NDR is outside their normal course of business? Now if they enter into a JV to begin commodities trading I'd say so.
I'm not even sure they have to file one. I'm not exactly sure what the SEC means by "material definitive agreement." I mean businesses don't have to notify investors of every contract they sign. Smarter investor than me should know :) Interesting stock to watch...not sure I'll "dive" in but a bit hard to figure. Specifics will win/lose the day. Take the NDR release - they gave numbers. You don't want any competitive advantage to be given away by announcing prices, etc. in the new "deal" but something would be nice.
Not an expert on this stock. The PR indicated the meetings were completed. You either have an agreement to get nat gas supplies from the supplier or you don't. I think it's clear they have something but an 8k would be wise. Any of these agreements in THIS industry come with some conditions, etc. Most contracts do. Time will tell. GLTY. Will be watching this one.
Never know. Releasing news this late in the day is tough but they're working a different time zone than me :)

If this story is for real and the numbers are anywhwre near the prior release you may have the needle in a haystack everyone looks for. As a prior poster said...need harder specifics. But in PennyLand if you wait for harder specifics you'll either save yourself some heartache or miss the run of a lifetime. It's the Wild West out here.
Watching some trades on this. Still up about 20% or so from the news release about half an hour ago. Looks like some small flippers giving back their shares from the 2.8's. Nice pofit no doubt but failry small change. Who knows what's in store but I'd expect some larger trades here by day's end.
Wyoming allows Corporations to charter with unlimited authorized shares. Corporations are normally bound by the number of authorized shares set forth in their articles of incorporation. If a Corporation exceeds the number of authorized shares designated in the articles, the Corporation must scramble to amend the articles to increase the number of authorized shares. Wyoming’s unlimited authorized shares option gives Corporations unlimited room for growth.
I don't think this is normal but I'm looking into it. Thought I'd post for all of our sakes. If I find other states with this "corporate advantage of chartering in WY" I'll certainly keep a list. Definitely not a "shareholder advantage of incorporating in WY." Normally any change in a company's articles of incorporation (which raising A/S qualifies) requires shareholder approval - certainly in some pennies that wouldn't matter as management owns controlling shares. But it's a frigging license to print money.

My understanding is that that web site is inaccurate. An increase in A/S would require a vote. A R/S or split requires no vote but not true re; A/S. Don't you know this or are you as bad as the pumpers?
If it was worth 2 it would be at 2. There are people from this board posting about this stock on Yahoo message boards and on various iHub boards. It's not like this stock is a secret waiting to be discovered. People speculate and drive prices up when they at least see some plausible story. Even if it's a pipedream there has to be some story. This company has issued release after release about JV's; experts, etc. It's still the reason I did not dive in here. Maybe it will go up for you guys. But the fluffy releases and posters on here claiming that the CEO said this or that are not helping your cause. Certainly stopped me. But GL...all I'll say about this stock going forward.
why on earth would this even go to a penny. it's not going to go up 4X on the speculation that some JV might produce revenues years from now or that a plant is going to be built any time soon. They were promoting a plant well before this latest effort I believe.
I don't think this company will run much further without giving some specifics. It's fine to say we can't drop names because it causes problems. But it's also fine if people ignore your stock when you don't.
Surely in all these negotiations lately they're going to sign a deal and announce something concrete? Do that and you have something going. Don't and you don't. IMO.

That company's numbers don't match up with this company's release. And the company you posted about doesn't have an energy trading desk that would generate 2-20 mil in profits annually.
For Pete's sake...just because 2 companies release news on the same day doesn't mean their linked in some way.

You must not keep track of the numbers or the people on here are trying to really pump this up. There are not sixty million shares short now. All but a few million have been covered. Where the heck do you think all that volume came from that has since dried up. Look at the latest short report on this thing...almost nothing.
Because he wasn't being honest I'd assume. No CEO worth his or her salt would tell someone over the phone that news of contracts would be announced soon. That would be a violation of securities laws. Did anyone actually believe that?
But if a CEO did that all of you should run for the hills because that CEO would not be qualified to run a lemonade stand let alone a publicly traded company.
I'm sure they're coming up with a strategy to "pay" all these JV "partners." Let's see...Mr. CEO, we need to convince your shareholders that it's in their interests to increase the A/S. Then perhaps we can get some kind of convertible preferred at a nice juicy discount. What's that you say? Would it dilute the current shareholders? LOL...good one, guy. Good one.

You did the right thing. But really, my point was that it was irrelevant that you visited a company with a site that VGPR says it's building. It's good that their partner has a building but this company will succeed or fail on producing its own product at its own site. You should check out things. You should call company offices before you invest to make sure someone is actually there. Lots of stuff.
