BioCorRx Announces Reverse Stock Split in Preparation for Proposed Uplisting to NASDAQ Capital Market

ANAHEIM, CA, Jan. 23, 2019 (GLOBE NEWSWIRE) -- via NEWMEDIAWIRE -- BioCorRx Inc. (OTCQB: BICX; BICXD) (the “Company”), a developer and provider of advanced solutions in the treatment of substance use disorders, announced today a reverse stock split of its shares of common stock at a ratio of 1-for-100. The reverse split took effect at the open of business Tuesday, January 22, 2019. The common shares of BioCorRx, which previously traded under the ticker symbol “BICX,” began trading on a post-split basis under the symbol “BICXD,” which will continue for a period of 20 business days after which time the “D” will be removed, and the symbol will revert back to “BICX.” The Company’s common stock will also be identified under a new CUSIP number (09073C205).
Each stockholder’s percentage ownership interest in BioCorRx Inc. remains unchanged with the reverse stock split. As a result of the reverse stock split, every 100 shares of issued and outstanding common stock are converted into one share of common stock, with all fractional shares being rounded up to the nearest whole share. No fractional shares will be issued in connection with the reverse stock split. The reverse stock split will reduce the number of shares of issued and outstanding common stock from approximately 259,984,655 pre-split shares to approximately 2,599,863 post-split shares.
As previously disclosed, the reverse split was implemented by the Company in connection with the Company’s application to list its shares of common stock on the NASDAQ Capital Market. The reverse split is intended to fulfill the stock price requirements for listing on the NASDAQ.

(OTCQB: BICX) (the “Company”), a developer and provider of advanced solutions in the treatment of substance use disorders, announced today that it has been awarded a 2-year grant from the National Institute on Drug Abuse (NIDA), part of the National Institutes of Health (NIH), under award number UG3DA047925 for the development of BICX102, the Company’s single administration, multi-month sustained release naltrexone implant for the treatment of opioid use disorder. The Company is seeking FDA approval for BICX102.
This award is the result of the Company’s application under RFA DA-19-002, “Development of Medications to Prevent and Treat Opioid Use Disorders and Overdose (UG3/UH3) (Clinical Trial Optional)”. There are two phases to this grant opportunity; UG3 and UH3. This award announcement pertains to UG3 of which $2,842,430 is awarded for the period of February 1, 2019 through January 31, 2020 (Year 1), followed by the Year 2 amount of $2,831,838 based on satisfactory progress of the project and availability of funds. The total amount for the UG3 phase is $5,674,268. In the original application, the Company also requested over $3.6 million for the UH3 phase. The UH3 award is anticipated at a later date upon completion of milestones stated in the application which would enable transition from UG3 to UH3 phase, and based on availability of funds.
NIDA special emphasis expert reviewers commented that we provided an excellent proposal from “an outstanding industry team” with a “strong rationale for the technology based on previous basic research and clinical experience” and recognized “extensive experience with the parent drug and delivery technology (clinical) suggest that the development plan has a high likelihood of progressing to an approved treatment in the US.”

I like to think I’m the same person on-line as in person. Hopefully so. I try to live and let live but catch me on a bad you’d never know it. I don’t like conflict but I have strong convictions that I’d fight for. Stock opinions, no so much. Everyone is going to think their own way and nothing I say on a message board will change that. I try not to provoke. I like people and wish them no ill will or failure.
I’ve been watching and/or investing in this stock since July 2013. I know the deal. It rises and falls. There was nothing substantial that made us shoot into the .20c range for awhile. Only the idea that the FDA meeting was gonna have some big impact. Never a doubt in my mind the price would fall back to the .08-12c range. Part of me was hoping the stock price would get near a nickel again. I’d load up and wait and wait and wait for some positive news. Hoping one day some real big news would hit. Again, I’m here wishing for a lucky grand slam in a penny that might save lives too. If I win, I win big. If the company fails, at this point, oh well it sure has been interesting and very entertaining. I’ve actually learned quite a bit. Good luck brother. Hoping you earn back all your losses.

The total interest you have in staying involved in this message board even though you express such disdain. It’s fascinating. I am convinced something happened to you personally related to the company. That’s the only way to explain everything you said early last year vs what you’ve been saying over the last several months. You made comments last year that clearly implied you knew Brady personally. Maybe you were cut out or left out of an important decision or thought you were more important than you actually are? The only other explanation is you are trying to drive the price down, which, if that’s the case, you don’t have that kind of power. Whatever the case, I enjoy your comments tremendously. Keep them coming please.
Well, I personally have been here years and own more shares than ever. I invest knowing that I might lose money. In this case, I am hopeful that BICX will help solve a huge, deadly problem, while at the same time possibly getting lucky with a penny stock.
There’s no way anyone can argue that the current financial situation of the company is “good”. At the same time, in my opinion, there is no way someone can deny that there is a possibility that something great might happen one day. Way too many unknowns to say this company definitely will or will not survive. I like the moves management has made over the past several months. I also believe the inside folks truly think they will succeed. I like that in people. Seems like a group of winners to me.
Push on Brady and the rest. I have hope... and if this company fails, may the pursuit of medication to help fight this epidemic continue. God Bless.

I originally believed in the company when they were only focusing on the implant but now it's really getting exciting with the expansion into injectable naltrexone.
Has anyone heard anything new about moving BICX to the NASDAQ? On the last conference call it was briefly mentioned - something like moving to the NASDAQ is the next logical step for the stock. I really don't know if that would be a good or bad thing at this point. Any comments would be interesting to hear. Thanks everyone.
There's been some significant action the last couple of days after a very long dormant period. Is there some news out there that I'm missing? Does anyone have any insight? There's some very large volumes trying to get in on the Bid side. I've been waiting on a revival for over a year. I still believe in the future and the huge possibilities. Let's keep this going.

I'm still a believer in Bicx.... Although it's taking much, much, much longer than I originally thought when I bought in almost two years ago. And it looks like it'll be a while longer before the share price gets into what my idea of an acceptable price is...but I'm not going anywhere.

Is this revised filing a 'positive' or 'negative'? The late 10k made me a little nervous although I'm staying and will most likely buy more from the investors that start selling before the 10-k is filed. The extended hours bid price last night was surprising.... I'm anxious to see what evt looks like at 9:30!
I'm in for the long-haul, at least as long as the company doesn't start to show total disregard for the stockholders.
Watching since July, and finally investing in January, I'm impressed with the consistent forward direction over that period. There's no doubt that a lot of hard work, by a lot of smart individuals, is pushing the company towards success. It is also apparent to me that the employees, advisors, and clinics truly believe in the implant and accompanying program.
I've never invested in Penny Stock so it's a little unnerving- I refresh my phone 100 times during trading hours.
But, as I said before, I'm not going anywhere unless the direction of the company heads in some totally unexpected direction.
I believe in helping the alcoholic and addict... The implant and program seem to be an excellent tool to help somebody stay sober in early recovery while building a solid foundation for long-term sobriety.

Thank you very much for the input. I was hoping you and/or Dream Big would provide some thoughts. As I mentioned before, my only experience with stocks has been with consistent (weekly) contributions to my SEP-IRA. I will admit getting involved in Penny Stocks was a big decision because most of the people I spoke to recommended against it. I found out about Fresh Start Private, and became interested, because I'm in recovery myself... since 2001. After multiple experiences, in many treatment centers, I definitely see a need and application for the implant. I've seen countless lives destroyed whether be the alcoholic/addict individual or the family and friends that subjected to his/her destruction.
I do plan to 'ride it out' with the hopes that I benefit financially but, more importantly, the program saves lives.
Somebody help me out here. I got in at .115, .12 & .13 - then again at .165 & .22 - I started following BICX (Ceyy) last July with interest in the cash potential but also in what they can offer to help recovering alcoholics & addicts. I believe the more options available to help someone get sober the better.
All that said, this is the first time I've ever traded in anything other than mutual funds. I've been following the message board since the beginning of January. The terminology (dilution, pump & dump, float) has been confusing and the more post I read the more I think I should pull out even though I see huge potential. For those of you that see BICX as the 'real deal' are you concerned about all the promotions and dilution? My internal instinct is typically to have a knee jerk reaction when my financial security becomes threatened... But thus far, I've resisted.
