WE do have some head winds from Armistice now but that will go away in time then Armistice after 8 cents with those 82 million shares . I need to look that agreement up to see all the exact restrictions on those warrants , but eventualy those will be gone . But now CRTG does have some big name partners but we will learn soon as to the extent of those and new partner agreements Core Optics has and what revenue from those . Those big name partner agreements and growing relationships will all be positives. We will also learn soon what new revenue projections will be and we will learn about everything they couldnt tell us until close that may have a big impact on CRTG. Also some socks just become popular to buy because of the sectors they are in and make big moves up in stock price . We are in next generation technologies with products on the market so that is a positive for the new company.
I always am thinking along the lines of an exit strategy in different situations that may come up . We've gone from 3dicon to Coretec to The Coretec Group to now the new company under the same name with the roadmap and focus constantly changing and again that's happened with the merger to this company . So once again I lay out different possibilities in my mind . My brothers friend sold his stock on the move up to 50 cents a while back and is back in at 3 cents or so . He acted quickly and it paid off. Penny stocks can be like that . That probably won't happen again as we had nothing going on then no revenue it looked liked someone pumped it and dumped quickly. So in rolling through all this new stuff in my mind I came across the thoughts of what if this or that . I just wondered if a penny stock that might have huge volume on just one given day you could use a market order if you say wanted to sell some stock that was up but just below a dollar... would the ordered be allowed to go through on a market order just because it was less a dollar . As we hear from the new company personal we will all get a new perspective going forward about what we own simply because this is indeed a new company that quickly overtook us. Now its time to really wrap our heads around just who we are. I had a broker years ago with UBS who said it was always easy for investors to decide when to enter a stock but choosing when to exit was hard for many people . Fear of the what ifs keep people from taking any action on the buy or sell side . Understanding what the company potentially can do and what it may not be able to do what range can this companies stock potentially trade at... what will it give , what is it worth. I have lots of new questions now but negative I'm not , I like suddenly being part on a company with revenue and products on the market . Now its time to really learn who the company is and after close of the merger we should get a better feel of who the new team is and what they are capable of doing.

Big dump as you stated more than likely Arimstice . So far just one big dump . Those 14 million pre funded shares they picked up in February might be close to being sold but do they have more pre funded warrants ?? They are probably trying o get rid of those and as the stock price moves up they can start getting those 82 million warrants at .08 cents .With the new company taking over new products new CEO and a Revenue generating company we will see if the stock value moves up as im sure they will be putting out a lot of info on the new company . It sounded like Core Optics had re-focused the company to be more profitable lfor instance Dr Kim said they shifted to the auto industry from smartphones because there is more revenue there. He added they had a , " our Next money maker " statement in there not sure which tech it was but i think they will grow the company CCM product line from where it was with isMedia .
I try to look at it as if Core Optics was going public for the first time and they showed their first quarterly revenue was going to 10 to 15 million dollars as a publically trsded compnay and their profit margins as Matt Kappers said are , " good profit margins " then where should the stock be trsding ?? One company where Matt Kappers sits on the board called Amplitech made 20 million in 2022 for the whole year and they trade at 1.90 last i looked .Though it is on the Nasdaq So if CRTG will now make 10 plus million in one quarter we should be much much higher than 2 cents.
Im not seeing a R/S anytime earlier on . Lets take a practicle look at this . The Coretec Group as a result of this merger could has revenue now of 10 to 15 million dollars a quarter or 40 to 60 million anually with this new product line and merger . The isMedia company , a public company ,from whom this product line was purchased made something like 40 to 58 million anually ( excluding the pandemic year which was lower ) with the same product line which from what i here from the new company members might be better revenue now or at the least better profit margins now . So i see the potential of the stock trading at more fair levels with that kind of revenue . isMedia trade from 5 bucs at the 2017 IPO to over 30 bucs but mainly from 2 to 18 dollars over a 5 year period until it was taken off the Korean exchange . The Coretec Group is trading as we know on the OTC market and not a big exchange here in the US or as isMedia was on the Korean exchange but even with a limited amount of exposure to a broader investment community as is the case when trading on the OTC as investors tend to stay way from penny OTC stocks , but even though we trade on the OTC market i believe the revenue numbers and partnerships and perhaps new purchase orders and newer partnership announcements could push this stock price much much higher than 2 cents . So i believe the company will wait to see how well we trade on the OTC market and see where we go stock price wise which i think in time could be much higher as history has showed us i can do and should do now . After the close of the merger the company should be doing a lot of awareness marketing and announcements and letting the investment community know about the new company and just what they have in every area of business

As motivated as the 2 companies are I think they are working quickly through this process and it won't be to long to close . Matt Rappers referred to needing to just do some due diligence not sure how he worded it but I get the feeling they are close . Since one company The Coretec group will really benefit from the revenue and probably extra cash I would say they are going as fast as they can to get to close. Like to see it by end of month .

isMedia has public financials out there to look at if you want to see what kind of revenue they generated since 2017 when they went public with this product line .its public info because they were a publically trade company in Korea ..You can search out XBRL filings on this public web site . It should'nt be to long as you pointed out we will see the new consolidated companies business dealing and filings and business updates
As you know this product line Core Optics purchased was isMedia since 2002. They sold 8600 machines since then and those machines generated isMedias revenue ... as they were on assembly lines testing , inspecting and evaluating CCMs for other companies through agreements !! The Best is yet to come !!

On February 12, 2024 an investor provided notice of cashless exercise for pre-funded warrants with a price per share of $0.0001. The warrant exercise results in an issuance of 14,861,316 common shares.
As of December 31, 2023, we had cash of $523,988 and a positive net working capital of $9,299.
There is Contract manufacturing as well Apple uses it for assembly and testing of their phones . So Core Optics has machines and software that others use to manufacture their products . This may be the way Core Optics makes continual revenue. There now way that they would let their machines and software be used to test and assemble CCMs for Auto , ToF cameras or smartphones and do the work on each CCM that goes into their product for one lifetime fee any more than someone who assembles a pizza for a companies customers ( i did it highschool ) but i got paid daily for assembling their product .could be the route they go to But im sure the new company will generate revenue each quarter for testing and assembling other companies products with their machines and software . Whatever they call the type of agreement it would be long term revenue from my understanding as long as they use The Coretec Group to test and assemble their CCM products for them every day year around . The company wont go to work everyday for free when our machines are doing the work for them . They then sell each end product with those CCMs in them like autos or phones etc and CRTG would get paid for doing their part of the production process for their products that they helped get into the consumers hands

Core optics revenue as ismedia was as high as i think 58 million annually as i recall . The filings for ismedia are out there on DART - Repository of Korea's Corporate Filings. They traded as high as 32 dollars a share when Rani Zuckerberg ( Marks sister ) took a position with isMedia . They went public in 2017 and based on charts came out at 5 dollars a share . I believe it was in 2022 they traded at 18 dollars . Having said that thier filing show they do make money annually . How CRTG will do with this line of products that Core Optics purchased from ismedia i believe can potencially be better since Dr Kim the to be new CEO of the new company has positioned them to be more invovled in the CCM auto industry space and the ToF camera module products according to Dr Kim seem to be on the verge of growth in that market .
So how does their revenue stream work Thats a great question because they obviously have made money . They do develop software that goes with these products as well im wondering if their products are licenced to a company that uses them . That exactly what The Coretec Group is talking about doing with their silicon anode material , not selling it outright but they said they could licence it which costs like a million up front in some cases and revenue yearly from that licencing agreement . Not sure how they do it but they have been producing good annual revenue under ismedia . We will know more soon . I guess we can start googling to see how tech companys make revenue from their software and machines both of which Core Optics has in their product line .

I stand corrected Joe i just thought with the barrage of posts you made maybe you were trying to discredit the deal by Core Optics and Coretec with falsities . You see that sometimes on the hub but good due diligence on your part stay with it thanks for sharing all that !! have a good day . I get it now you just didnt know at the time that Core Optics acquired the CCM product line from ismedia and that incliuded the Korean operations . I guess you though that they might just be selling / licencing ismedia products through ismedia ?? As we know now The Coretec Group under closes on the merger with Core Optics soon as share Agreement has been signed. The combined company will simply be The coretec group trading under the symbol CRTG.
Were you looking at documents ? from the DART repository of Koreas corporate filings web site ? We do know form Coretec that Core Optics purchased the CCM product line from isMedia. They sold it i believe to settle their accounting books /debt they owed .That was under the entry on ismedia called : Occurence of insolvency for debt payment . another was titled Decision on transfer of tangible assets most of that in Korean some english . In one of these documents from 12-11-2023 the amount of principle owed was 6.9 million dollars owed with interest about 7 million .Equity capital was listed under that as 38.7 billion WON or 28.9 million US dollars . ratio to equity capital was 24.03 % It looks to me they sold the CCM business to pay the debts owed and clean up their accounting problems . And we know Core Optics bought that product line . I found those under advanced search tab . I entered ismedia and on the date just put 2017 to present as they had gone public in 2017. ismedia has a shareholder meeting 3-29-24 according to documents . one entry heading was : Occurance of cause for designation as an administrative issue or delisting at the time of account settlement. If you want google DART Korean and start searching ismedia but I dont feel I should drag things over from this Korean public web site and post it anymore . It does make reference to the Korean Market info on companies . Theres all the info you need to see to make since of this to some degree . But some is in Korean and some documents are both English and Korean . There are probably 50 plus different type of documents the company for many different things . Theres a lot of info and numbers Decision of transfer of tangible assets entries... insolvency for debt entries
I think they will be able to do at least as good as isMedia did revenue wise. We can see that they 78 billion in revenue which is 58 million US . Not sure they will be on pace for that early on only time will tell where the new company has started out and we do know that they ( Core Optics ) have revenue now . Dividends would be nice. I think the number one question now is simply put , Now what will it take to see the value of the stock to rise since the value or the company will be more with revenue good profit margins which Coretec had mentioned. WE will have 90 more patents 90 !! i know i get excited to see one more filed every year or 2 and now The Coretec Group will have 90 more patents at close in one day . Thats a nice addition to their family of patents !
10K should be out at any time it came out march 17th last year .We will see how much cash Coretec had left as of Dec 31 2023 . This deal will cost a bit attorney fees filing fees etc.. It will be interesting in time to see how much cash Core Optics brings to the merger as well probably have to wait till 2nd quarter closes . If they can close on this by the end of this quarter March 31st then all 3 months of the 2nd quarter will be a a revenue generating quarter . DD is important . isMedia and Core Optics and The Coretec group didn't merge together just the Core Optics and Coretec . The call the other day makes it clear as to how the transaction details and the transactions that took place giving time lines of communication with each other which started in late August and ending with a share exchange agreement inked march 1st. The Close of the deal coming soon . Hopefully you can listen to the call available now or read the transcript which will be out soon. Its clear that isMedia is not in this deal as a company . Its a fresh start for the new combined company Core Optics and Coretec which will soon be under one name The Coretec Group and the trading symbol CRTG who take over ownership and management of these valuable products and IP as well as control of Korean operations from the United States of American which gives the new combined company presence here in the US . Ilooked at the 2019 financials revenue as well they looked good as well i just put ismedia in the box and the dates i wanted and it brought up all the years . Some were not out there like 2023 time frame after they stopped trading they were just blank

And they had legal legal issues and from all the charts you look at isMedia 181340 .KQ stopped trading in March of 2022 . So they may have become private again and that changes reporting of income publically ?? But those legal issues could be why they dropped off the Korean exchange which could have led to financial troubles. Core Optics might have gotten a really good deal in the purchase of isMedias product line , IP and Korean operations because of all that . Core Optics was born just for that cause . Dr Kim and Core Optics knew what they were doing and why i trust their business instincts to form a company to make this purchase. I think he has probably reorganized the whole business operation and is doing well with it. We will learn more about the new companies business operations and financial condition soon enough when this merger closes.
You can look around on these financials of isMedia from 2022 and 2023 i found on DART put together by an accounting firm . The 2023 doesnt mean at lot to me . I think there was a lot going on in 2023 and i dont think isMedia was public anymore and had perhaps some problems before Core Optics purchased their product line . But it seems that even though 2023 looked to be a down year by this 2022 was a good year and i think Core Optics is doing well as they are into their first year of doing business and restructuring the company and has it up and running successfully . Remeber these numbers are in WON Korean currency . There are a lot of heading to look at . Core Optics ONLY purchased the product line of isMedia all the IP and the Korean operations etc . Core Optics did not purchase all their past problems ...those didnt come with the deal ...again just the product line , IP and subsidiaries text book definition of subsidiary is a company that is more than 50% owned by another company. Core Optics was started july 19 , 2023 as a Viginia limited liability company to make this purchase ..they know what they are doing they know what they got this ...is a very good product line and no baggage came with it !! CRTG i believe is a buy !!
At the close of the merger or before they have to designate what they do with the 10 million Series C preferred shares ..They dont have to convert them anytime soon so we will find out more at close as to the conversion event which will be set forth ia a certificate of designation ....Coretec has 284 million now pus shares that will beadded later when Armistice gets all their shares coming to them ..

The Preferred Stock is not expected to: require the payment of any dividends; include any operational covenants; or require the Company to redeem the Series C Preferred Stock. Each holder of Series C Preferred Stock is expected to be entitled to cast the number of votes equal to the number of shares of Company Common Stock into which the Series C Preferred Stock held by such holder are convertible. In addition, it is expected that all outstanding Series C Preferred Stock will be automatically converted after a mandatory conversion event, which will be set forth in a certificate of designation that the Company would file with the Secretary of the State of Oklahoma at or before the closing of the Exchange.
All this is old news I’ve seen it but knew Core Optics was created to buy the product line from isMedia . I just never shared all this past stuff that no longer applies to the new company .. share exchanged has been signed after due diligence SEC filing will take place … all is well with the company … no worries actually the opposite Core Optics and The Coretec Group now in great position to drive revenue growth with this great product line in the right hands . Looks like from the financials isMedia had about 45 million in revenue in 2022 The Coretec Group had zero revenue 80% to 20 who would expect different . We will know soon enough how much revenue CoreOptics has had to date
