Nice post Pugsie!!! The level of detail and history you provided should chase anybody away from this scammer.
In the event you or others want some more "light" research to see how much this con scams people, here is a link to the county (Hillsborough Country FL - where this con runs his operations) website which details some of the lawsuits and other legal activities against him. Not all of the entries that come up in the query are his, but you can start to look into the details (such as the TCA GLOBAL CREDIT suit) and figure out where this character has his thieving fingers into.

To ALL!!! If you continue to play this guys game, good luck. Tread carefully and if you do buy in, don't wait for the "TO THE MOON" to happen, because it WON'T. Take a modest gain (since the PR push will come and the P&D will happen) and run with it. This guy is nothing but a snake oil salesman and will say, do, and try whatever it takes to take your money.

Just came across this a little while ago. Sorry it is not more specific as far as the actual cause (other than speculation as to valuations) but this at least provides some insight as to the crazy day this has been.

Hmmm. Former SEC examiner. So was the lawyer from FLIP. So, is it safe to assume the CEO is recycling people to continue with his pilfering from the retail shareholder? Starting to look like it.
Play the pumps and run when you snag some money. That is all the SEEK/UCSO deal is good for. Long term it will be a dog just like FLIP, SEEK and any other deal this CEO engages... in IMVHO!!!
I for one am not bitching at all about what is going on. Just find it very interesting how almost an entire sector is taking a hit from the day JS reversed the Cole memo. This and other MM/MJ plays will rebound nicely and the rewards will be reaped longer term. I have taken some profits on this and will continue to profit as a long. I have all of the faith the leadership will deliver and we will all see some nice green.
I find it interesting to watch the legal side (Congress, etc) to see how all of this will unfold. I think the Govt. at this point would be foolish not to continue with the legalization given not only the number of states who are at least MM, but given the overall sentiment of the country (around 62 percent approve) should provide more than enough support to take the country to the next level and remove MJ from the current schedule.
JMO - Looking forward to a nice run.
D-
This is a beating!!! I have seen corrections, but look across all MJ/MM plays as well as stocks that are non-MM/MJ plays but are developing products and services that will be involved in MM/MJ plays. I believe if we close down again today from the previous close, this will be 5 days in a row. OUCH!!!
The questions are at this point:
Where is bottom? Obviously analyzing the company as well as charts, volume, "other factors" which drive the price.
Also, what is the DOJ (or Congress) going to do related to legalization/non-enforcement (Re: Cole memo)?
Once Congress passes the budget, depending on the amendments in there, we will have our answer.
Obviously, all of our hopes is they declass MJ as a schedule 1 which will change the game. And/or, if they don't fund the DOJ to pursue MJ, then it opens the doors back up.
In the meantime, it is hold on and wait for Washington to move. This has been one hell of a ride with a lot of money made so far, but the fruits are even bigger (and I anticipate exponentially bigger) and will make all MM/MJ players very happy.
D-
Any comments on why a good number (I am tracking 30) MM/MJ plays are in the red today? My gut says profit taking after last weeks blood bath then the run back up. Any other thoughts or ideas? (of course AG is probably up to something else - Jacka$$!!!).

He does need to "leave" as soon as possible. I can not believe he pulled the stunt he did last week. If he continues to pull this crap there is going to be a sh!t storm in front of him. And it just baffles me (other than your point of where he has his money) that the fed will not declassify MJ. Makes no sense other than the money side of it (which of course rules all).

What makes you think this is going to run that hard? After watching the blood bath yesterday and now the crazy day today (at least the start of it) I can't imagine that many investors will have confidence it that kind of run. I imagine we will see a stair step move, but a run like that seems improbable. I could be wrong and I hope I am.
At this point I am curious to see if the Session move will have any merit or if it was just a way to shake up the industry. The key will be in the budget which hopefully will be signed off in the next couple of weeks. If they fund the DOJ to pursue MJ, it will be a tough slog for the foreseeable future.
These are just my somewhat educated opinion, but I am very long all of the MJ and MM stocks and look forward to the opportunities out there.
D
So what is the name of it? With that kind of potency I would think the name is Mike Tyson. Just one hit and you are down for the count.

Hi Shell (and others),
I am not a newbie (so to speak) to trading, but getting back into the game and and working to build my knowledge of trading (I am still very much an amateur) when it comes to trading. I have played around for years and have done some light trading, but I am looking to gain more insight into understanding the companies and getting better research completed.
with that said, first, thank you to Shell for the information you have been providing. I think this company looks very good and from watching the growth of the stock and of course the most recent run makes it an exciting play. My only concern, as you had pointed out, is how the insiders are trading. I am fine with the company insiders making money, but what I am not seeing is the "typical" P&D you see with many of the small and micro cap companies.
I love the product BLO has in the works and see a ton of potential with it and of course given the state of the legalization coming mid next year in CA this can be a huge product. Along with the different states that have already legalized (both from full use and MM) the market has huge upside possibilities.
I will continue to watch this and play as more information becomes available through my research. But I do again want to thank the members of this board for the information you have provided. If/when I have something that may be useful, I will share and hopefully it will help the members of this board.
Good luck to all with this and other MJ stocks.

This is going to be another FLIP move by SG. Scrub for dollars (taken from those with a private placement or some form of large dollar direct funding who will then get a whole bunch of shares to dilute the price with), blame everybody else for the failure, then bankrupt the company. Typical move. After that, he will find some new internet venture to "focus on" and bankrupt that as well. Very predictable. He calls this a holding company? The only holding going on is shareholders holding an empty bag. This guy produces nothing other than dollars for himself. He is a pure snake oil salesman.
I completely agree with everything you stated. This character is nothing but a thief. He will say anything and everything to get money. He has not a thread of moral fiber in him. I would rate a used car salesman higher on the moral scale than this sorry excuse for a human being. If B/S is what somebody wants, there is plenty of that from him.
I, like you, feel bad for the common investor. Unless you have a written agreement with him where you are giving a convertible note, kiss your money good bye.
He sold his soul a long time ago. He did it with any venture he was ever in control of. FTS, churn and burn, dumped all of the assets, Elysium the same way. Just a complete business failure who was able to con a bunch of people out of their money.
To sad!!!!
According to the UTAH Secretary of State, the company filed in April for the annual filing with the state (This is NOT the same as SEC filings, so keep that in mind.). Remember, if you read the Q or K, this is a UTAH company and NOT a Florida Corp. That is the beauty of our legal system. You can set up shop in one state, but actually be run (on paper) from another state. It allows companies that are not shareholder friendly to register in states that favor the business owner and take power from the shareholders. Who is loving lawyers more and more each day!!! :)
Here is a link to the filing information.

Here is a link to the search page, so if the previous link does not work, just type in thedirectory (one word) and you will see the link pop up to get to the same filing information.

But, none the less, this is still a scam. Nothing is going to come to fruition with this character. He is all about lying, cheating, deceiving, and taking from whomever whatever he can. Straight up, he is a common thief. He just hides behind a door and a desk to to his dirty work.

Fickle? Just because they are following the same EXACT trends as other companies across stinky pinky land, with some of those companies offering similar or the same product, and those same companies are announcing reverse splits, change of accountants, late or non existent filings gives damn good reason to question what THIS company is doing.
We have seen the share price plummet and still nothing to report or show any achievements. Hmmmm, sounds pretty stinky and fishy to me. But hey, the TRUE facts we have seen or not seen, should lend to the fact this is looking like just another stinky pinky. Remember, buy the management, not the product. This management has not proven anything.
JMVHO
Since the 10K STILL has not been filed I reached out to the IR team to see what is going on. Well, here is the response I received. If this does not smell of scam just like other stinky pinky stocks, I don't know what does. It's following the same pattern as other stinky pinky stocks.
Mr. XXX, (omitted by me for this post)
The Company is very aware of the importance of its SEC filing requirements and is doing everything necessary to file more timely. However, we have recently changed auditors, which we consider to be a significant upgrade on a going forward basis, and are at their mercy as they apply the final testing procedures for the final audit.
We expect to have the 10K out as expeditiously as possible and have taken a series of proactive measures to ensure timely financial filings in the future.
I hope this helps in answering your questions and concerns.

Use your own judgement on this folks, but as I stated earlier, it wreaks of bad...
JMVHO
The CEO is doing the same as he did with FTS. He has reached the end of his financing options, has cleared out the bank accounts and hiding the money, now is selling the assets. Same as with FTS. Game over! Turn out the lights!!!
This dude has zero vision and ability to run a truly successful company. Yes, he has made a lot of money... For himself. Just another crappy stinky pinky lying scamming CEO.
People like this CEO need to be used in an experiment testing E=MC2.
All this CEO does is show how desperate he is for wealth. He has ZERO ambition to do anything other than flat out lie to investors, betray anybody and everybody, and all in the name of money.
How many CPAs has be burned through in the last NINE months? How about in the last two ventures he was involved with? (I don't say that he ran the companies since a chimp could do what he did by running the companies (FLIP, EYSM/SEEK etc) into the ground.
He has zero business skills other than lying and stealing. He is one of the saddest excuses for a human being.
IMVHYIO
The additional shares were "voted on by the majority of shareholders" which basically excludes most if not all of the retail shareholders.
Link to the 8K
www.sec.gov/Archives/edgar/data/1122130/000101968715000098/thedirectory_8k.htm
Here is an excerpt from the filing by SEEK's crooked CEO...
ITEM 5.07. Submission of Matters to a Vote of Security Holders.
The 8K which this was pulled from, was filed on Dec. 26th.
On November 13, 2014, the holders of a majority of the voting power of our outstanding capital stock have executed a Written Consent in Lieu of a Meeting of Stockholders (the “Written Consent”) approving an amendment to our Restated Articles of Incorporation, as amended, to increase the number of authorized shares, $0.001 par value per share, from a total number of 6,001,200,000 shares to a total number of 30,001,200,000 shares. A Notice of Shareholder Action Taken by Written Consent was furnished to the Company’s stockholders pursuant to Section 14(c) of the Securities Exchange Act of 1934.
Don't you mean all of the top line revenue that filters through the SGA account and into the CEO's "preferred" accounts? Maybe offshore, maybe somebody close to the CEO helps to "protect" the assets. And of course, the dilution of stock occurs and all of the parties involved in those transactions where they have a signed agreement to receive share in lieu of revenue turned positive cash flow get their money and all of the snake oil salesmen involved are happy.
Hmmmmm...
Thanks for the compliment, and yes, this is spot on. There is a bit of rambling going on, but the key points are called out along with the CEO's inability to run a business.
Too bad this board system does not have the ability to "push" a link from a post to another board. I know you can copy and paste a link into a post on another board, but for quick alerting, a push function would help spread the word much faster. I hope people do perform proper DD when looking at anything this joker offers. They will find nothing but bad news and regret about this guy.
Anyway, I do hope this CEO experiences what he deserves (which is nothing good at all) and winds up on the receiving end of an experiment which test e=mc2.
The CEOs MO has ALWAYS been the same. Borrow assets (make agreements to "purchase" something and build it out), milk out as much money as he can with the intent to invest the bare minimum to "keep the lights on" and then once the market starts to dry up, flush the whole thing down the toilet, default on payments, use stock to pay as much as he can, then filter the money to some other venture, hmmmmmm, maybe offshore??? (tongue in cheek about the offshore part).
As part of his buying scheme, he borrows millions with the "intent" to pay it back with cash, but has gotten wise starting with his FTS Group (another failed venture) days to pay back the VCs with stock and of course leaving the retail holder, well, holding the proverbial bag.
The CEO will never build anything of true value because he is ONLY concerned with himself and does not care about making something that may grow into a much bigger venture. He does not have the true business skills other than a skill of a snake oil salesman.
It is too bad. I liken the internet to the auto industry. Yep, there are only really a few key players in auto now compared to what when the industry really started to ramp up in the early 1900. We will see a similar shakeout of the internet as it matures over the coming decades as we did with the auto industry (there have been a total of about 1700 auto players of different sizes and styles that have come and gone and some still remaining) but the online world is so young and ripe with opportunity, but this gabronie will never have the skills to figure it out and make true lasting company that can make a difference.
Just anther sad case of greed. Don't get me wrong, as GG said, greed is good... But, this dope is no GG and doesn't have the sense to get out of his own way. He just stays in other people's way and picks their pockets as they try to pass.
All if this of course...
JMVHO
I am quite certain the CEO is drawing much more than 100K from the company. HOWEVER, it is not on the Salary line. There is an account called SGA which is a "black hole" to us but a place where most of the pinky CEOs like to "manage". Also, look at consulting agreements line item. This may not be as egregious, but none-the-less, a way to redirect funds without a lot of scrutiny. Maybe those two line items may be the reason why the change in accounting firm... AGAIN!!!
As I have stated, this guy is just looking to pump money out of the company and not really put forth the effort needed to make the venture that is profitable for ALL shareholders.
Now that his printing press is running dry, he will need to find other financing means to deliver more shares to, while he bankrolls many many more dollars over the 100K mark.
Of course... JMVHO
This character, SG, has a habit of not paying payroll taxes. If you search both pinellas county as well as hillsborough county florida web sites and the clerks of the courts sites specifically, he has payroll liens from the irs from his previous company as well.
This is just another chapter in a saga written by a scam artist that is ONLY looking out for himself with no real care about retail shareholder value.

Second, Scott MUST keep his hands off of the " printing press " in his basement. The share structure can NOT take any more stress from his borrowing from Peter to pay Paul. That logic MUST stop because IT NEVER WORKS.......IMHO!
Scott will NEVER leave his hands off the printing press. Why would he up the authorized? Yes, the financing docs probably dictated such, however, he will never have any intention to pay back the lenders with anything other than his free wheeling ability to cut huge chunks of authorized shares to meet the commitment... IMVHO!!!
Thanks for that video post. This is one product I can not wait to get my hands on. I LOVE the idea of one card and having the protection it provides is incredible. This is very exciting and anybody that has sense will buy not only the product, but the stock as well. And yes, I am long on this stock and a firm believer in the future of this company.
Onward and upward.
D-
Did anybody make it out to CES to see the product? I am curious about the simplicity of usability and if you were able to ask any questions.
As for the stock offering. As of the last Q, they had 5mm in cash which was a significant change from the previous Q. Was that a loan which is effected by a possible stock conversion?
