I have reached my limit as to how much involvement I can tolerate with this company...there is a 90 period to this process for future bids and closing...we will see what comes of it but if nothing else each share is worth at least .20-.25.
Just contacted company....THERE WILL BE NO ISSUANCE OF NEW STOCK...the current shares will be the converted into shares of the new company if passed
The company has stated that the vote will be for either distribution of leftover funds or conversion of old stock into the new company...this was reiterated when I called the or firm

What is interesting is that the total share count of the Zapata has of the final company will be a lot less because the final imsc count will be 78 million which will make up 40 percent, Zapata will add an additional 120 million for its 60 percent for a total of 200 million shares...doesn't sound like pp will be around

Tcm when I spoke to the company, he seemed to imply that the new standards will include a standard for the handheld which the company has a new version of...if that handheld is approved and chosen I wonder what the market is for that...it has to be in the hundreds of millions

Liscouski stated again that DMRJ has informed the company that they would not be waiving the 4.99% block. They have to give a 60 day notice to do so and have stated they do not intend to do that, that can always change I guess. That being said, IMSC, has to go on the idea that they have to convince 61% of the shareholders that Zapata is a good idea, the only way to do that is to seen the stock price rise into the transaction date. According to the 8K, Zapata can start talking to other companies starting 10/15/16, so things have to be taken care of before then.
There are those here that really want your shares on the cheap.

If you listen to the cc again Mcgann talks about acquiring a couple of other companies down the road...is he and the crew staying on...my question is if he sold ion track for 500 million and that was old technology, why would we sell the newest technology for anything less than that?

I agree z, with current contracts, ip for new hand held that is done but not yet marketed, top of class technology patents, tsa/government connection and competitive advantage to the acquiring eds company, I would not be surprised to see it sell above 250 million
The company is waiting on impactful contract results...I will trust the 8k vs your knowledge of a tsa contract timeline.

Had a chance to listen to the CC.
Here is what I got out of the CC.
In regards to ETD:
1. The company has attempted without success to solve their capital structure in the past. At this time they don't see given their capital structure and the changing ETD space, that the ETD business as being able to solve that capital structure on a stand alone basis. As such they are in negotiations with up to 10 companies regarding a possible sale.
2. In regards to the sale, they see a very strong 2017 fiscal year and as stated before, these contracts, depending on their outcome can and may affect those negotiations. McGann did state that he is more confident now of that strong 2017 outlook compared to 3 months ago.
3. Of note, DMRJ has 5% vote, the common shareholders have the rest of the vote to decide what to do with the procedes. The company needs 67% of any vote to move forward with a plan of action.
4. ALL ETD business will be sold, including IP.
5. McGann still believes that ETD business will have double digit growth trajectory.
In regards to Zapata:
1. It is a successful profitable business with recognition for its water propulsion systems in recreation. That business venture will continue to progress.
2. IMSC would provide access to DOD/military. There are already verticals in the military, ie medivac, transport. It is not ETD related, but Licouski sees the same pathway for this technology as for drones and robotics. Military is usually the first entity to adopt the technology and it is a billion dollar market.
3. He states that the technology has a high TRL (as mentioned by another poster)
At the end of the day, the common shareholders will vote for where the company's future goes. I think it was an excellent CC and really appreciated it. I still think that the final sale price of the ETD business may surprise some for the better and then we vote. All this chatter should stop by the end of september as the LOI with Zapata is valid up to 10/15/16.
