I spotted this in note 13 on MLXO's last Q - it made me bail when I was last in - when it was MLXOV. I don't know the timing of when they would sell the equity.

In August and November of 2004, the Company agreed to issue $300,000 and $150,000 respectively of 12% Secured Convertible Debentures ("Convertible Debentures"). The Convertible Debentures will be due on November 30, 2005 and may be prepaid in whole at any time after giving 20 days advance notice. The holders of the Convertible Debentures may elect at any time to convert the principle balance due into shares of the Company's common stock at the lesser of $.1875 per share or 75% of the current market price at conversion. The Convertible Debentures are to be secured by a second security interest in all the Company's assets, the personal guarantees of 2 of the officers of the Company, and options to purchase 16,236,120 shares of the Company's common stock at a price of $.0001 per share in the event of a default as defined under the agreement. Additionally, the Convertible Debenture grants the Holders a warrant to purchase 50,000 shares of the Company's common stock at an exercise price of $.1875 per share and "piggy-back" registration rights. At September 30, 2004, the Company had not issued any of the Convertible Debentures. In October and November 2004, the Company issued $300,000 and $150,000 respectively of the Convertible Debentures. In November 2004, $300,000 of the debentures were converted into 1,600,000 shares of the Company's common stock at a price of $.1875 per share.

NOTE 7 PROPOSED PRIVATE PLACEMENT OF 5% CONVERTIBLE DEBENTURES
Through September 30, 2004, the Company issued $493,250 of 5% Convertible Debentures ("5% Debentures"). The 5% Debentures require the Company to issue non-restricted shares of the Company's common stock within 41 days of funding at a conversion price of $.17 per share. In the event non-restricted shares of the Company's common stock is not issued with in the 41 days, then each debenture holder is entitled to 3 shares of restricted stock for each share of non- restricted shares required under the conversion provisions of the debenture. Additionally, if the Company fails to deliver non- restricted shares of the Company's common stock to the debenture holders within one year after the first closing date, the Company shall be required to deliver additional shares of restricted stock in sufficient quantities to guarantee the holders a 45% return on their investment. The Private Placement Memorandum further grants the Placement Agent the right of first refusal on all subsequent offerings by the Company for a period of 2 years. On October 1, 2004, the Company issued the final $10,000 5% Debentures, at which time the offering was closed. The Company aggregated net proceeds of $408,865 from the offering.

Jigfish. I'm sure that someone will tell you when the dividend comes out - because shareholders always tell each other - and it becomes a big focus of excitement - as you well know. You do not need to ask the same dividend question daily, or hourly, because it just ends up being a nuisance or seen as harassment. You can make a point about the dividend - ie you don't think it will come out, you think it will come out, or you think the price might bomb if everyone sells etc etc.

OT: Navy - I'm inclined to believe that the Broker is just a friend of Jigs - and is just old fashioned about friendship. Apart from his HQNT obsession, Jig is probably OK - and may be right on a lot of his hqnt points, as well as wrong. There is so little info at the moment that its hard for all.
However, it will come down to a judegemnt call about whether you trust the Broker or not. Different people will make different decisions about it.

People can make up their own minds about your views on the OHIO judgement and what you would have said at the time - judging from what you have already said, and that you don't claim to be a succesful investor. Suffice to say - you did not think the stock would recover or go up after the OHIO judgement.

The stock went up very nicely after the OHIO case despite our resident Dr Gloom Jigfish predicting the end is nigh. I think someone who bought hqnt in March 04 at the $0.27 bottom could have sold at $2.70 for a 10 bagger.

Is the RAO result on Pacer yet?
Be interesting to see how HQNT reacts to the Rao case once the verdict is announced. If it is a loss, I guess they will post a bond, and then fight the case in a retrial. The company will probably go on. Be interesting to see how strong their balance sheet really is:

Bob - as regards HQSM - I noticed that 15 million shares became available to sell. Do you think these guys will sell.
Also, they have high bad debts. Do you think that these bad debts will affect the earnings per share in the 10K as they come out of profit. I was worried that production stopped for reconstruction. Has this reconstruction finished?

"Provision for bad and doubtful debts increased by $954,943 or 168% from $568,388 to $1,523,331 as compared to corresponding period of the prior year. Since production ceased for reconstruction, we could not supply goods to our customers. Some customers refused to pay their debts within the normal trading terms. According to the provision method previously adopted, a further provision for bad debts was needed. However, most of the trade receivables that were classified as non-recoverable were recovered in the current period and presented in other income."

NOTE 8 - SUBSEQUENT EVENTS (Convertible Note)
In connection with the acquisition of Jiahua Marine Bio Products, the Company issued a note payable to the seller in the amount of $11,111,345. The note, dated August 17, 2004, was renegotiated and is convertible into 15,730,493 shares of common stock and 100,000 shares of preferred stock of the Company. In addition, all accrued interest will be paid through the date of the conversion. The conversion is expected to occur on or about November 14, 2004.
