They don't need our votes but they need to hold a vote. Even if they have enough preferred so that they don't need a single shareholder to vote yes, they still need a vote to be held.
When did they recommend it to shareholders? And don't say in that last filing, because the filing says it has already been recommended to shareholders.
If this is the case, where they completely screwed us and the CEOs sold us out.... Then what did Dugan and Romano get out of it?
There was no cash transfer. Only share transfer. Looks to me like they would get nothing for transferring EXOL into SPPC hands. You say they are dumping their shares, but that means they are selling at this crappy pps. They didn't have to sell us out to sell their shares. And they could have sold at a better pps.
Can anybody tell me what Romano and Dugan get out of this if it is the worst case scenario?
I understand that is the case for some stocks. I would have to double check for EXOL. However my point still stands that we were given no recommendation as is stated in the filing.
I believe the rule is that they can only rs without notice, if the AS gets reduced by the same amount. Otherwise a vote by shareholders is required. I also believe the without notice option does not keep you compliant with being current.
Exactly. When were we recommended the split? Didn't happen, so SPPC must have been told by their bod.

I agree with pretty much everything you said there. The way things are written, it is very confusing, doesn't make any sense, and has quite a bit of ambiguity in it.
And a main thing out of that is the statement that the board of directors has recommended the split to shareholders. Nobody let us know so this makes me wonder if it is SPPC that will be doing the split?
Yah, by EOD Monday might be too late to sell. I'm just mentioning that if we don't see a 10Q by then that that will be enough for me to accept it is over.
So what was the final info that you got from the people at SPPS?
I am still holding and it currently feels like we just got screwed. However, there are many confusing aspects about the acquisition. If a few things are being misunderstood about the filing, then we could be ok, but that is a big if. We need clarification and we need to see the 10q.
I can tell you that if we don't see the 10Q by EOD on Monday, then it is officially over.

This filing is extremely confusing.
It says EXOL is acquiring SPPC. It also says this:

I took a quick look at their latest news releases, and looks like they have several city contracts. And if those contracts are like most city contracts, they are quite lucrative.
Yes, with all of the conversions of SPPC shares to EXOL shares, it obviously increases the OS, but at the same time we have acquired a new business, and thus increased revenues.
If the deal was done properly, it should initially be a zero sum game for shareholders of EXOL and SPPC (increased assets and revenues cancels out the more shares in joined company).

Not being official yet should not be a problem as the clarification we require has to do with the terms of the agreement, and this is no public information (that we need clarification on).

When I saw somebody say filing out I was expecting the 10Q. This is great. Announce an acquisition and then later that day, or on Monday produce the 10Q stating you have doubled or tripled revenues.

Interesting, 0.0001 stock buys out another 0.0001 stock. Resulting in the stock being bought (AMHD) sky rocketing and getting crazy volume, and the buyer (UNGS) still sitting at 0.0001?

If it doesn't come today, then I don't want it to come until Monday. Will cause speculation over the weekend, and will be able to run all week (without the weekend having the chance of killing any momentum.

If it wasn't a hidden amount, it could be retail with a small bid (I know that my broker uses CDEL most of the time), but I don't think it is.
IMO, this is the a-hole CDEL who has been trying to bring the pps down. Now they are on the bid, so they will be acting to get the price??????? UP!

Likely will be filed by the end of this week. Latest next Monday I suppose.
On the ask is 0.0041, next up is 0.0054. When the 10Q hits, EXOL is thin and can run hard.

Are there seriously enough investors that can't deal with the delayed 10Q. An NT-10Q was filed. The 10Q is coming. According to past history, should be filed by end of week at the latest.
And that million bid just got pulled.
Hopefully we still close mid 0.004s.

For those who doubt the manipulation that CDEL is attempting (and for those who think they actually want to sell their shares), I submit you exhibit A:
As of 1:25 pm today, CDEL had 500k on the ask at 0.0048. At exactly 1:25 pm and 6 seconds, a 1k buy went through at the ask. With this 1k buy, CDEL dropped the entire 500k and ran away to 0.005. CDEL does not want to sell their shares. When you see CDEL on the ask with a large block, don't worry, just buy 1 share at the ask lol.
CDEL is giving it one last shot.
