I think they trying to get some distance between themselves and all of those judgements and liens. The liens are still good but most likely the creditors will have to renew the judgements under the new name. In the meanwhile, unsuspecting investors may jump in thinking that there are no liens. Due Diligence takes on a completely new meaning.
According to my study of the situation, "Good Standing" only means that the yearly franchise tax has been paid. Do not assume anything else. It says nothing about the other issues we are all interested in.
Well, there are already questions arising from the little dab that we have looked at so far:
A couple of years ago, Opie hired "Little Asa" (The Governor's son) to be his lawyer. When we had the shareholder's meeting, it was hosted by Asa. What has been filed has taken forever, and personally I am not sure that Opie really is out of the picture. But, Cuntetta is now allegedly the top dog.
Highline was and under SPO networks, still is an Idaho Corporation. It was registered in Arkansas as a "foreign" corp. That is standard practice in all states, to register the other state's corporations so that they can do business in the state.
BUT, go to the Arkansas Sec of State site and we see that Mel Robinson is still there but the top dog is Cuntetta and Corbett, who I think I remember lives in Rhode Island, is the secretary. The name is still Highline and is registered as a foreign corporation from Idaho. No mention of SPO Networks.
This is where it takes a new twist in that Tom Smith, the supposed majority investor, went to Debra Winters, a lawyer in Fayetteville, AR who, according to her web site, specializes in intellectual property law, and a hodge podge of other things, and had her prepare a filing for a "domestic" corporation called SPO Networks, Inc which has 100 shares of stock. However, it was filed with the Colorado Secretary of State making SPO Networks a Colorado Corporation with its offices in Lowell, AR. (I trust that everyone's "scam-dar" is going off loudly sounding the alarm) A trip to http://www.sos.state.co.us/biz/BusinessEntityDetail.do?quitButtonDestination=BusinessEntityResults&nameTyp=ENT&entityId2=20161733267&srchTyp=ENTITY&fileId=20161733267&masterFileId=20161733267 shows that it is a Colorado Domestic Corporation, not a foreign Corporation being registered. The question is whether this is what was intended or did the person submitting the filing (Tom Smith according to the document) screw the pooch when filing and chose Colorado by error instead of Arkansas. One thing is for sure and that is that if it is a Colorado domestic corporation it needs at least a mailing address in Colorado which I do not see anywhere.
So, is this a step in the direction of its predecessors to attempt to confound creditors by making the path to who owes money difficult to track. Surprise, surprise, surprise ... changing the name will not make any liens go away. Maybe he wants his new corporation to "buy" whatever is left of the assets of HLNT corporation and begin anew. We shall see but for now I smell a very large rat.
How so? Any prognostications?
Someone must have a pretty thin skin. I did not see a personal attack in that. Perhaps a grouse about this company scamming investors but personal?
So will this board change name or will this board cease with all of its research and history and another baby board be born?
Now that is interesting. Is someone trying to make the Idaho corp a Colorado corp? Or are there two of them? This is the third time that they have gone through this same plan. Looks like a scam to me. First there were two "Systems Evolution". then two "Highline Technical Innovations" and now two SPO. WTF?
Yes, that was the problem with Cuntetta. He was supposed to be the super-salesman, but in his entire history with HLNT, he never sold the first one. What a talent! He did, however, soak up money ...
That is the point: The AR SOS did not have Cuntetta listed till a few days ago and the address of the agent was different. So why would they update part of it and not all of it? My guess is that Coats, Robinson, Foster are all part of this scam and should be able to beat Hillary to prison, IMHO. Their problem is that they cannot remember one lie to the next and repeat where they should not.
The fact that Deslongchamps is involved tells me that he is trying to recoup the money he invested back when the settlement with Price Waterhouse was announced. As I recall he was the money behind the "joint venture". that owned most of the stuff that was HLNT anyway, did he not?
Now here is something interesting, filed on Nov 8 as we were voting:
https://www.accessidaho.org/public/sos/corp/C39899.html
New CEO and directors, but GUESS WHAT? It is the same people. Cuntetta is the CEO, Deslongchamps is the board member, and Corbett is in the mix as the secretary (look back on the list of players to see what her role was ...) There is NO Tom Smith, and the three are all from a little piece of the world between Boston and Rhode Island. Nothing to do with Arkansas except a PO Box address in Lowell, AR and a phone number that Google says belongs to "Hastings Books and Videos".
The Arkansas Secretary of State lists the officers as Cunetta and WHOA ... Mel Robinson! The address on that is in Farmington, AR right where it has been for years. The address for the agent for service is a bakery in Bentonville. WTF?
Same players and same game. And where Cunetta is, Opie is ... no changes at all here except for 10B shares and silly-assed games.
Here comes the P&D I am sure.
OOH, I really believe that one!
NOT!
It makes perfect sense ...
I agree completely, but damn, I don't have shoes to match this purple color I am turning from holding my breath!
The only thing that I see in that PR is that they, whomever they are (I have not seen anything that would indicate anyone other than Opie and crew), are going to sell those shares, all 10 billion of them, to pay bills. The only indication of any sales potential is a product that even the experts at Aberdeen said did not work, but it is a "new" product? Give me a break, snake oil is still snake oil no matter what you call it, and all of my snakes have been sufficiently oiled, thank you very much!
Someone must be watching. That SPO page no longer says anything about Highline. Was it a pooch screw or was it an intentional mislead?
Agreed
Heck of a statement.
And it made some a lot of money. I am sure that Opie did not come up with that tax money out of his own pocket. All of that new website crap, all of that new business crap, in short all of this has been a lie from the get-go and so far Opie has gotten away with it. Hillary has nothing on this boy. Why is HE not in jail already?
And the decline continues. .0003 now. What a winner Opie was and is. Perhaps the fictional Tom Smith is nothing more than truly fictional?
casa ... We have seen a lot of promises here. 100M in sales when it looked like something might really happen turned out to be 0.00 in sales. Results at Aberdeen proving ground? HA! Now we have a promise of a new web site that is nothing more than a splash screen landing spot. By the information in the proxy, a NEW web site should already be up and running. I don't know if some new sucker is putting money in this company or not, but it would be really nice if something other than a screw job was taking place. So far there is no information to the contrary. So, if you have some, lets hear it and lets see some back-up, please. Financials and a removal of the stop sign would also be nice.
So, is Opie just looking for more trips to islands to see his mail-order girlfriend at our expense or what?
If you are that close to the heartbeat, please share. Who is on the board now?
An interesting observation is that even the "cheerleading" site is silent. Normally they would be buzzing with hype and wishes ...
I must admit that I am truly surprised at the deafening silence. I was really expecting more. All of the liens are still right where they were, and no comment from anyone that was actually there or who is in a position to verify anything, just second hand BS. Perhaps I should look into having my share certificates framed for the artistic value of the certificates? I can hang them next to my World-Com or Enron share certificates? Then whoever came in would know that I seem to be overqualified in picking losers and scams?
Is it run by the company or by some pumpster that just wants a profit on shares?
Oh well, I guess I am not particularly computer savvy ... what was the change? Anything of note?
I guess that we will find out what "as soon as is reasonably
practicable after the special meeting" means. Any guesses?
I was not able to attend, but my source that was there told me that there was only 8 people there including the company's lawyer. Not well attended for sure. I think that lunch was probably enough to make that few people smile. I was told that the investor was not there.
Now here is something you don't see every day ...
A while back, Opie changed the address to P.O. Box 1893 Lowell, AR 72745. If you do a google on that address, here is where it leads:
http://www.redline.me/
Could this be our new business? Hopefully sans Opie?
Thank you.
Bakersson ... Does your notice say when and where this meeting is to be held? I think that I would like to attend if I can.
I own a ton of shares and I have not gotten the proxy. Ameritrade tells me that they are not aware of any ... WTF? Is this just Opie with the latest pooch screw?
Would someone be so kind as to post a link to this Notice?
Perhaps I don't have as full of an understanding as you do, but with an Arkansas address, it has to be registered as a foreign corp in Arkansas. It is so registered but with the same old Farmington address. What I do understand only too well is that Opie is a liar and a thief. What more is there or does there need to be?
Interesting but not very ... He changed it in Idaho but Arkansas still has it listed as Farmington, AR.
http://www.sos.arkansas.gov/corps/search_corps.php?DETAIL=351574&corp_type_id=&corp_name=highline&agent_search=&agent_city=&agent_state=&filing_number=&cmd=
Wrong! It still lists the Farmington address.
