Beware if the company claims to be an industry leader (do you really think a penny stock can be a leader in anything except possibly scams?) or has made a breakthrough discovery. A company with legitimate breakthrough technology is unlikely to be promoting itself on the penny stock market and will most likely have funding available to it within a variety of partnerships with major companies. These same companies will not likely be interested in dealing with a penny stock company. Also, question the likelihood of a fairly new company being the leader in anything other than schemes.

For some reason, dupes consider the announcement of a cancellation of shares or share buyback programs to be signs of authenticity of the insiders' intentions. Insiders will announce these programs part and parcel with a pump and dump scheme.
The cancellation of shares, usually involving an insider's return of some of his common stock to the company treasury, is usually meaningless because the insider(s) will never give back enough stock to relinquish control of the company. And as along as the insider(s) have control, they are free to reissue themselves stock under a number of schemes, once they have sold enough to put their control in peril. They also probably hold enough preferred shares, options and warrants to give themselves all the future shares they want.
Share buyback programs are usually announced with caveats such, "at the discretion of the board" and "from time to time", meaning they might buy stock when they want, at the price they want and as many shares as they feel like. There has yet to be a significant buyback program carried out on the penny stock market.
A typical pump-and-dump scheme involves somebody making falsely optimistic claims (the pump) via a press release or an e-mail about a shell company whose shares trade for a few cents. Unsuspecting investors buy the "penny stock," causing its price to double, triple or more. Then, scamsters sell shares (the dump) at a profit, leaving other investors holding what turns out to be nearly worthless stock.

Be wary of frequent changes to a company's name or business focus. Name changes and the potential for manipulation often go hand in hand. If the company files periodic reports, you can search changes in a company name or business focus in the SEC's EDGAR database. Internet searches may also turn up this information.
Check for mammoth reverse stock splits. A reverse stock split reduces the number of shares outstanding and increases the price per share without changing the total economic value of the shares. A company might perform a reverse stock split with a 1-for-5 or similar ratio (in an effort to meet minimum bid price requirements for continued listing on an exchange). A dormant shell company, on the other hand, might carry out a 1-for-20,000 or even 1-for-50,000 reverse split. This may be done to inflate the price of the stock. I am sorry if in some way I let you down. That was never my intention when I came on board Quasar. I hoped to help take that company to the next level and at my own expense moved to Florida to help facilitate that.
I left Quasar because I did not agree with the way business was being run, or not being run depending on the way you look at it. All the aviation assets, (aircraft) except the Piper Arrow were sold. The Cessna pilot training center endorsement was cancelled in December of last year by Cessna. The 141 training center still has not been relocated and inspected by the FAA. There were debts and taxes due. While I was there I had not been paid. I cannot say where Quasar funds were being allocated as I never saw the books or accounting. And I saw no personal future. After discussions with my family I decided to leave in March to pursue other opportunities.
