Martin Nutraceutical Inc. commented on a recent report from the National Institute of Arthritis and Musculoskeletal and Skin Diseases, which reported that one in seven Americans suffer from some sort of Arthritic pain. It is estimated that over 40% of North Americans suffer from severe disabling of the joints or muscle pain that severely affects their quality of life.
Currently in North America, over $3.9 billion is spent on over the counter and prescription medication for arthritis, joint and muscle related pain. Many of these products come with serious and even deadly side effects, most recently cited: VIOXX and other Non-Steroidal Anti-Inflammatory drugs.
Last Year, North Americans spent approximately $400 million on Glucosamine supplements that have proven to reduce pain, but only in large joints such as the knee and the hip. Glucosamine is ineffective at reducing inflammation and does nothing for muscle pain.

While I have great respect for Joe's opinion, others here bring up very valid and interesting points that put a very positive spin on this financing. I believe NEOM has come to a crossroad and the decision to go forward with Cornel financing will either make or break NEOM in the next 12 months. I have a feeling we'll know whether it's a sign of impending death or intense jubilation within the next 1-3 months. I have to say, I'm quite excited about the future and IMO the odds are in favor of NEOM's success.
Bottom line...this is an OTC stock and if an investor doesn't have $$ to lose then 'they' should stay away from the OTC.

NeoGenomics, Inc. Announces Agreement for up to $1.5 million in Debt Financing from Aspen Select Healthcare, LP
Tuesday March 29, 10:13 am ET
FORT MYERS, Fla.--(BUSINESS WIRE)--March 29, 2005--NeoGenomics, Inc (OTC BB: NGNM - News) announced today that it has entered into an agreement with Aspen Select Healthcare, LP (formerly known as MVP 3, LP or "MVP") which will provide new funding for the Company's business plan and repay existing indebtedness. Under the terms of the agreements, Aspen Select Healthcare, LP ("Aspen"), a Naples, Florida-based private investment fund which is controlled by Steven Jones, a Director of NeoGenomics, Inc., will make available up to $1.5 million of debt financing in the form of a revolving credit facility (the "Credit Facility"). The Credit Facility, which has an initial maturity of March 31, 2007, refinances the Company's existing indebtedness of $740,000 owed to MVP 3, which was due on March 31, 2005, and provides for additional availability of up to another $760,000. Aspen is managed by its General Partner, Medical Venture Partners, LLC.

Under the terms of the Credit Facility, the Company will be able to borrow up to 80% of its accounts receivable that are less than 90 days old, 50% of its net property, plant and equipment balance, and up to $500,000 on an unsecured basis currently, and an additional $500,000 on or before April 30, 2005. The interest rate on the Credit Facility is prime plus 600 basis points, payable monthly in arrears. As part of the transaction, the Company has also issued to Aspen a five year Warrant to purchase 2,500,000 shares of its common stock at an exercise price of $0.50/share.
As part of this transaction, NeoGenomics, Dr. Michael Dent (the Chairman of NeoGenomics), Aspen and certain other individual shareholders have amended and restated their shareholders agreement in order to provide that Aspen will have the right to appoint up to three of seven directors of the Company and one mutually acceptable independent director. The Company also announced that Mr. John E. Elliott and Mr. Lawrence R. Kuhnert had tendered their resignations as directors of the Company as part of these transactions. Messrs Elliott and Kuhnert had served as directors appointed by MVP 3 from the initial transaction in April 2003, and are no longer affiliated with MVP 3 or Medical Venture Partners. Aspen intends to appoint two replacement directors within the next 30-60 days.
The Company has also entered into an amended and restated Registration Rights Agreement with Aspen and certain individual shareholders granting Aspen certain demand registration rights and all of the parties piggyback registration rights.
Robert Gasparini, the President of NeoGenomics, said, "We are delighted to have accomplished this recapitalization. We have made tremendous progress over the last three months in extending our business model into the Eastern U.S., and we believe the recapitalization gives us sufficient capital to become cash flow positive, which we expect will happen in the second half of this year."
Steven Jones, Managing Director of Medical Venture Partners and a Director of NeoGenomics, said "NeoGenomics has the right people and the right product line-up in place to begin to substantially increase revenues. The Company also announced today that it plans to file for an automatic fifteen day extension for the submission of its Form 10-KSB. The Company expects that the Form 10-KSB will be filed on or before April 15, 2005. One reason I rarely post is because I feel inferior when it comes to this technology. I’m no techy & there are so many intelligent folks here that are far more capable than I. I do my own DD but I also read, listen and learn from others.
At some point everyone must assess their personal risk tolerance, do their DD, assess management, then make a decision how much to invest & how long to hold. Back on 9/13/03 I stumbled upon NEOM and found the company to have very interesting technology/potential. I did my DD (and continue to do so…) and I feel comfortable with the risk/reward involved with NEOM.
Once my DD has been done, my investment decision then comes down to one question: “do I believe in management?” If I do then I invest, based upon the potential risk/reward. As long as I continue to believe in management & nothing changes, I hold.
So far, I see no reason to doubt the NEOM management & because of THAT, along with the below points, sited below (by other posters) that I fully agree with, I remain long with NEOM.
1)By ALYNNB on the likely Virgin settlement: "BOTH parties are in the process of EXCHANGING TERMS, and WORKING OUT A FEW DISCREPENCIES". "This, to me, sounds like a settlement in the making."
2)NEOM’s alliance with SAIC & Intel
3)JP’s opinion of management & RS: " Regarding a reverse split, I believe it will never happen.”
4)JP regarding dilution: “…the technology (once embraced by the public) will easily soak up the overhang.”
If any of these change then I’ll re-assess, until then, I’m here to stay!

My purpose was two fold:
1) I have a pacemaker and have had several battery replacement surgeries since having it implanted. I'm due for another replacement within the next year or so and want to benefit from BIPH's MRI safe technology. I want to be able to have an MRI in the future if needed. Manufacturers need to know that those of us who have implanted devices ARE concerned about not being able to have an MRI.
2) As a shareholder, I want all manufacturers to know about Biophan and it's portfolio of technologies.
That being said...I received several responses from manufacturers stating that they appreciated my concerns... but I thought the exerpt below, from a reply from Biotronik was interesting and felt I should share with everyone:

It sure sends a negative message to shareholders. I know Chaz might feel he doesn't need to explain why he is selling but possibly someone could send him an e-mail and ask, it never hurts to ask...IMO it WOULDN'T be a good idea for 'us' to flood him with e-mails but maybe someone (like JP)could kindly ask, with a carefully worded e-mail. Wooger, LOVE your optimism! I checked PPS around 2:30 NEOM was about 'even'. I just saw the closing PPS, I thought It was a typo. If there's news in the AM, I believe we'll surpass the 52 week high and if the news is BIG then I'd say JP is right, it's 'lit'/eom
Minus any of TS'"catalysts to watch" (noted below per a previous post) I imagine we'll stay in the .20 -.30 range BUT if any/all of the following occur, I wouldn't be surprised to see $10.00+. I do believe we'll see one or more of the following in 2005 so my official GUESS is....$8.00

Movie, very well spoken/written! I've been long since 9/2003 and holding for the 'BIG' one, which IMHO will happen, it's only a matter of time. I've yet to sell even one share and will not sell any, likely for many years. Anyone satisfied with .30 should have sold last week, for me, I'm unlikely to sell till PPS is $10+. These normal rises & falls are meaningless minus BIG news.
For those who remember me, I'm still reading but have been unable to post due to a job change and wife's health problems. I truly appreciate your posts along with other longs such as JP, Success, Koko, yellowjacket & personalizit. Thanks and GO NEOM!!

Seems to me that NEOM is getting way behind in this 'race' after leading the pack last year. What's going on here? I only hold 100k but am starting to get a little antsy. I anxiously await meeting feedback from our eyes & ears.

I honestly believe within the next 6-12mo's BIPH will be trading in the $2 - $4 range and will likely be listed on AMEX or possibly NAS. I also think the current $0.93 is still a good entry point. I predict we’ll see $10 within 2-3yrs. Please, don't do anything based on my suggestion though & Good luck with whatever you decide!
I work in downtown Indy on Monument Circle. The city closed off the circle for the NHRA & drivers to show their cars. I walked out to see the CMKX car but was disappointed to find that it was not on display. This doesn't necessarily mean it wont be in the race though...
I still only hold 100K at ave PPS .089 but I add to my position whenever funds allow. I'm slowly building because I'm a true long and a believer in NEOM. NEOM is one of 3 pennies currently in my portfolio that I believe will make it BIG. The other 2 are BIPH & BSIO You might want to take a look at BIPH if you have funds available.
*Please don't buy only on my recommendations though, just a tip... GLTY & all longs!
Yellowjacket, I've been invested in NEOM since May/03. As well as JP and several others here, I found Retiredandplaying's posts (now deceased) to be most insightful. I would recommend pulling up his posts and reading thru them. I'm sure others would agree.

I sold enough back at .0011 to make a little $$ and now playing with freebies. Since I am LONG on this and because PPS started slipping, I've been focusing my efforts elsewhere (but keeping an eye on PPS). It's now been nearly a month since I read CMKX board and I feel out of the loop. Would someone be so kind as to briefly fill me in on what's happening. Has official O/S been declared? Any new drilling or new prospects? What's up with the attorneys? Any samples sent in? Seen the PR's but not much there...

Could someone explain... NEOM owns the patents which link RFID's & Bar codes to the internet. If that's so, then based on the following excerpt from the article:
"Manufacturers of the NFC chips would include the same companies that currently make RFID tags, labels or chips, including Philips, TI, Infineon, Sony, ASK and Inside Contactless. "
Philips, TI, Infineon, Sony...would all have to sign a partnership agreements/contracts with with NEOM in order for them to link to the internet. Or, is this referring to some other technology that will not use any link to the internet? Does the NFC technology (see excerpt below) bypass the internet?
?NFC is interesting because it is a peer-to-peer communication protocol [a communication model in which devices link directly to each other, without the intervention of any intermediary device or system], enabling two [RFID] cards to talk, while also simultaneously being an active and passive RFID solution,?
